Why Bitcoin ETF Prices Can Differ From Bitcoin’s Price

A Bitcoin ETP share, Bitcoin itself and NAV are different measures. Separate markets, valuation timing and trading demand can leave a share at a premium or discount.

A Bitcoin ETF share price, Bitcoin’s market price and an ETF’s net asset value (NAV) are three different figures. A listed share trades in its own market, while NAV is calculated from the product’s assets and liabilities using a stated method and valuation time. Differences in trading demand, market hours and valuation timing can leave the share trading above or below NAV—and mean it does not move tick for tick with Bitcoin.

First, distinguish the three prices

  • Bitcoin’s market price is a quote from a crypto trading venue or a reference rate. Bitcoin trades outside the conventional U.S. stock-market session.
  • The ETP’s market price is the price buyers and sellers are currently offering and accepting for its listed shares. It reflects orders and conditions in the securities market.
  • NAV per share is the product’s net asset value divided by its shares outstanding, calculated according to its valuation policy at a defined time. It is a calculated value, not necessarily the price at which you can trade at that moment.

These figures answer different questions. When an app or chart shows a Bitcoin-related price, check whether it is showing Bitcoin itself, the traded share price, or NAV.

What a premium or discount means

A share trades at a premium when its market price is higher than NAV per share, and at a discount when it is lower. That comparison is not the same as comparing the share’s dollar price with the price of one bitcoin: a share represents only a fraction of the product’s Bitcoin exposure, and expenses and liabilities also affect NAV.

For example, Grayscale’s 2025 filing said each share of the Grayscale Bitcoin Trust represented approximately 0.0004 bitcoin as of December 31, 2024. That was a dated figure for that trust, not a current figure for every product; the filing also said the amount could decline gradually as Bitcoin is used for fees and expenses. Why the share price can diverge from NAV

Separate markets have separate order flow

Bitcoin trades across crypto markets, while an ETP share trades on a securities exchange. The buyers, sellers and available orders in those markets are related, but they are not identical. A burst of demand for shares, limited share-market volume, volatility, or interruptions affecting Bitcoin purchases can contribute to a premium or discount; none necessarily explains every observed gap. NAV and a live quote may reflect different moments

Each product sets its own valuation method and time, so do not assume all Bitcoin ETPs calculate NAV in the same way. Bitwise’s 2026 filing says its NAV refers to the CME CF Bitcoin Reference Rate—New York Variant, designed as a daily 4 p.m. ET U.S.-dollar reference rate based on executed trades on major Bitcoin platforms. If Bitcoin moves before or after that reference point, a live share quote and NAV based on the reference can represent different moments in a volatile market. The benchmark and schedule are specific to that product’s stated mechanics.

How creations and redemptions help connect shares to assets

Authorized participants can create or redeem shares in large blocks, a mechanism that can help market participants respond when share value diverges from the value of the trust’s assets. Bitwise’s 2026 filing describes cash creations and redemptions with authorized participants. Retail investors generally buy and sell shares through brokers in the secondary market, where the execution price can differ from NAV. This mechanism can help link prices; it does not guarantee every retail trade matches Bitcoin’s live price or eliminate every premium or discount.

Bitcoin ETPs do not all have the same structure

“Bitcoin ETF” is common shorthand, but the legal structure and exposure matter. The SEC says spot bitcoin ETPs hold bitcoin and are structured as exchange-traded commodity trusts, not ETFs registered under the Investment Company Act of 1940. Futures-based ETPs hold bitcoin futures contracts and are primarily structured as ETFs. Check the individual product’s legal structure and prospectus rather than assuming the label tells you exactly what it owns. What a historical premium or discount can—and cannot—tell you

Bitwise reported that, from January 11 through June 30, 2024, its Bitcoin ETF had a maximum premium of 1.17% and a maximum discount of 1.79%. Those extremes were based on closing prices and estimated, unaudited NAV per share. They describe one product over that historical period; they are not current figures, a typical range, or a comparison of today’s funds. Bitwise Form 10-Q for the quarter ended June 30, 2024.

For a particular product, its current prospectus and filings explain the valuation method, reference time and creation/redemption procedures. Market data is needed to assess its current traded price, NAV relationship and trading conditions; the historical Bitwise example alone cannot rank products.

The SEC also cautions that Bitcoin and Ether are highly speculative and volatile. A price gap is one feature of the product’s market mechanics, not a measure of whether Bitcoin or the ETP is a suitable investment. SEC Investor Bulletin.
