EA’s $55 Billion Sale to Private Equity Is Complete

EA completed its acquisition by PIF, Silver Lake and Affinity Partners on August 4, 2026. The $55 billion figure is enterprise value, not cash paid directly to shareholders.

Yes. Electronic Arts (EA) completed its acquisition by an investor consortium on August 4, 2026, taking the video-game company private. The consortium named by EA comprises the Public Investment Fund (PIF), Silver Lake and Affinity Partners. EA valued the announced all-cash transaction at approximately $55 billion in enterprise value—not as $55 billion paid directly to shareholders.

Who bought EA?

EA identified the buyers as the Public Investment Fund, Silver Lake and Affinity Partners in its September 29, 2025, transaction announcement. The completed deal made EA a privately held company rather than a publicly traded one.

What does the $55 billion figure mean?

The approximately $55 billion headline value is enterprise value, the transaction measure EA used in its announcement. It should not be read as the amount of cash distributed to shareholders. EA described the deal as all cash and reported approximately $36 billion in equity investment, including the rollover of PIF’s existing stake, alongside $20 billion in debt financing committed fully and solely by JPMorgan Chase Bank, N.A. EA said at the time that $18 billion of the debt was expected to be funded at closing; that was an announced expectation, not a separately verified post-close figure.

When did the transaction close?

EA announced completion on August 4, 2026, in its closing announcement. The original agreement had been subject to customary conditions, including regulatory approvals and approval by EA stockholders. EA’s initial forecast was a close in the first quarter of fiscal 2027, but that timetable is superseded by the confirmed completion date.

Why is the deal being called a record?

The Associated Press reported on August 5, 2026, that the completed $55 billion sale was the largest-ever buyout funded by private equity. That record description is AP’s characterization; the deal value itself is the enterprise-value figure EA announced.

What the deal does—and does not—tell players or investors

The acquisition confirms a change in EA’s ownership status, but buyer identities alone do not establish post-close ownership percentages, governance arrangements, or how EA will make future creative and business decisions. The closing announcement quotes chief executive Andrew Wilson saying, “We are excited to begin this next chapter for Electronic Arts.”
