Blue Bird Registers Resale of Up to 2.7 Million Shares: What BLBD Investors Should Know

Blue Bird registered up to 2,702,180 shares connected to its Micro Bird acquisition for possible resale by GAG. Registration does not mean a sale has occurred, and Blue Bird gets no proceeds.

Blue Bird registered up to 2,702,180 shares for possible resale by Groupe Autobus Girardin Ltée (GAG), the seller that received exchangeable shares when Blue Bird bought the remaining 50% of Micro Bird in April 2026. The filing creates a route for resale; it does not establish that GAG has exchanged or sold shares, or that it will do so. Blue Bird says it will receive no proceeds from any such resale.

What Blue Bird’s October 1 filing does

Blue Bird Corporation filed a prospectus supplement to its automatic shelf registration statement, File No. 333-284017, covering the resale from time to time of up to 2,702,180 common shares. Blue Bird common stock trades on the NASDAQ Global Market under ticker BLBD. The covered shares may be issued following exchange, retraction, or redemption of MB Exchangeco Inc. non-voting exchangeable shares, or in specified liquidation, dissolution, winding-up, or insolvency events. In practical terms, registration makes a potential resale pathway available to GAG, subject to contractual transfer restrictions. It is not a new fundraising sale by Blue Bird, and registration alone does not mean a sale has occurred or will occur.

Where the shares came from

Blue Bird completed its acquisition of the remaining 50% of Micro Bird on April 1, 2026. As equity consideration, it issued 2,702,180 exchangeable shares through its indirect wholly owned Canadian subsidiary, MB Exchangeco Inc., to GAG. The exchangeable shares convert one-for-one into Blue Bird common shares.

The prospectus reports an aggregate purchase price of $205,899,042, subject to customary working-capital and net-debt adjustments. After closing adjustments, approximately $63,021,286, or about 30%, was paid in cash. The remaining approximately 70% was attributed a value of $142,877,755 as of April 1, 2026, and was paid in exchangeable shares and a special voting preferred share. These are transaction consideration figures, not a current market valuation of the shares registered for resale.

How large is the registered amount?

Blue Bird reported 31,347,063 common shares outstanding as of September 28, 2026. The maximum registered amount of 2,702,180 shares equals approximately 8.6% of that dated share count. This comparison does not establish the current float or the number of shares GAG will actually sell.

When transfer restrictions lift

The prospectus says transfers were barred for six months after the April 1, 2026 closing, through October 1, 2026. It then schedules release of the exchangeable shares in stages:

Scheduled release date Share tranche released

October 1, 2027 17.9%
April 1, 2028 27.8%
April 1, 2029 Remaining 18.5%

These percentages describe portions of the exchangeable-share amount subject to the schedule; a release makes a tranche transferable under the stated restrictions, not automatically sold in the market.

Who gets proceeds, and who decides whether to sell?

GAG, as selling stockholder, decides whether to dispose of eligible shares and, if so, the timing, method, and price, subject to applicable restrictions. Blue Bird explicitly says it will not receive proceeds from sales under the prospectus. The filing states that registering shares to provide freely tradable securities does not necessarily mean any shares will be offered or sold.

What the filing says about potential share-price effects

Blue Bird identifies the possibility that sales of substantial amounts of common stock, or the perception that such sales may occur, could adversely affect BLBD’s market price. The filing does not quantify a potential effect and does not establish that sales have occurred or predict that they will. Investors should distinguish registered potential supply from actual trading activity.
