Are the 1.2 million APPS shares being sold now?
No completed sale is established by the 8-K. Registration makes the specified shares eligible for resale under the filing; it is not a report that the holders have already sold them. The phrase “may be sold from time to time” does not give a sale date or schedule. The 8-K also does not establish what market effect any future sales might have.

How resale registration differs from a new share issuance
This filing describes existing common shares registered for resale by selling stockholders named in the supplement. It is distinct from a primary issuance in which the company sells newly issued shares to raise money. The 8-K’s description does not characterize this as a new issuance by Digital Turbine.
