The Office of the Comptroller of the Currency (OCC) granted preliminary conditional approval on August 14, 2026, but the company still cannot open until it meets the regulator’s pre-opening requirements and receives final authorization.
What kind of bank is World Liberty trying to become?
The application is for a national trust bank, not a conventional retail bank. World Liberty Financial subsidiary WLTC Holdings LLC applied to the OCC on January 7, 2026. The proposed institution, World Liberty Trust Company, National Association, would focus on trust-company activities and digital-asset services rather than ordinary consumer checking and lending. The OCC’s Corporate Decision #1385 describes planned USD1 issuance to institutional clients nationwide, fiduciary custody of digital assets, and conversion of approved stablecoins into USD1 for custody customers in connection with their custodied assets. Reuters also reported on the charter application and its limited trust-bank purpose (January 2026 report; August 2026 report).

The distinction matters to customers: the word “bank” in the proposed name does not mean USD1 holders would gain the protections of an insured deposit account. The OCC decision states that the proposed trust bank would not be an insured depository institution and that payment stablecoins are not federally insured deposits under the GENIUS Act.
Why does USD1 need a bank charter?
The charter is intended to move key parts of USD1’s operation—issuance, redemption, reserve maintenance and institutional custody—into a federally chartered trust bank supervised by the OCC. According to the OCC decision, BitGo Bank & Trust was USD1’s exclusive issuer and custodian at the time of the decision; the proposed World Liberty Trust planned to assume those functions.

That is the company’s regulatory and operating rationale: bring those activities together within one institution subject to OCC oversight. On August 14, World Liberty Trust president and chairman Zach Witkoff described the company’s case this way: “A national trust bank brings USD1 issuance, custody, and reserve management together under OCC supervision, examined on the same standards that have governed banks for generations. We welcome continuous scrutiny from Federal regulators for many years to come.” The statement is the company’s argument for the charter, not an independent finding that the arrangement is safer or that the proposed bank is already operating (Reuters, August 2026).
Has the OCC approved it to open?
No. On August 14, 2026, the OCC granted preliminary conditional approval only. The decision says the proposed bank cannot commence business until it satisfies pre-opening requirements. The OCC may modify, suspend or rescind the preliminary approval before then. Preliminary approval is therefore a regulatory milestone, not permission to serve customers.

What operating conditions did the OCC impose?
The August 14 decision sets financial and operational requirements for the proposed institution. These are conditions of preliminary approval; they do not show that World Liberty Trust has already met them.
- Limit activities to the approved plan: Operations must stay within the approved trust-company business plan, and the institution may not meet the Bank Holding Company Act definition of a “bank.”
- Maintain minimum capital: It must maintain at least $20 million in Tier 1 capital. At least the greater of half its Tier 1 capital or $10 million must be held in eligible liquid assets.
- Hold operating-expense liquidity: It must separately maintain 180 days of operating expenses in eligible liquid assets.
- Obtain advance OCC clearance for significant changes: During its in-organization period and its first three years of operation, it must give advance notice and obtain the OCC’s written no-objection for significant changes to its business plan or operations.
- Adapt to stablecoin rules: It must conform, cease or divest stablecoin activities as necessary to comply with the GENIUS Act, implementing regulations and other applicable future rules.
These requirements are stated in the OCC’s Corporate Decision #1385. They set conditions for the proposed bank; they are not evidence that the bank has opened or that USD1 holders have deposit insurance.

What are the conflict-of-interest criticisms, and how did the OCC respond?
The OCC decision records seven public comments from four commenters. Concerns raised included possible conflicts involving President Donald Trump and his family, the Witkoff family and non-U.S. investors; whether the planned activities fit a trust-bank charter; the amount of public information available; and risks involving supervision and stablecoin activity.
The OCC said it reviewed the application under established policies and delegated the decision to career staff. It concluded that the activities described in the application were permissible for a national trust bank. On objections involving foreign investors, WLFI token purchases and related possible legal concerns, the OCC said those matters were outside the scope of this application because World Liberty Financial, Inc. and those investors were not parties to the charter application. That is the OCC’s explanation of its review’s scope, not a resolution of the broader political dispute.

Senator Elizabeth Warren’s January 13, 2026 letter argued that the application raised serious conflicts because the OCC would regulate a company financially tied to the president’s family (Warren’s letter). CBS’s August 17, 2026 coverage described Democratic criticism and World Liberty’s response that a national charter would bring continuing OCC supervision (CBS report). The criticism and the company’s response are opposing positions, not findings that settle the question.
