Free Zone vs Mainland in the UAE: A Decision Framework for First-Time Founders

A practical framework for choosing between a UAE mainland licence and a free-zone company, including market access, facilities, staffing, tax and cost checks.

Neither a UAE free zone nor the mainland is the best choice for every new business. Start with the exact licensed activity, emirate and customers you plan to serve; then compare market-access rules, premises, staffing, facilities, tax treatment and the full cost of operating. Get the relevant licensing authority to confirm your activity and requirements before paying for a setup package or lease.

What “mainland” and “free zone” mean for your decision

This is a choice about where and under which authority your business is licensed, and how it may operate—not simply a choice between two prices. Mainland setup is governed through the relevant emirate’s licensing system. A free-zone company is licensed by a specific zone, whose eligibility rules, facilities, services and procedures may differ from those of other zones.

The right route depends on your intended activity, emirate, customers and operating model. UAE Government mainland guidance lists more than 2,000 business activities; classifications and availability can change, so check the current catalogue and the requirements for your exact activity. Some sectors may also need approval from a regulator beyond the licensing authority.

Compare the routes against your operating plan

Employees and visas Recruitment and labour requirements apply; check the relevant local authority. Procedures and visa quotas vary by authority and package. Some financial free zones have distinct employment frameworks. Current quota, work-permit route, fees and employment regime for the specific entity.
Tax Corporate tax treatment depends on the federal regime and the company’s facts. Any free-zone tax incentive is conditional; the free-zone label alone does not establish an exemption. Current Federal Tax Authority rules and whether the company and relevant income meet the requirements.
Setup and renewal cost Cost depends on activity, legal form, premises, approvals and emirate. Cost depends on zone, licence, facility, visas and renewals. Current written quotes for the same activity, facilities, visa needs and operating period. No authoritative apples-to-apples total-cost comparison is established by the official guidance reviewed for this article.

Use this decision framework before choosing

1. Define the activity and emirate

Write down what the business will actually do, not just its broad industry label, and identify the emirate in which it will operate. Ask the relevant mainland department and any candidate free-zone authority whether that precise activity is available, which legal forms can hold it, and whether extra approvals are required. A zone’s eligibility is not interchangeable with another zone’s.

2. Map where customers are and how you will serve them

Separate your expected work into UAE mainland customers, customers elsewhere in the UAE, international customers and re-export, if relevant. For each category, describe whether you will sell goods, deliver a service, bid for a tender or maintain an operational presence. If direct mainland business is fundamental, investigate mainland licensing first rather than assuming a free-zone licence covers it.

For goods, the route into the mainland can also involve customs treatment. UAE Government guidance describes a mainland distributor or a mainland branch or company among the routes for local sales. Confirm the current licensing and customs rules for your specific goods, activity and emirate before building revenue assumptions around mainland sales.

3. Match the location and package to real operating needs

Decide what the company must have at launch: a compliant address, private or shared workspace, specialist premises, storage, logistics support or other facilities. Free zones can bundle setup, licensing, immigration processing, workspace, warehousing, logistics and administrative support, but neither the bundle nor its inclusions are uniform. A zone’s sector-focused infrastructure may be valuable for a business such as media, technology or port-based logistics; compare the actual services and authority rules rather than the zone’s label.

4. Include staffing, premises and renewals in the cost model

Estimate the space and number of employees the business needs, then ask how those requirements affect the licence and package. Mainland premises must satisfy applicable emirate and municipal rules. In a free zone, ask the authority to confirm the current visa quota for the proposed package and the applicable work-permit and employment process. Compare renewal periods and costs as well as launch costs.

5. Treat tax as a company-specific calculation

Do not treat “free zone” as a synonym for “tax free.” The UAE Government’s corporate-tax guidance describes tax as applying to free-zone businesses while preserving incentives for businesses that meet the relevant requirements. The standard rates described on the Ministry of Finance information relayed by the government are 0% on taxable income up to AED 375,000 and 9% above AED 375,000. Those rates do not resolve whether an exemption or qualifying free-zone treatment applies to a particular company or income. Confirm the current rules and obtain advice based on the company’s actual facts before relying on a tax assumption in your plan.

6. Compare like with like, not headline package prices

Request written quotes from the relevant mainland department and candidate free zones using identical assumptions: activity, legal form, premises, facilities, visa needs, approvals and time period. Include renewals and operating requirements, not just the first licence payment. The government guidance reviewed does not establish that either route is generally cheaper, and a package starting price is not a fair comparison if its inclusions differ.

What to confirm before paying or signing

  • The authority accepts your exact activity, ownership structure and chosen legal form.
  • Any additional regulator approval is identified, along with the stage at which it is needed.
  • Your planned customers, service delivery, tenders and goods movements are compatible with the licence and applicable mainland-access rules.
  • The premises satisfy applicable requirements, and every quoted facility or service is specified in writing.
  • Visa capacity, work-permit steps, employment rules and renewal obligations fit your staffing plan.
  • Tax treatment has been checked against current rules and your company’s facts rather than inferred from the licensing location.
  • Quotes cover the same inclusions and period, so the comparison reflects the cost of the operating plan rather than a promotional starting figure.

If you choose the mainland route

Mainland setup generally involves choosing the activity, selecting a matching legal form and licence, handling trade-name and initial-approval steps, obtaining any additional approvals that apply, and securing a compliant location. The exact procedure depends on the emirate and activity. Initial approval alone does not authorize the business to operate, so confirm every remaining requirement with the relevant licensing authority before commencing business.

If you choose a free zone

Check the rules of the specific zone rather than relying on general claims about free zones. The UAE Government states that “All free zones might not register all types of companies.” Verify activity and entity eligibility, facilities, visa services, mainland-access implications and renewal requirements with that zone. A package’s included services do not substitute for confirming that the licence permits the work and sales model you intend to use.

How to make the final call

Choose the route whose licensing permissions and operating requirements match the business you intend to run—not the one with the simplest headline or lowest advertised entry price. If direct mainland access is essential, resolve that first. If a particular free zone offers the activity, facilities and operating support you need, assess its rules and package in detail. In either case, the final decision depends on current authority confirmation for your activity and emirate; national-level guidance cannot settle an individual company’s licensing outcome, current total cost, bank-account eligibility or tax position.
