How VEBA Electronics’ 2000 Divestiture Expanded Avnet’s European Business

Avnet’s 2000 VEBA deal added European component distribution, logistics and computer-systems operations—but it was only one part of a wider consortium breakup.

Avnet completed its purchase of selected European VEBA Electronics operations on 31 October 2000. The deal added component distribution, logistics and computer-systems distribution to Avnet’s European business, but it was only one part of a larger consortium breakup—not a purchase of all VEBA Electronics.

What did Avnet buy from VEBA Electronics?

The European Commission’s decision describes Avnet gaining sole control of part of VEBA’s European electronic-components distribution business and all of its European electronic-systems distribution business. Avnet’s later filing identifies the acquired operations as the Germany-headquartered EBV Group, Atlas Services Europe and Germany-based RKE Systems. The Commission’s descriptions name EBV Electronic, Distron, WBC and Atlas Logistic Service among the component-distribution and logistics businesses, and RKE Systems as the electronic-systems distributor. The records use different groupings and names, so these lists should not be treated as word-for-word equivalents.

The businesses served commercial customers, not consumer electronics shoppers. The Commission describes component distribution across semiconductors, interconnect, passive and electromechanical products, alongside services such as technical support, customization and supply-chain management. RKE distributed computer products and related hardware and software. Together, the operations broadened Avnet’s European business across both components and electronic systems. The Commission’s decision provides the regulatory description of the businesses and their markets.

When did Avnet acquire EBV, and what was the price?

The European Commission received notification of the transaction on 15 September 2000 and issued a non-opposition decision on 18 October 2000. Avnet reported that it completed its purchase on 31 October 2000. The Commission concluded that the notified operation “does not raise serious doubts as to its compatibility with the common market and the EEA agreement”; that was a regulatory finding, not an assessment of the deal’s later commercial performance.

In a 2001 filing, Avnet reported approximately $740 million for its portion, including assumed debt and subject to closing adjustments. The filing separately said the acquired companies had approximately $1.8 billion in combined calendar-year 1999 sales, calculated using average 1999 exchange rates. These are historical company-reported figures, not current values or measures of present-day revenue. Avnet’s filing sets out the figures and their scope.

Who bought the rest of VEBA Electronics?

Avnet’s purchase was part of a consortium transaction involving Avnet, Arrow Electronics and Schroder Ventures. The European Commission says Schroder acquired Memec, the remaining European electronic-components distributor, while Arrow acquired VEBA’s U.S. electronic-components and systems businesses. Avnet’s share was the defined set of European operations described above.

Avnet’s filing put the consortium’s overall agreement at approximately $2.35 billion, including assumed debt. That total is distinct from the approximately $740 million Avnet reported for its own portion; neither figure should be substituted for the other.

How did the deal shape Avnet’s European profile?

Avnet later described the 2000 EBV acquisition as an early foundation for the way it organized its European business. In a 2018 announcement, the company said it had built around focused business units with shared logistics and infrastructure. It also described integrating EMEA acquisitions by combining units or forming new ones around technical and product competencies—such as semiconductors and IP&E (interconnect, passive and electromechanical components)—or logistics needs. Avnet’s 2018 announcement supports viewing the VEBA deal as an important building block in that model.

That account does not quantify how much the acquisition contributed to Avnet’s current sales, geographic reach or market position, nor does it establish that the deal alone caused the company’s present-day European profile. EBV’s own timeline says it was founded in 1969, acquired by Raab Karcher (identified there as VEBA) in 1996, and acquired by Avnet in 2000. EBV’s current profile describes the company as a European semiconductor-distribution specialist with design expertise, application know-how, value-added services and logistics solutions.
