Tokenized Treasuries vs. Money Market Funds: Risks, Access, and Liquidity

A token is not automatically a Treasury holding or a cashable investment. Compare the legal claim, custody, redemption route, and liquidity layers before choosing.

They are not interchangeable investments. A money market fund share represents an interest in a managed portfolio; a token described as a Treasury investment may represent a Treasury security, a fund share, a custodial receipt, or another claim. Before comparing access or liquidity, find out exactly what you own, who owes you an obligation, and how you can turn it into dollars.

What is the difference?

A U.S. Treasury security is debt issued by the U.S. government. A money market fund (MMF) is an investment company that pools short-term instruments and issues shares. A tokenized security is a security represented, in whole or in part, through a crypto network. The token format does not by itself establish who legally owns the underlying security or what rights the token holder has.

“Tokenized Treasuries” can describe materially different arrangements. A token might be an issuer’s tokenized security, a third-party token linked to securities held by a custodian, or a fund share or other claim backed by a portfolio that includes Treasuries. The governing documents determine the holder’s rights. In a July 2025 statement, SEC Commissioner Hester M. Peirce put the distinction plainly: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.”

Investment or arrangement What the investor may hold What determines access
Direct Treasury security A U.S. government debt obligation, subject to the terms of that security and the way it is held. The applicable holding and transfer arrangements, and the route used to sell or otherwise dispose of it.
Money market fund A share in a fund portfolio of high-quality, short-term debt; not ownership of one particular Treasury unless the fund documents establish that relationship. The fund’s current prospectus, operating procedures, and available redemption route.
Token described as a Treasury investment Could be a tokenized security, a claim linked to custodied securities, a fund share, or another instrument. The structure and legal claim are product-specific. The offering documents, ownership records, custody arrangements, platform terms, and any available issuer-redemption or secondary-sale route.

The SEC staff’s January 28, 2026 statement distinguishes securities tokenized by or for their issuer from tokens created by unaffiliated third parties. The statement expresses staff views; it is not a Commission rule, regulation, or guidance. SEC Commissioner Peirce’s July 9, 2025 statement also cautions that a third-party token may be a receipt or a different instrument from the underlying security, leaving the buyer exposed to counterparty risk. Neither statement establishes the rights of a particular token holder.

What risks can affect value or access?

Investment and stable-price risk

An MMF seeks to maintain a stable net asset value (NAV), typically $1 per share, and its dividends generally reflect short-term interest rates. That objective is not a guarantee of principal or an insured bank balance. A fund’s NAV can fall if it cannot maintain its stable price. The SEC’s 2010 adopting release recounts that the Reserve Primary Fund repriced at $0.97 per share in 2008 after losses on Lehman Brothers debt. That is a dated historical example, not a measure of current MMF risk.

A Treasury security and an MMF share are different exposures: one is government debt; the other is a share in a managed portfolio, with its expenses and operating rules. A token does not erase the risk of the asset or claim it represents. Do not assume that a fund share or token is a cash equivalent without examining its actual terms and context.

Legal, issuer, and custody risk

For a token arrangement, identify who issued the token, who holds any underlying securities, which record is authoritative for ownership, and what legal claim remains if the issuer, custodian, or platform fails. The token holder might not be the registered owner of the Treasury. The holder could instead have a security entitlement, a contractual claim against an intermediary, or an interest in a distinct instrument; the product documents decide.

SEC Commissioner Mark T. Uyeda said in remarks on February 9, 2026: “Tokenized versions of securities remain subject to securities regulation; the shift does not change the legal and regulatory obligations.” These are a commissioner’s remarks, not a guarantee about a product’s structure, custody, or investor protections.

Operational and intermediary risk

Token transfers may depend on a network, wallet, platform, and custody arrangement. A token that can move on-chain is not necessarily redeemable with its issuer, convertible to dollars, or accessible whenever the network operates. Key control and asset segregation also differ across offerings. SEC remarks identify issuance, custody, and trading as areas where existing obligations still apply when activity occurs on-chain; they do not mean every platform has the same controls or failure protections.

How should you compare access and liquidity?

“Liquidity” can refer to three separate things: how readily the underlying assets can be sold, whether an investor can redeem a fund share or token through its issuer, and whether buyers are available in a secondary market. These are not interchangeable. An underlying Treasury’s marketability does not prove that a token can be redeemed promptly, and technical transferability does not prove there is a firm bid or a route to cash.

Question Why it matters
What exactly do I own? Establish whether it is a Treasury security, an MMF share, a security entitlement, a custodial receipt, or another contractual or security claim.
Who issued it, and which record controls ownership? Identify the sovereign issuer, registered fund, token issuer, custodian, or platform involved, and determine which entity’s records establish the investor’s interest.
How do I get money out, and when? Check whether the route is redemption from a fund or issuer, platform conversion, or sale to another investor. Confirm cutoffs, business-day limits, minimums, and any suspension conditions in current product documents.
Where does liquidity come from? Distinguish portfolio assets and fund liquidity arrangements from market makers or actual secondary-market order flow. A transferable token is not the same as a buyer at a dependable price.
What happens if a service provider fails? Review who controls keys and assets, whether assets are segregated, and the investor’s legal route if an issuer, custodian, or platform cannot perform.
Are return, cost, and access comparable? Compare dated net yields only on a like-for-like basis after fees and tax treatment are established. Verify eligibility and jurisdiction-specific availability; neither is universal across products.

A November 2025 SEC-hosted technical submission discusses preserving same-day or next-day fund-share liquidity in a particular collateral context, subject to SEC approval. It is a proposal, not an adopted rule or proof that tokenized fund shares generally offer that timing. No general head-to-head conclusion about current token liquidity versus MMF redemption access follows from it.

What should you verify before choosing?

  1. Read the legal description. Find the offering documents and determine whether the instrument is the security itself, a fund share, or a claim through another entity.
  2. Trace the custody and ownership records. Identify the custodian, recordkeeper, and applicable legal claim if the issuer or intermediary fails. Do not infer direct ownership from a token’s name or design.
  3. Confirm the exit route. Check whether you can redeem with the issuer or fund, must sell through a platform, or rely on another buyer. Read the current cutoffs, business-day restrictions, minimums, and suspension terms.
  4. Separate transfer from cash access. Verify whether the service supports dollar conversion and when it is available; network availability alone does not answer that question.
  5. Compare the complete economics and eligibility. Use current product documents for fees, net return, tax treatment, investor eligibility, and jurisdiction. These details cannot be inferred from the label “tokenized Treasury” or from MMFs as a category.

SEC investor materials describe MMFs and their risks, but some descriptions of reforms in older materials are historical. For a current fund-specific or regulatory question, consult the current rule text and the fund’s prospectus rather than relying on old summaries.
