Zoran announced an approximately $170 million stock acquisition of Nogatech in August 2000 and completed it on October 26, 2000. The strategic aim was to pair Zoran’s digital-camera and multimedia-chip business with Nogatech’s video-connectivity, compression and developing MPEG-4 technology, so the combined company could build video products for PCs, phones, digital cameras and camcorders more quickly.
Why Zoran wanted Nogatech
Zoran’s business included chips for digital cameras, DVD and other multimedia applications. Nogatech developed video-connectivity and compression integrated circuits, with MPEG-4 technology for video-streaming applications identified in Zoran’s later SEC filing as acquired in-process research and development. The companies presented the fit as complementary rather than overlapping: Zoran expected to combine engineering, marketing and customer support, as well as reach customers through both businesses.
Zoran president and chief executive Levy Gerzberg said, “Both companies are lacking in resources and this will allow us to complement each other in engineering, marketing and customer support.” In another contemporary statement, he said the technologies could provide “more complete product solutions” and a quicker time to market. Nogatech chief executive Arie Heiman described MPEG-4 as a potential “common language” for moving video clips among connected digital products.

The logic was to connect the technology to products and customers, not simply to buy a finished MPEG-4 chip line. The SEC filing’s in-process R&D classification is important: it records technology under development at acquisition, not proof that a particular commercial product had already shipped.

What the announced deal was worth—and what Zoran later reported
Contemporary coverage described the August 2000 transaction as an approximately $170 million stock deal. The announced exchange ratio was 0.166 Zoran share for each Nogatech share. Nogatech was to become a Zoran subsidiary, and Nogatech president and chief executive Arie Heiman was to join Zoran’s senior leadership.
Zoran’s 2003 SEC filing gives a more specific accounting record for the completed acquisition: 3,801,839 Zoran shares valued at $154.4 million, plus options valued at $9.2 million. Those disclosed figures total $163.6 million; they are the filing’s reported values for the shares and options, while the roughly $170 million figure was the contemporary announcement estimate. The filing also says a 25% discount rate was used to value acquired in-process R&D. That rate relates to the R&D valuation, not the stock-exchange ratio or a borrowing rate.

Did the acquisition close?
Yes. Zoran’s SEC filing records that the Nogatech acquisition was completed on October 26, 2000. Nogatech became a Zoran subsidiary under the announced structure.
When was MPEG-4 supposed to reach products?
The timeline changed between the announcement and Zoran’s later reporting, so the two dates should be read as separate expectations rather than a single confirmed launch schedule.

These were projections, not confirmation that a product launched on either schedule. The available records identify the acquired MPEG-4 streaming R&D but do not establish a verified list of later Nogatech-branded chip models or a present-day retail product tied to the acquisition.

Zoran bought Nogatech to add video-connectivity and MPEG-4 development capability to its multimedia-chip business, with the expectation that combined engineering and customer-facing resources could move products to market faster. The deal closed, but the announced product timetable remains a management expectation rather than evidence of a specific commercial launch.
