Renesas announced its agreement to buy Israeli wireless-chip company Celeno on October 28, 2021, for approximately US$315 million in cash, including payments tied to milestones. The deal closed on December 20, 2021, and Celeno became a wholly owned Renesas subsidiary. The strategic prize was Celeno’s Wi-Fi 6 and Wi-Fi 6E technology, software, sensing capabilities and engineering team—not a consumer Wi-Fi brand.
What were the deal’s price and timeline?
Renesas announced a definitive acquisition agreement on October 28, 2021. It valued the all-cash transaction at approximately US$315 million, assuming milestone payments described in the agreement. The boards of both companies unanimously approved it; completion was subject to customary conditions and expected by year-end. Renesas’s announcement also gave an approximate yen equivalent of 35.9 billion yen, using an exchange rate of 114 yen per US dollar.

Renesas’s 2021 transaction filing records approximately US$315 million of consideration, including about US$45 million payable when conditions concerning future product development and mass-production progress were met. The milestone-linked portion means the headline valuation was not simply a single payment made at closing.

What did Renesas acquire?
Celeno, headquartered in Israel, developed wireless communication solutions, including Wi-Fi chipsets and software for high-performance home networks, smart buildings, enterprise and industrial markets. Renesas described its Wi-Fi 6 and Wi-Fi 6E chipsets as compact and designed for performance and security, with low latency and low power consumption. Renesas’s filing describes the business and its technology.
The acquisition also brought an Israeli design center and distributed research and development personnel in Israel, Ukraine, India, China, Taiwan and other locations. Renesas said that capacity would strengthen global engineering and software development. The deal announcement and closing notice describe the team and footprint.

Why was Celeno strategically valuable to Renesas?
Renesas said Celeno’s Wi-Fi and software complemented its existing microcontrollers, microprocessors and system-on-chip processors, wireless ICs, sensors and power-management products. The stated ambition was an end-to-end connectivity portfolio spanning both client devices and access points, for IoT, infrastructure, industrial and automotive uses. In effect, Celeno added a more complete Wi-Fi offering to a portfolio that already included compute, sensing and power components. Renesas’s announcement set out that rationale.
Renesas President and CEO Hidetoshi Shibata said the transaction underscored the company’s commitment to improving performance and efficiency in electronic systems. The company also said the acquisition significantly enhanced its connectivity portfolio with Celeno’s Wi-Fi technologies and software expertise. These were Renesas’s stated strategic objectives, rather than a guarantee of specific product outcomes or financial returns.

What is Celeno Wi-Fi Doppler Imaging?
Celeno described Wi-Fi Doppler Imaging as a high-resolution imaging technology that uses standard Wi-Fi signals to depict, track and analyze the motion, behavior and location of people and objects. Unlike a conventional camera-based approach, it can use changes in Wi-Fi signals for sensing, potentially reducing the need for multiple cameras or sensors in some environments. Renesas’s filing identifies potential applications including elderly care and assisted living, home security, safe driving, and digital or connected factories.
The acquisition rationale included this sensing capability alongside Wi-Fi connectivity. The cited applications were potential uses; the deal materials do not establish that every use was a deployed product or a proven replacement for cameras and other sensors.

What the acquisition means—and does not mean
For investors and industry watchers, the transaction is best understood as a strategic expansion of Renesas’s connectivity technology and engineering base. The announced value was approximately US$315 million, but milestone conditions formed part of the consideration. Renesas’s public statements explain the intended product and portfolio fit; by themselves, they do not show how much revenue or profit the acquisition later generated.
This was a business-to-business semiconductor acquisition, not a purchase of a consumer router company. Celeno’s chipsets and software were aimed at network equipment and connected systems, while Wi-Fi Doppler Imaging represented a related sensing capability.
