Before sending money or crypto to a token launch, verify who is offering it, what the token legally and practically gives you, how your funds and the token are controlled, and whether you can get out on the terms you expect. Treat every claim as unverified until you can check it independently—and assume you could lose the full amount. The guidance below draws on U.S. SEC and Investor.gov materials; laws and protections vary by jurisdiction and by the facts of an offering. No checklist can certify a launch as safe.
1. Can you identify the issuer and the people behind it?
Start with the legal entity making the offer, not just a token name, website, or social-media account. Look for consistent entity names, jurisdiction, contact details, and named people. Check those details independently rather than relying solely on materials supplied by the project. Find out who controls the funds and the code, and whether the project explains those arrangements clearly.
An anonymous or pseudonymous team is not, by itself, proof of fraud. It does make accountability and recovery harder, so look for stronger independent evidence of the issuer’s identity and track record. Investor.gov’s March 23, 2023 alert cautions that crypto-related losses can be difficult to recover and that promoters may disappear with investors’ money.
2. What is the offering’s legal basis?
A label such as “utility token,” “community token,” or “presale” does not determine whether an offering involves a security. The SEC’s July 25, 2017 Investor Bulletin and its April 22, 2026 guidance, last reviewed April 29, 2026, explain that the answer depends on the facts and circumstances. A crypto asset that is not itself a security may still be offered or sold as part of an investment contract. If securities are involved, registration or a valid exemption may be required.

Ask the issuer what legal basis it relies on and why. If it claims a registration statement exists, locate the filing in SEC EDGAR rather than accepting a screenshot or a claim in marketing materials. If it claims an exemption, read the actual terms and eligibility restrictions; do not assume they apply to you. A Form D filing is not SEC approval or proof that an offering is registered. Investor.gov makes that distinction explicitly.
As of October 3, 2026, the SEC’s “Regulation Crypto Assets” page describes a proposal, not an adopted rule. Its comment deadline is October 20, 2026. Do not treat proposed exemptions as currently available or as a determination about a particular launch.
3. What does the token actually give you?
Read the offering terms, white paper, and roadmap, but treat them as the issuer’s claims—not independent proof that the product will work or that the token will gain value. Identify the rights the token is said to provide: for example, access to a service, governance participation, or a claim on an asset. If the documents are vague about what holders receive, the uncertainty is material.

Check the terms for the practical conditions that affect your money and your ability to use or transfer the token:
- How the issuer says it will use proceeds.
- Whether buyers have a contractual refund right, and when it applies.
- Whether resale or transfers are restricted, and whether lockups or vesting apply.
- What happens if development stops, the project changes direction, or the token never becomes usable.
These are among the questions the SEC’s 2017 ICO bulletin recommends asking. A promised future use is not the same as a current right, and a roadmap is not a guarantee of delivery.
4. How concentrated is the supply, and when can tokens move?
If the project discloses token economics, record the total supply and how much is allocated to public buyers, founders, insiders, and other groups. Check the release schedule, vesting terms, transfer limits, and any disclosed administrative powers. These details can show how concentrated ownership or control may be and when additional tokens could become transferable.

Concentration and opaque ownership can matter to buyers, and the SEC has warned about presale promotion and pump-and-dump behavior. But the cited SEC materials establish no universal allocation percentage or unlock schedule that makes a launch safe. Do not turn a disclosed allocation into a prediction that the price must rise or fall.
5. Is there meaningful technical evidence?
The SEC’s Investor Bulletin: Initial Coin Offerings gives this diligence prompt: “Ask whether the blockchain is open and public, whether the code has been published, and whether there has been an independent cybersecurity audit.” Apply those questions to the specific token and contracts being offered, not merely to the project’s general claims about its technology.
If the project cites an audit, check who performed it, which contracts and code versions were in scope, when the review took place, what findings were reported, and how the project says it addressed them. Code can change after a review. An audit is evidence about a stated scope and point in time—not a guarantee against vulnerabilities, fraud, unsafe administrative controls, or investment loss.

6. Who is handling the sale and your payment?
Determine whether you are dealing directly with the issuer, an intermediary, or a platform that says it has vetted the project. A listing, “launchpad approved” label, or claim of exchange vetting is not proof of SEC approval, regulatory status, or safety. Investor.gov’s January 14, 2020 alert on initial exchange offerings warns that a platform may call itself an exchange without being registered as one; a platform involved in a securities offering may have separate registration obligations.
Before transferring funds, confirm the payment instructions, wallet address, and network through a trusted channel you have independently verified. A convincing but fake site, an impersonator, or an altered address can redirect a payment. Be especially wary of instructions to send crypto to an account or wallet controlled by an unknown person. Crypto transfers may be difficult or impossible to reverse.

Pause if a promoter promises guaranteed or outsized returns, says you must act immediately to secure an exclusive allocation, leans on social-media testimonials, or discourages independent checks. Investor.gov’s May 29, 2024 alert describes fraudsters promoting a token presale to attract buyers, “pump” its price, and sell before others can exit. The SEC’s 2017 bulletin also warns investors to be suspicious of hard sells and promises of outsized returns.

Do not send additional money because someone says it will unlock a withdrawal, pay a tax, release a balance, or recover a previous loss. Investor.gov identifies demands for advance fees as a scam tactic and warns that paying extra is unlikely to recover the original investment. Treat a request for another deposit as a reason to stop, not as proof that a withdrawal is close.
8. Can you tolerate the downside and the limits on exit?
Before participating, decide whether losing the entire amount would harm your finances. Also ask whether you need access to the money soon, whether resale is actually permitted and plausible, and whether you understand the custody and platform arrangements. A stated ability to transfer a token does not establish that buyers will be available or that a usable market will exist.
Investor.gov’s March 23, 2023 crypto-asset alert describes risks including volatility, illiquidity, hacking, loss of access, insolvency, limited recovery, and the possible absence of protections associated with regulated intermediaries. If you cannot establish the terms or accept the downside, do not participate. A project’s white paper, audit, platform listing, or endorsement cannot remove these risks or establish a return.
