Continuous Computing expanded its China operations in 2005 by acquiring key people, products and technology from UPTech’s product division—not by announcing a purchase of the whole company. The agreement was announced on June 7 and closed on July 20, adding about 80 employees and establishing a new Shenzhen subsidiary.
What Continuous Computing acquired from UPTech
The transaction covered key personnel, products and technology from the product division of United Platform Technologies (UPTech), a China-based provider described at the time as a leading supplier in China’s fast-growing VoIP market. The acquisition price was not disclosed in the available contemporary coverage.
Continuous Computing’s announcement situated the acquired capabilities alongside a broader telecom portfolio: Trillium protocol software, AdvancedTCA and CompactPCI systems, upSuite platform management, Trillium+plus Network Service-Ready Platforms, and customization and product-life-cycle services. The company said it served more than 125 customers worldwide in 2005.
When the deal closed and how the China operation changed
Continuous Computing signed the agreement on June 7, 2005, then announced its completion on July 20, 2005. Following the close, it formed Continuous Computing China Technologies (Shenzhen) Co., Ltd. and expanded staffing by approximately 80 people across Shenzhen and Beijing.

Why the companies combined their capabilities
Continuous Computing said the acquisition would extend its global reach and strengthen sales, development and manufacturing capabilities. Its strategic case was that UPTech’s knowledge of China’s VoIP market and relationships with Chinese telecom equipment manufacturers could complement Continuous Computing’s carrier-grade platforms and services, helping accelerate delivery of Network Service-Ready Platforms to telecom equipment makers.
King Chen, UPTech’s chief technology officer and product-division general manager, was appointed to lead Continuous Computing’s new IP.Enterprise business unit. Continuous Computing president, CEO and co-founder PJ Go said the acquisition would help the company meet its 2005 goals for global reach and expanded sales, development and manufacturing. UPTech CEO Chareleson Zheng described the arrangement as beneficial to both companies, with Continuous Computing benefiting from UPTech’s products and China presence while UPTech focused on software and services.
