Before joining a crypto presale, verify who is making the offer, what rights the token gives you, how the sale and refunds work, how supply and insider unlocks are controlled, what the live contracts and audit actually cover, and what legal disclosures apply where you live. No checklist can establish that an offer is legal, safe, or likely to make money.
Who is offering the token, and what are buyers meant to receive?
Start with the people and entities behind the offer. Identify the issuer, project team, advisers, and service providers, then check whether their identities and stated roles can be verified independently. A white paper can explain the project’s claims, plans, and risks; it is not independent proof that those claims are true.
Read the description of the token’s function alongside the project’s milestones and planned use of sale proceeds. Ask what the token actually entitles a holder to do or receive. Do not treat terms such as “utility” or “governance” as a substitute for specific rights. The SEC’s investor bulletin on initial coin offerings advises readers to examine how proceeds will be used and what rights the token confers. The ESMA MiCA disclosure items also cover project participants, milestones, and planned use of funds for the relevant category of crypto-asset.
What happens after you pay?
Read the sale terms before sending funds. Confirm the price, fees, sale phases, discounts, raise target, allocation method, payment methods, and any conditions that could change how many tokens you receive. If the offer can be oversubscribed, find out how allocation is determined.

Check the cancellation and refund conditions, including the circumstances that trigger a refund, how and when it is paid, and what happens if the project misses a target or changes its plans. Confirm the promised token-delivery schedule and any limits on holding or transferring tokens. Do not assume you can cancel, redeem, or resell your purchase unless the terms expressly say so. ESMA’s MiCA disclosure items include offer price and phases, raise targets and allocation, refunds in specified circumstances, delivery schedules, rights, and transfer restrictions; whether those rules apply depends on the asset category and offer.
How are supply, insider allocations, and token controls set?
Look for the total supply and the proposed shares for the team, treasury, early buyers, and public sale. Then examine when each group can access its tokens: a vesting or unlock schedule can affect how much supply may become transferable over time. Compare an early-round discount with later-round terms and the expected public float; a lower presale price alone does not establish that the token is good value.

Find out whether the supply can be minted, frozen, burned, or otherwise changed, and who has authority to do it. Check whether those permissions are limited, shared, or controlled by a single party, and whether the offer documents explain how a change could affect holders. The SEC Division of Corporation Finance’s April 10, 2025 statement identifies supply rules, authority to change them, and vesting or lock-ups as possible disclosure topics for crypto-asset securities offerings. It does not make each item a universal legal requirement for every token sale.
Do the published contracts and audit match the live sale?
Use a project source you have independently verified to find the sale-contract and token-contract addresses. Confirm the blockchain and addresses, and inspect the published code where available. A copied address or a link in a promotional post is not enough to establish that you are looking at the project’s real contracts.

If the project cites an audit, open the report rather than relying on an “audited” badge. Check which code version, contract addresses, and functions it covers; read the findings and whether identified issues were fixed. Establish whether the contracts used in the live sale are the same ones the report examined. The SEC’s ICO investor bulletin recommends checking whether code is published and independently audited. An audit is evidence about reviewed code and scope, not a guarantee that the contracts are safe or that the wider project will succeed.
What supports claims about listing, liquidity, or resale?
Look for a named trading venue or market maker, the terms of any liquidity arrangement, token-transfer restrictions, and any contractual redemption right. Distinguish a stated intention to seek a listing from a confirmed venue or a binding commitment. Even an intended listing or liquidity arrangement does not establish that a market will open, have meaningful depth, or let you sell at a particular price.

The CFTC’s digital-token advisory notes that value can be affected by adoption, competition, demand, liquidity, technological change, and hacking. It cautions: “Buying digital coins or tokens only because you expect to sell them at a higher price later is the definition of speculation and carries considerable risk, regardless of how good a white paper, application or business plan sounds.”

A token’s label does not by itself settle whether a U.S. offer involves a security. The SEC’s April 22, 2026 educational overview describes the investment-contract analysis in terms of an investment of money, a common enterprise, a reasonable expectation of profits, and essential managerial efforts by others. The analysis depends on the facts; this overview does not determine the status of a particular presale.

Read the issuer’s legal disclosures and its statements about registration or an exemption. If the offer’s legal basis or your eligibility is unclear, seek advice from a qualified professional familiar with the relevant jurisdiction and offering.
European Union
For EU readers, determine whether MiCA applies to the asset and offer and which asset category is relevant. ESMA’s disclosure framework is category-specific: the cited disclosure items cover crypto-assets other than asset-referenced tokens or e-money tokens. The presence of disclosure categories does not certify a project or establish that every presale falls within them.
Which claims should make you pause?
Be cautious of guaranteed or unusually high returns with little or no risk, unsolicited pitches, and pressure to act immediately. The SEC warns: “Be wary of anyone who promises that you will receive a high rate of return on your investment, with little or no risk.” The warning appears in its Investor Bulletin: Initial Coin Offerings.
Investigate people and entities affiliated with the offer, and consider fraud, theft, technology changes, competition, adoption, and liquidity as risks; those are among the concerns in the CFTC advisory. If the project cannot clearly explain who controls key contracts, how proceeds will be used, what buyers receive, or how the sale ends, pause rather than filling the gaps with promotional assumptions.

How to use these checks before committing
- Collect the offer terms, white paper, legal disclosures, contract addresses, and any audit report from sources you can verify.
- Match the promised token rights, price, delivery, refund rules, transfer limits, supply controls, and unlock schedule against those documents.
- Resolve gaps about issuer identity, contract permissions, legal status, or sale conditions before sending funds; if you cannot resolve them, do not rely on marketing claims as a substitute for evidence.
