Insight Partners acquired Recorded Future for $780 million in May 2019. That was not the price Mastercard paid: Mastercard announced a separate $2.65 billion acquisition in September 2024 and completed it on December 20, 2024. Mastercard’s 2025 Form 10-K reports $2.7 billion in cash consideration after customary closing adjustments.

Who acquired Recorded Future for $780 million?

Insight Partners bought Recorded Future in May 2019 for $780 million, according to Recorded Future’s company timeline and the company’s announcement of the deal. The figure belongs to that transaction, not to Mastercard’s later purchase.

How the two acquisitions differ

Transaction Buyer and seller Date and status Reported amount Purpose
2019 acquisition Insight Partners acquired Recorded Future May 2019; the company timeline records the acquisition $780 million, as stated by Recorded Future’s timeline and announcement Not stated in the cited transaction sources.
2024 acquisition Mastercard acquired Recorded Future from Insight Partners Agreement announced September 12, 2024; completed December 20, 2024 $2.65 billion announced transaction value; Mastercard’s 2025 Form 10-K reports $2.7 billion in cash consideration after customary closing adjustments Add threat intelligence to Mastercard’s identity, fraud-prevention, real-time decisioning and cybersecurity services.

Mastercard’s announcement described the agreed transaction value as $2.65 billion, while its 2025 Form 10-K reports $2.7 billion in cash consideration for 100% equity ownership of RF Ultimate Parent, Inc., after customary closing adjustments. These are different reported measures: the first is the announced deal value; the latter is the filed cash consideration at closing.

When did Mastercard buy Recorded Future?

Mastercard announced its agreement to acquire the company from Insight Partners on September 12, 2024. The transaction closed on December 20, 2024, according to Mastercard’s closing announcement. Mastercard’s original announcement described Recorded Future as a threat-intelligence company that indexes the open web, dark web and technical sources to provide real-time visibility into threats.

Why did Mastercard acquire a threat-intelligence firm?

Mastercard said the acquisition would broaden its services in identity, fraud prevention, real-time decisioning and cybersecurity. Its closing announcement said Recorded Future’s AI-driven intelligence would support cybersecurity services, identity solutions and real-time fraud scoring. The strategic connection is that intelligence about emerging cyber threats can inform security and fraud decisions around digital interactions and payments.

How large was Recorded Future?

In its September 2024 announcement, Mastercard said Recorded Future served more than 1,900 clients across 75 countries, including governments in 45 countries and more than half of the Fortune 100. These are scale figures cited by Mastercard at the time of the announcement, not a current customer count.

What happened to Recorded Future after Insight Partners?

Insight Partners owned the company after the 2019 acquisition and later sold it to Mastercard in the 2024 transaction. Mastercard completed that purchase in December 2024; the two deals should not be conflated when interpreting the $780 million figure.
