BeyondTrust Acquired eEye in 2012: What the Deal Changed

BeyondTrust announced the acquisition of eEye Digital Security in May 2012, aiming to connect vulnerability management with privileged-access context. The financial terms were not disclosed.

BeyondTrust announced in May 2012 that it had acquired privately held eEye Digital Security. The companies did not disclose the financial terms. The strategic aim was to combine eEye’s vulnerability-management tools with BeyondTrust’s privileged-access capabilities, giving security teams more context for deciding which risks to fix first. eEye co-founder Marc Maiffret became BeyondTrust’s chief technology officer.

When did BeyondTrust acquire eEye?

BeyondTrust announced the acquisition in May 2012. CSO/Network World and SecurityWeek reported it on May 9; The Register and Dark Reading published follow-up coverage on May 11. The companies were privately held, and contemporary reports said the purchase price was not disclosed.

Why did BeyondTrust buy eEye?

The companies offered complementary security capabilities. eEye focused on finding vulnerabilities and helping organizations address them; BeyondTrust supplied privileged identity and access management through its PowerBroker product family. Combining those capabilities was intended to help customers assess vulnerabilities alongside information about privileged users, sensitive data, and how data moved through their systems.

In practical terms, the proposed workflow was to discover systems and configurations, identify weaknesses, factor in privilege and data context, then prioritize patching or other remediation. That approach was presented as a way to make security and compliance decisions more informed—not simply to produce a longer list of vulnerabilities.

BeyondTrust CEO John Mutch described the intended benefits as context-aware protection of systems, people, and data; integrated protection against internal and external threats; and logging and reporting for security and compliance audits. The company also positioned the combination for mobile, virtualized, and cloud environments, as well as highly regulated sectors such as financial services, defense, and aerospace.

Which products were involved?

eEye’s broader capabilities included patch remediation, malware defense, and configuration compliance. Contemporary coverage described the intended combined offering as a more unified operational view for deciding what to address first and next. It did not establish a current, apples-to-apples comparison with competing platforms.

What happened to eEye’s leadership?

Marc Maiffret, eEye’s co-founder, was to become BeyondTrust’s CTO, and eEye senior leaders were also expected to join BeyondTrust. Maiffret emphasized the business-specific nature of security decisions: organizations needed appropriate privilege management, configuration controls, and timely patch deployment.

What size was the combined business expected to be?

Infosecurity Magazine reported in 2012 that the combined business was expected to have about 250 employees and projected first-year turnover of $70 million. These were contemporaneous expectations, not audited results or current company figures.

SecurityWeek reported in 2012 that eEye had more than 10,000 customers worldwide, including the U.S. Department of Defense. That customer count was attributed to the company in the article; it should be read as a reported figure at the time, not a present-day total.

Were the financial terms disclosed?

No. Contemporary reports said the financial terms were not disclosed. Because both businesses were privately held, the announcement and coverage do not provide a public purchase price or valuation to compare.
