Mike Lynch’s Autonomy Fraud Case: U.S. Acquittal, 25-Year Maximum and HP’s U.K. Civil Case

Mike Lynch faced a possible 25-year maximum on one count in a U.S. criminal case over Autonomy’s sale to Hewlett-Packard (HP). But that was a pre-verdict maximum, not a sentence: a San Francisco jury acquitted him on all 15 counts on June 6, 2024. Lynch was never imprisoned in the case. Separate civil litigation in England produced adverse findings for HP’s claims and continued against Lynch’s estate after his death.

Who was Mike Lynch, and what did Autonomy do?

Lynch was a British technology entrepreneur and co-founder and former chief executive of Autonomy Corporation. The company sold enterprise software used to search, organize and analyze large volumes of information. Lynch was sometimes described in the press as “Britain’s Bill Gates,” a journalistic comparison rather than a formal title. The U.S. prosecution was not a claim that Autonomy’s software did not exist. It centered on allegations about how the company reported revenue, structured transactions and described its business performance to investors, auditors and HP.

Why did HP’s purchase of Autonomy become controversial?

HP announced its acquisition of Autonomy in 2011 in a deal worth about $11 billion. In November 2012, HP announced a major write-down and alleged accounting improprieties at Autonomy. The acquisition price and HP’s later claimed losses are different measures; the purchase value alone does not establish the amount of any legal loss. The acquisition and subsequent dispute are described in the U.S. Department of Justice case announcement and the English High Court’s 2022 judgment.

What did U.S. prosecutors allege?

The indictment charged Lynch and former Autonomy finance executive Stephen Chamberlain with fraud-related offenses. Prosecutors alleged that they manipulated accounting and transactions to make Autonomy’s financial performance and software business appear stronger than they were. Those were allegations—not findings made against Lynch by the U.S. jury.

  • Agreements were backdated or revenue was recorded despite side letters or other conditions.
  • Reciprocal or “round-trip” transactions were used to recognize revenue.
  • Autonomy’s reported revenue and business model were misrepresented to auditors, regulators and market analysts.
  • Loss-making hardware resales were allegedly concealed while Autonomy was presented as a “pure software” company.
  • OEM licensing and customer transactions were allegedly described misleadingly, and people who challenged the company’s accounting or performance were allegedly pressured or intimidated.

The DOJ announcement of the charges sets out the government’s account. It should be read as the prosecution’s theory, not as a statement of what the jury ultimately decided.

Why was the headline figure 25 years?

The DOJ said the securities-fraud count carried a statutory maximum of 25 years in prison. A maximum is the highest penalty authorized for a count under the law; it is not an automatic sentence or a prediction that a defendant will receive that term. Sentencing would have depended on a conviction and the applicable sentencing process. Lynch was acquitted, so no sentence was imposed.

How did the case reach trial, and what did each side argue?

Lynch contested extradition in the United Kingdom and was extradited to the United States in May 2023. He initially appeared in federal court in San Francisco under home confinement and a $100 million bond. Extradition determined where the criminal case would proceed; it was not a finding of guilt. The extradition challenge is documented in the U.K. High Court judgment, and the DOJ announcement covers his U.S. appearance and bond.

The San Francisco trial began in March 2024 and lasted about 11 weeks. Prosecutors portrayed Lynch as the central decision-maker in a scheme to inflate Autonomy’s value. The defense disputed the government’s interpretation of Autonomy’s accounting, commercial arrangements and software business, and argued that HP’s management and due diligence also mattered to the failed acquisition. These were competing courtroom arguments, not findings to treat as established before the verdict. See the Associated Press trial report and The Guardian’s trial analysis.

What was the U.S. verdict?

On June 6, 2024, the jury found Lynch not guilty on all 15 counts. Chamberlain was also acquitted. The verdict ended the U.S. criminal prosecution against Lynch; it means the government did not secure a conviction under the criminal standard of proof. It is accurate to say Lynch was acquitted, not that the jury made a separate finding that every disputed event did not occur. The verdict was reported by The Guardian and the Associated Press.

Why did the U.K. civil case have a different outcome?

HP pursued a separate civil case in England. In January 2022, the High Court found that Lynch and former Autonomy finance chief Sushovan Hussain were liable in relation to misleading information provided during HP’s acquisition. That was a civil judgment, not a U.S. criminal conviction. Civil proceedings apply a different legal framework and burden of proof from a U.S. criminal prosecution, so the outcomes are not legally contradictory.

In July 2025, the High Court assessed HP’s loss at £646,178,248 on the relevant claim under the Financial Services and Markets Act (FSMA), after its calculations and a credit for a related auditor settlement. That figure is not the same as HP’s original claim of at least $4.55 billion, nor does it by itself mean Lynch personally paid or owed the entire sum as an immediately collectible debt. The case involved claims against Lynch’s estate and Hussain. The court’s decisions are available in the 2022 liability judgment, the 2025 damages judgment and its press summary.

What happened to Lynch, and why did his estate remain involved?

Lynch died on August 19, 2024, when the sailing yacht Bayesian sank off Sicily. The U.K. Marine Accident Investigation Branch reported that seven people died. Its interim report concerns the maritime disaster; it provides no basis for linking the sinking to the Autonomy case.

His death did not end the U.K. civil proceedings. The High Court addressed representation of his estate in May 2025, and later proceedings continued involving the estate. A further judgment published on March 24, 2026, concerns HP, Autonomy and the administrator of the estate; see the May 2025 estate-representation judgment and the March 2026 judgment.

What to take away from the case

  • The U.S. case ended in Lynch’s acquittal, not a conviction or prison sentence.
  • The 25-year figure described a statutory maximum on one count before the verdict.
  • The U.K. civil findings addressed separate claims under a different legal process; they should not be described as a U.S. criminal verdict.
  • The dispute concerned alleged financial reporting and commercial disclosures around a software company, not a finding that the software itself was fictitious.
