Identiv’s SEC filing confirms the closing date, buyer structure, proceeds and retained business. The original transaction terms describe the announced price and conditions.
What Identiv sold
This was a sale of a defined business, not a sale of Identiv, Inc. The transferred operations covered physical access security and related products and services. The transaction included access-control and video-management software; credentials and access cards; access-control hardware and sensors; mobile access-control products; telephone-entry systems; technology integrations; and logical-access-control hardware, software and mobile applications. Related intellectual property, inventory, contracts, customer and supplier information, goodwill and other operating assets were included, as were all outstanding shares of Identiv Private Limited. The asset perimeter is set out in Identiv’s definitive proxy statement.
Although some products involved logical access control, the divestiture should not be read as the sale of all Identiv identity or IoT operations. The transaction concerned the defined Physical Security Business and its associated assets and subsidiary.

Who bought it, and when did the deal close?
Hawk Acquisition, Inc. was the direct legal buyer. It is a Delaware corporation and wholly owned subsidiary of Vitaprotech SAS, which Identiv described as a French security-solutions provider. Saying simply that “Vitaprotech bought Identiv” would overstate what happened: Vitaprotech’s subsidiary acquired the Physical Security Business, while Identiv remained the parent of its continuing operations.
Identiv announced on August 15, 2024 that the Committee on Foreign Investment in the United States (CFIUS) had approved the transaction and found no unresolved national-security concerns. That clearance announcement described closing as expected; the actual closing followed on September 6, 2024. Identiv’s August announcement and subsequent SEC filing distinguish those dates.

How much did Identiv receive?
The approximately $145 million figure was the announced cash purchase price, subject to customary adjustments—not a statement of the exact amount ultimately received. Identiv later reported approximately $143.9 million in cash consideration at closing. The figures describe different stages of the deal; the filings do not establish that their difference reflects a dispute.
The transaction also required Identiv shareholder approval and satisfaction of other closing conditions. The agreement addressed the applicable Hart-Scott-Rodino antitrust waiting period, the absence of legal orders prohibiting the deal, and compliance with contractual representations, warranties and covenants. Identiv said shareholder approval and required regulatory conditions had been satisfied before closing; its August announcement reported CFIUS clearance. The transaction filing describes the conditions, while the clearance announcement gives the CFIUS update.

What Identiv kept and why it sold
Identiv retained its non-sold operations as its IoT Business and subsequently reported one continuing reportable segment. That business focused on specialty IoT products including RFID inlays, tags and labels, along with NFC, HF, dual-frequency, UHF and BLE devices. Identiv described applications in pharmaceuticals and medical devices, consumer electronics and mobile devices, wine and spirits, luxury goods, libraries and logistics. Details of the continuing business and reporting treatment appear in Identiv’s SEC filing.
Identiv presented the sale as a way to raise capital, strengthen its balance sheet and focus investment and leadership on specialty IoT. Those were the company’s stated strategic aims, not proof that the sale itself guaranteed growth. The transaction materials said then-CEO Steve Humphreys would join the buyer at closing, while then-president of IoT Solutions Kirsten Newquist would become Identiv’s CEO. Identiv’s stated rationale and the planned leadership changes are in its transaction materials.

Transition support and financial reporting
After the sale, Identiv and the buyer had a transition-services agreement covering information technology, personnel and facility support. The filing described an expected term of 12 to 18 months after closing. That arrangement was for transitional assistance; it did not mean Identiv continued to own the sold operations.
For applicable 2024 comparative periods, Identiv classified the Physical Security Business as discontinued operations. Its continuing operations were reported through the IoT Business segment. Readers comparing financial results should therefore distinguish the divested business from the operations Identiv retained.

How to read the deal in context
The physical-security divestiture closed in 2024 and should not be confused with a separate proposed transaction announced in 2026 involving Identiv’s IoT business and Trackonomy Systems. The later filing describes a different business and a different deal; it does not change who bought the Physical Security Business or when that sale closed.
