Proofpoint announced a definitive agreement to acquire email-security company Tessian on October 30, 2023, and completed the acquisition on December 19, 2023. The announcement described plans to combine Tessian’s human-focused email protections with Proofpoint’s security offering; the two releases reviewed do not state the purchase price.
What happened, and when did Proofpoint acquire Tessian?
The two dates mark separate transaction milestones. On October 30, 2023, Proofpoint announced that it had signed a definitive agreement to acquire Tessian. The agreement remained subject to customary closing conditions, including any required regulatory approvals, and Proofpoint then expected the transaction to close between late 2023 and early 2024. Proofpoint announced completion on December 19, 2023.
Read the October 30 announcement as the agreement date, not the closing date; the December 19 release confirms the acquisition was completed. Proofpoint named Piper Sandler as Tessian’s financial advisor.
Why did Proofpoint say it was acquiring Tessian?
Proofpoint framed the deal around email-related risks involving people: messages and attachments sent to the wrong recipient, sensitive data leaving an organization, and inbound email threats. The October announcement said Tessian used behavioral understanding and machine learning to address these risks. These were Proofpoint’s descriptions of Tessian’s capabilities, not an independent assessment.

Proofpoint’s announcement attributed several figures to Ponemon research: 65% of data loss incidents in 2022 occurred via email; nearly two-thirds of organizations had experienced data loss or exfiltration caused by an employee mistake on email; and security teams took an average of 48 hours to detect and remediate an employee-negligence incident of that kind. Those are figures as reported by Proofpoint citing Ponemon, rather than independently verified here from the underlying study.
Proofpoint executive Darren Lee, then executive vice president and general manager of its Security Products and Services Group, said: “Far too often, human errors with email lead to organizations putting their own and their customer’s data at risk, breaching industry and data protection regulations and losing mission-critical intellectual property.” Tessian CEO Tim Sadler said the company’s vision was to “secure the human layer,” with an offering spanning inbound email security and outbound data loss prevention.

What Tessian products did the announcement describe?
Proofpoint’s 2023 announcement named three Tessian products. It described their intended risk focus as follows:

What did Proofpoint say would happen after closing?
Before closing, Proofpoint said Tessian’s solutions were expected to become part of its offering. In its December 19, 2023 closing announcement, Proofpoint said it intended to bring joint solutions to market in early 2024. That wording described a company plan, not confirmation that a launch occurred on a particular date. The two announcements do not establish subsequent launch timing or present-day availability.
