Cisco to Acquire Duo for $2.35 Billion, Adding to Security

Cisco acquired Duo Security for approximately $2.35 billion in 2018, adding cloud-based multifactor authentication, device-health checks and zero-trust access controls to its security portfolio.

Cisco announced on August 2, 2018, that it would acquire cloud-security company Duo Security for approximately $2.35 billion in cash plus assumed equity awards. The transaction closed on October 1, 2018, bringing Duo’s multifactor authentication, device-health checks and cloud access controls into Cisco’s security portfolio.

What Cisco bought

Duo provided unified access security and multifactor authentication through a cloud service. Before allowing a user into an application, the service could verify the person’s identity and assess the health or security posture of the device being used.

That combination supported a zero-trust approach: access decisions could account for both who the user was and whether the device met security requirements, rather than relying solely on a trusted corporate network.

How much Cisco paid

The announced consideration was approximately $2.35 billion. Cisco described it as cash plus assumed equity awards, covering 100% of Duo’s outstanding shares, warrants and equity incentives on a fully diluted basis. Cisco’s 2018 Form 10-K recorded approximately $2.35 billion of agreed consideration and stated that Duo revenue would be reported in Cisco’s Security product category.

Why Cisco wanted Duo

Extending security beyond the network

Cisco said Duo would help extend its intent-based networking strategy into multicloud environments. Duo’s cloud-delivered access controls gave Cisco a way to apply security policy as users connected to applications across different clouds and network locations.

Combining identity and device context

Duo added an identity layer to Cisco’s broader network, endpoint and cloud-security capabilities. Checking identity alongside device health can help organizations make more granular access decisions than a password-only model.

Improving endpoint visibility

Cisco also identified expanded endpoint visibility as a benefit. Information about the device requesting access could be used with network and application controls, helping security teams understand where access requests originated and whether the device appeared compliant.

Duo CEO and co-founder Dug Song and the Duo team joined Cisco’s Networking and Security business, led at the time by Executive Vice President and General Manager David Goeckeler. Cisco planned to integrate Duo with its network, device and cloud-security platforms so customers could connect users to applications on networked devices more securely.

What the deal means for customers

The acquisition gave Cisco customers a path to combine Cisco infrastructure and security controls with cloud-based MFA and device-aware access. The practical value depended on an organization’s existing Cisco environment, application mix and ability to administer policies across users, devices and cloud services.

Duo was not simply a replacement for network security appliances. Its contribution was the access decision itself: authenticate the user, evaluate the device and then apply policy before allowing application access. Cisco’s stated goal was to make that policy work across on-premises networks and multiple clouds.

What the $2.35 billion figure does—and does not—tell you

  • The figure is the transaction consideration announced and completed in 2018, not a current valuation of Cisco Duo.
  • It includes cash and assumed equity awards and was calculated on a fully diluted basis.
  • It does not by itself show Duo’s standalone profit, customer count or return on Cisco’s investment.
  • Cisco reported Duo revenue within its Security product category after the acquisition, rather than as a separately reported public segment.

Bottom line

Cisco bought Duo to add cloud-delivered, identity- and device-aware access security to its networking and security businesses. The $2.35 billion deal, announced in August 2018 and closed in October 2018, positioned multifactor authentication and zero-trust access as complements to Cisco’s network, endpoint and multicloud security controls.
