What Switch agreed to buy
Switch’s May 3, 2021 announcement described Data Foundry as a carrier-neutral colocation provider headquartered in Austin, with four highly connected, multi-tenant data centers: three in Austin and one in Houston. When the acquisition closed—and what the price covered
Switch reported in a Form 8-K that its subsidiary Switch, Ltd. completed the acquisition on June 7, 2021. The filing says Switch acquired Data Foundry’s equity interests and certain related real property interests for approximately $420 million, subject to customary closing adjustments. Why Switch said it wanted the Texas business
Switch said the acquisition would establish its fifth Prime data center campus, extend its geographic reach into the Central U.S., diversify its footprint and revenue exposure, and provide room to expand. Founder and CEO Rob Roy described the intended benefits as broader reach and low-latency connectivity for Texas and the Central U.S., along with geographic and revenue diversification. What happened to Switch afterward
DigitalBridge and IFM Investors completed their take-private of Switch on December 6, 2022. DigitalBridge described the transaction as valued at approximately $11 billion, including repayment of outstanding debt. Switch’s common stock stopped trading after the transaction, so the company should be described as privately held after the take-private rather than as a current NYSE-listed issuer.
