Oracle Beat Microsoft to TikTok’s U.S. Partnership—But It Wasn’t an Immediate Sale

Oracle did not buy TikTok’s U.S. operations from ByteDance in 2020. ByteDance rejected Microsoft’s bid and chose Oracle for a proposed trusted-technology and cloud partnership. A later agreement created TikTok USDS Joint Venture LLC, in which Oracle became a 15% investor. Reports also describe Oracle running the venture’s U.S. data system, but the available sources do not establish that those safeguards have passed an independent security audit.

What Oracle actually won in 2020

In September 2020, ByteDance rejected Microsoft’s offer for TikTok’s U.S. business. Oracle announced that TikTok had selected it as a secure cloud provider and “trusted technology provider.” Reuters described ByteDance’s preference as a partnership rather than an outright sale, while the Congressional Research Service treated the proposal as a technology arrangement.

That distinction matters. The 2020 proposal did not transfer ownership of TikTok’s U.S. operations to Oracle. ByteDance remained the owner, and Oracle’s announced role centered on cloud infrastructure and security services. Calling the result a conventional acquisition overstates what was agreed at the time.

How the arrangement evolved into a U.S. joint venture

The structure changed after years of legal and political pressure. The Associated Press reported that TikTok signed agreements in December 2025 with Oracle, Silver Lake and MGX to form a new U.S. joint venture. Oracle’s Form 10-Q for the quarter ended August 31, 2026 identifies TikTok USDS Joint Venture LLC as an equity-method investee and reports Oracle’s ownership at 15%.

That makes Oracle more than a technology supplier in the later structure: it is also an equity investor. It still does not mean Oracle owns TikTok globally or acquired all of ByteDance’s U.S. assets.

AP reported that U.S. user data would be stored locally in an Oracle-run system and that the U.S. venture would oversee content moderation and U.S. policies. Those are reported arrangements, not an independently audited finding that the system is secure or that moderation is effective.

The available reporting does not include a verified security-audit conclusion from Oracle, TikTok, a regulator or a court. Oracle’s 2026 filing confirms the investment but does not independently describe the operational controls.

Why the deal was needed

AP described the venture as a response to a 2024 U.S. law requiring TikTok to divest from ByteDance to avoid a ban. The app faced a statutory deadline in January 2025; AP reported that President Donald Trump’s administration issued orders allowing TikTok to continue operating while an agreement was pursued.

The cited sources do not provide a complete history of the statute, litigation or enforcement. The practical point is that the later venture was designed in the shadow of a divest-or-ban requirement, whereas the 2020 contest occurred before that final structure existed.

Will the arrangement change your TikTok feed?

U.S. users could continue using the same app, according to AP. However, the reporting did not establish measured post-transition changes to recommendations. The reported plan involved licensing the backend algorithm from ByteDance and retraining it on U.S. user data.

Forrester analyst Kelsey Chickering told AP, “Global content will still appear, but its ranking will change.” That is an expectation about how retraining could affect recommendations, not a documented measurement of users’ feeds. AP also reported that the law restricts cooperation over the recommendation algorithm and that the legal treatment of ByteDance’s continued involvement remained unclear.

In practical terms, the app’s interface and broad catalog may look familiar while personalized ranking could evolve. No cited source establishes the size, direction or timing of any feed change.

The later TikTok USDS joint venture is a different stage: Oracle is a reported 15% investor and is described by AP as operating the U.S. data environment, while ByteDance remains involved through the reported ownership and algorithm license.
