Absolute announced cash consideration of US$340 million; its closing acquisition report recorded a US$341.7 million cash purchase price, subject to customary closing and working-capital adjustments.
When did Absolute acquire NetMotion?
The acquisition had two key dates:
| Date | Event |
|---|---|
| May 11, 2021 | Absolute announced a definitive agreement to acquire 100% of privately held NetMotion Software. |
| July 1, 2021 | The transaction closed, according to Absolute’s business-acquisition report. |
That distinction matters: May marked the signed agreement, while July 1 marked the completed change in ownership.
How much did Absolute pay for NetMotion?
Absolute announced an all-cash purchase price of US$340 million. In its report of the completed acquisition, Absolute recorded a US$341.7 million cash purchase price, subject to customary closing and working-capital adjustments. The two figures therefore describe different stages of the same transaction rather than a contradiction.
How was the purchase financed?
| Funding source | Amount | Qualification |
|---|---|---|
| Absolute cash on hand | US$66.7 million | Amount recorded in the closing acquisition report. |
| Secured term loan from Benefit Street Partners LLC | US$275.0 million | Debt financing recorded at closing. |
| Total recorded funding | US$341.7 million | Matches the reported cash purchase price before any interpretation of later financing changes. |
The original announcement described the planned funding as US$275 million of debt and US$65 million of Absolute cash. The closing report subsequently recorded US$275 million of secured debt and US$66.7 million of cash on hand.

What did NetMotion bring to Absolute?
Absolute characterized NetMotion as a Secure Access Service Edge (SASE) business serving more than 3,000 organizations. NetMotion’s unified platform brought together three enterprise capabilities:
Enterprise VPN
NetMotion supplied enterprise virtual private networking designed for distributed workforces. In practical terms, a business VPN provides controlled, encrypted access to corporate resources when employees work away from a traditional office network. NetMotion’s positioning emphasized connectivity that could support mobile and distributed users.
Zero-Trust Network Access
NetMotion also provided Zero-Trust Network Access (ZTNA). ZTNA is an access model in which permissions are governed by policy rather than by treating every user inside a network as automatically trusted. The relevant business question is whether a particular user, device and request should receive access to a particular resource.

Digital Experience Monitoring
Digital Experience Monitoring (DEM) gave the platform a visibility component. Monitoring the digital experience helps an organization identify how users encounter applications and network services, rather than relying only on whether a connection is technically present.
These capabilities complemented Absolute’s Endpoint Resilience platform, which Absolute described as providing self-healing endpoint and application capabilities. The strategic rationale was to combine endpoint persistence and recovery with secure connectivity, visibility and policy controls.
Why did Absolute buy NetMotion?
Absolute presented the acquisition as a way to broaden its response to distributed-workforce security and zero-trust requirements. NetMotion added the secure-access side of that proposition—VPN, ZTNA and DEM—while Absolute contributed endpoint resilience and application persistence.

- 【Repeater for Public, Hotel WiFi】Convert a public network(wired/wireless) to a private network(wired/wireless) for secure surfing. Work with Captive Portal. (Note: Most of the Free Public Wi-Fi hotspot set a time limit for users, which will disconnect your devices once the time is over. To deal with this situation, please reconnect your router to the wifi.)
- Secure access: NetMotion’s VPN and ZTNA addressed how users and devices connect to business resources.
- Experience visibility: DEM added a way to observe the quality of users’ digital access.
- Endpoint continuity: Absolute’s self-healing capabilities were intended to keep endpoint and application controls present and functioning.
- SASE positioning: The combined portfolio was aimed at organizations evaluating broader SASE and zero-trust requirements rather than a standalone endpoint product.
The announced rationale describes product complementarity; it does not establish that every customer immediately received a fully integrated product or that the combination delivered a particular security or financial result.
What happened to NetMotion after the acquisition?
NetMotion became part of Absolute’s product portfolio after the July 1, 2021 closing. The first specifically documented combined-product milestone came on October 27, 2021, when Absolute announced that it was adding its Application Persistence capabilities to NetMotion’s ZTNA products.
Application Persistence was described as bringing Absolute’s self-healing capability into those ZTNA products. This is evidence of an early product integration step, not a complete account of subsequent branding, packaging, pricing or product retirement. The available transaction materials do not establish a current standalone NetMotion brand status or a current customer migration policy.

What do VPN, ZTNA and DEM mean for an enterprise buyer?
| Capability | Primary question it answers | Role in the combined proposition |
|---|---|---|
| VPN | How can a distributed user connect to protected business resources? | Provides enterprise network connectivity, including for mobile workforces. |
| ZTNA | Which user or device should access which resource under current policy? | Adds policy-controlled, zero-trust access. |
| DEM | What is the user’s experience of applications and connectivity? | Adds visibility into digital-service performance and experience. |
| Endpoint resilience and Application Persistence | Will endpoint and application controls remain present and functioning? | Adds Absolute’s self-healing and persistence capabilities to the secure-access portfolio. |
These categories overlap in a broader architecture but are not interchangeable. A VPN connection does not by itself define a zero-trust policy, and monitoring a user experience does not replace access controls or endpoint recovery.
How should organizations evaluate this kind of platform?
Organizations comparing Absolute-NetMotion with other enterprise secure-access offerings should assess the same operational and financial dimensions rather than relying on the acquisition headline:
- VPN performance and mobility for the locations, devices and networks employees actually use.
- ZTNA policy depth, including how narrowly access can be limited to users, devices and applications.
- Digital-experience monitoring coverage and the quality of troubleshooting data.
- Endpoint persistence or self-healing, including which controls can recover after tampering or failure.
- Deployment model and administrative overhead across offices, remote users and cloud services.
- Integration with existing endpoint-management, identity and security tools.
- Total contract cost, including licenses, implementation, support and any required adjacent products.
The transaction sources establish the product categories but do not provide a current, apples-to-apples competitive benchmark, performance test or total-cost comparison. Buyers should therefore validate those items in a current proof of concept and contract review.

What the acquisition means financially
For Absolute, the deal converted a strategic product expansion into a substantial cash outlay: US$341.7 million was recorded at closing, funded with both existing cash and a secured term loan. The debt component means the acquisition was not financed solely from the company’s balance-sheet cash.
For customers and other stakeholders, the reported purchase price does not by itself reveal whether the acquisition created a return, how quickly synergies were realized, or how NetMotion’s later products were priced. Those conclusions would require additional financial and product disclosures beyond the transaction figures.
The Bottom Line
Absolute announced its NetMotion acquisition on May 11, 2021, completed it on July 1, 2021, and reported a US$341.7 million closing purchase price funded by US$66.7 million of cash and a US$275 million secured term loan. NetMotion added enterprise VPN, ZTNA and DEM to Absolute’s endpoint-resilience portfolio; the first documented integration step added Application Persistence to NetMotion’s ZTNA products in October 2021.
