Broadcom’s $69B VMware Takeover Faces New European Legal Pressure From CISPE

CISPE’s court action and separate European Commission complaint target different parts of Broadcom’s VMware strategy. Learn the legal status, licensing allegations and practical steps for customers.

CISPE has launched two separate challenges over Broadcom’s VMware strategy: a July 2025 action in the European Union’s General Court seeking to annul the European Commission’s merger approval, and a March 2026 competition complaint asking the Commission to intervene in licensing and partner-program changes. Neither filing has overturned the acquisition or established that Broadcom broke EU competition law.

What happened in the Broadcom–VMware deal?

Broadcom completed its acquisition of VMware in November 2023. The transaction was widely reported at roughly $69 billion, although the European Commission’s legal decision identifies it as Case M.10806 – Broadcom/VMware rather than relying on the headline valuation. The combination brought VMware’s major server-virtualization software portfolio under the same ownership as Broadcom’s hardware and software businesses.

The Commission’s decision, dated July 12, 2023, declared the concentration compatible with the internal market and the European Economic Area, subject to commitments. Its review considered whether the combined company could disadvantage competing hardware and software suppliers through VMware’s importance in virtualization. The published summary discusses interoperability and possible foreclosure risks involving products such as storage adapters and Fibre Channel host bus adapters. Who is CISPE?

CISPE, the Cloud Infrastructure Services Providers in Europe, is an industry association representing European cloud-infrastructure providers. It advocates competition, data sovereignty and access to European cloud infrastructure. CISPE is not an EU regulator or institution, so its allegations are the position of participating providers rather than findings of infringement.

The first track: CISPE’s court challenge

On July 23, 2025, CISPE brought Case T-503/25, CISPE v Commission, before the General Court. It asks the court to annul the Commission’s approval decision and order the Commission to pay costs. The case record is available on EUR-Lex and InfoCuria.

What CISPE alleges

In its pleaded grounds, CISPE says the Commission made errors of law, manifest errors in its competition assessment and failed to give adequate reasons. It argues that the review did not properly assess:

  • the risk of bundling VMware virtualization software with Broadcom hardware;
  • bundling VMware products with Broadcom’s other software;
  • VMware’s importance to cloud-infrastructure providers; and
  • whether the commitments attached to approval were effective enough to protect competition.

These are CISPE’s legal arguments, not findings by the General Court. InfoCuria records an order dated February 3, 2026, but the available record as of August 18, 2026 does not show a merits judgment or an annulment.

What the court action cannot do automatically

  • Filing does not suspend or reverse the acquisition.
  • It is not automatically an injunction against Broadcom’s licensing policies.
  • The court could reject the action, dismiss it on admissibility or merits, or grant some or all of the requested relief.

The second track: a separate competition complaint

On March 19, 2026, CISPE filed a separate competition complaint with the European Commission against Broadcom. The complaint concerns conduct after the acquisition, rather than the legality of the original merger decision. CISPE asks for an investigation and urgent interim measures, including suspension of the planned termination of the European VMware Cloud Service Provider (VCSP) program and readmission of European providers that it says were excluded or terminated. CISPE describes the complaint here.

CISPE attributes several effects to Broadcom’s post-acquisition policies, including:

  • a move from perpetual licenses toward subscription-only offerings;
  • consolidated product packaging and bundling;
  • higher prices, upfront-payment demands and minimum commitments; and
  • changes to partner and cloud-service-provider structures.

CISPE says Broadcom signaled termination of the European VCSP program in January 2026 and claims cumulative changes increased costs by more than 1,000% for affected providers. That figure is an allegation about affected providers, not a universal VMware price increase. A complaint also does not mean the Commission has opened a formal infringement case or concluded that EU law was breached.

Why the dispute matters to Europe’s cloud market

The central policy question is broader than whether a particular renewal became more expensive. It is whether the Commission’s merger review adequately considered the ability and incentive of the combined company to exploit VMware’s importance to cloud providers after the acquisition, and whether later conduct should be addressed through abuse-of-dominance enforcement.

Potential effects include higher costs for providers using VMware, fewer companies able to offer VMware-hosted services, reduced choice for customers seeking European or sovereign-cloud options, and greater negotiating leverage for Broadcom. Smaller providers may reach VMware customers indirectly through distributors, white-label partners or other authorized arrangements rather than holding a direct license relationship. A program change can therefore affect market access even when a provider does not sell VMware licenses itself.

What VMware customers should check now

The legal proceedings do not mean every customer should migrate immediately. Switching costs, application dependencies, compliance obligations and support arrangements differ substantially. Customers should document their position before a renewal or provider change:

  1. Identify the license model. Confirm whether each workload uses a perpetual license, a term license or a subscription, and whether support or key features require a continuing payment.
  2. Map provider dependency. Ask whether the service depends on VCSP authorization, a distributor, a white-label partner or another upstream agreement, and what happens if that status changes.
  3. Obtain written commercial terms. Record renewal dates, price formulas, minimum commitments, upfront-payment requirements, bundled products and any renewal protections.
  4. Inventory VMware-specific functions. Check dependencies on vMotion, NSX, vSAN, backup integrations, storage, networking, disaster recovery and management tooling.
  5. Test portability. Validate VM conversion, application behavior, network and security policies, backup restoration and operational monitoring on a second platform.
  6. Review exit and compliance obligations. Confirm data portability, support periods, encryption and key-control requirements, data location and sector-specific rules.
  7. Prepare negotiating leverage. A second-platform plan for critical workloads can improve resilience even if the organization ultimately renews.

Options for providers and enterprise buyers

Potential alternatives include Nutanix AHV, Red Hat OpenShift Virtualization and OpenStack, while AWS, Microsoft Azure and Google Cloud offer hosted VMware services. Suitability depends on workload portability, staff expertise, region, sovereignty requirements, backup and disaster-recovery compatibility, and three-year total cost of ownership. Enterprise quotes vary by cores, term, bundled components, region, support, infrastructure and partner route. No reliable universal public price or savings percentage can be applied across these choices; buyers should require itemized quotes covering licensing, support, cloud infrastructure, networking, storage, backup and migration services.

What happens next?

The General Court will continue the T-503/25 proceedings, while the Commission must assess CISPE’s separate complaint and its request for interim measures. Broadcom can defend its licensing and partner changes, and providers and customers may renegotiate or begin migration planning regardless of either legal outcome. The available record does not establish that the acquisition will be annulled, that the Commission will impose interim measures, or that Broadcom will restore the former licensing model.

The Bottom Line

CISPE’s two-track campaign puts legal and regulatory pressure on Broadcom and the European Commission, but it has not yet produced a finding of wrongdoing or reversed the VMware acquisition. For customers, the immediate financial issue is measurable: understand the contract, model renewal exposure, test portability and preserve alternatives before the next commitment.
