The proposal sought a board-commissioned report on the risks and costs of Apple’s continued business relationship with China—not a conventional audit of Apple’s financial statements. It lost by a wide margin, leaving Apple under no new obligation to produce the report.
What shareholders voted on
The National Center for Public Policy Research (NCPPR) sponsored Proposal No. 5 in Apple’s 2026 proxy statement. It asked Apple’s board to evaluate the risks and costs of the company’s continued “entanglement” with China and publish a report within one year, at reasonable cost and excluding confidential information. The proposal did not call for Apple to leave China or end its Chinese manufacturing and sales relationships. The “audit” label can therefore mislead. The requested deliverable was a strategic risk-and-cost assessment for shareholders, not an independent examination of Apple’s financial statements by its accounting firm.
Who supported it
NCPPR was the named shareholder-proposal sponsor. The affiliated National Legal and Policy Center (NLPC) separately solicited support for a “for” vote and presented the measure as a supply-chain resilience and shareholder-risk issue. The two organizations should not be treated as the same legal proponent.

The vote by the numbers

Using only votes for and against, the proposal received about 1.42% for and 98.58% against (129,158,181 plus 8,939,194,258 equals 9,068,352,439). Abstentions and broker non-votes are reported separately; they should not be added to the “against” total. The official totals appear in Apple’s Form 8-K.

Apple’s proxy voting standard required approval by a majority of the shares present or represented and voting, as well as a majority of the shares needed to constitute a quorum. The result was therefore an overwhelming defeat, not a close technical loss.
Why Apple recommended voting against it
Apple’s board recommended “against” Proposal No. 5. In its proxy materials, management gave three principal reasons:

- Redundancy: Apple said it already provides extensive information about its international operations and related risks.
- Prescriptiveness: The company characterized the requested report as too specific about how Apple should assess and disclose risk.
- Ordinary-business and strategy concerns: Apple argued that the proposal would intrude on management’s authority over ordinary operations and business decisions.
Those are Apple’s stated positions, not an independent finding that its existing disclosures answer every investor’s question.
Why proponents wanted a report
The supporting case focused on several kinds of exposure, as described in the proponents’ proxy materials:

- Potential U.S.–China trade restrictions and tariffs.
- China’s role in Apple’s manufacturing network and supply chain.
- Reliance on Chinese components and suppliers even when final production moves to countries such as India or Vietnam.
- The commercial importance of Greater China.
- Possible disruption to Apple’s diversification efforts and broader geopolitical risk.
These arguments concern different forms of “China exposure”—sales, assembly, components, suppliers, engineering, regulatory relationships and geopolitics. A factory-location measure alone would not capture all of them. The proposal’s supporters also used severe risk language; that language belongs to their advocacy, not to the meeting’s vote as an established conclusion.
What else happened at the annual meeting
The February 24 meeting was virtual and began at 8:00 a.m. Pacific Time. Apple’s record date was January 2, 2026, according to the company’s investor-relations notice: Apple Investor Relations.

Apple recommended “for” on Proposals 1 through 4 and “against” on Proposal 5. The Form 8-K reports the official results; contemporaneous coverage also described the accounting-firm ratification as approved: 9to5Mac.

What the decision means for Apple and investors
The immediate effect is procedural: shareholders declined to mandate the requested additional report, preserving management’s discretion and imposing no new China-reporting requirement. The vote does not show that Apple has reduced or increased its China exposure, abandoned manufacturing diversification, or proved that China-related risks are immaterial. It also does not establish that every opposing shareholder endorsed Apple’s China strategy; the filing records the outcome, not each voter’s reason.

Nor did the vote approve Apple’s current supply chain or require the company to maintain it. Apple may still choose to publish additional analysis voluntarily, and future filings may provide more or less detail.
What to watch next
Investors assessing the issue independently can follow:
- Apple’s annual report and risk-factor language on trade, tariffs, suppliers and geopolitical conditions.
- Geographic revenue disclosures, including results for Greater China.
- Manufacturing and supplier disclosures showing how diversification changes—and whether non-China production still depends on Chinese inputs.
- New tariff or trade-policy actions that could alter costs or access to markets.
- Future proxy statements and shareholder proposals addressing supply-chain resilience or China-related reporting.
These sources can inform an investor’s own analysis, but the annual-meeting vote itself is not evidence that Apple’s China exposure is safe, unsafe, rising or falling.
