What Egghead Software became
Egghead began in 1984 as a physical retailer selling packaged computer software. It grew into a substantial chain of stores during the late 1980s and 1990s. As retail economics changed, the company closed its remaining stores in the late 1990s and concentrated on Egghead.com.
Egghead later merged with Onsale.com, but the Egghead.com identity remained. The business filed for bankruptcy in August 2001. In December, Amazon acquired the Egghead.com domain and related online operation for $6.1 million and relaunched it using Amazon’s e-commerce platform. That transaction should not be described as Amazon acquiring a healthy, continuing Egghead store chain; it followed the company’s collapse.

How Newegg actually started
Newegg’s own corporate history says the company was founded in 2001. Its 2025 Form 20-F filing describes Newegg.com as its first U.S. online platform, launched that year. A company investor presentation characterizes the initial business as an online retailer focused on PC components.
Newegg later expanded into broader technology, electronics, gaming, appliances and marketplace sales. Nothing in those first-party histories identifies Egghead as a former name, predecessor, acquisition or source of Newegg’s business.

Why the memory feels plausible
Both names contain “egg”
“Egghead” and “Newegg” are unusually similar names, and both brands served people shopping for computer products. “Newegg” can easily sound like “the new Egghead,” even though that interpretation is not supported by the documented history.
The timing creates a false handoff
Egghead’s bankruptcy, the sale of Egghead.com and Newegg’s launch all occurred in 2001. Someone who stopped seeing Egghead stores and then encountered Newegg online could reasonably assume one had replaced the other.

Confusion was documented
A USPTO Trademark Trial and Appeal Board record documents marketplace confusion involving the names. In a 2005 AnandTech forum thread, a customer-service response reproduced by a participant said Newegg and Egghead had “no connection.” That is useful contemporaneous evidence, but it is forum-reproduced correspondence rather than a current corporate filing: AnandTech discussion.
Did Newegg buy Egghead’s domain or customers?
There is no reliable evidence that it did. The documented buyer of Egghead.com was Amazon, which relaunched the site in December 2001. Available sources do not establish that Newegg acquired Egghead’s customer database, employees, inventory, stores, trademarks or infrastructure.

A domain sale is also not the same thing as a corporate merger. Even if two brands serve similar shoppers, that alone does not establish legal succession.

The evidence supports a separate Newegg brand, not a renamed Egghead. A secondary historical account describes the name as suggesting new hope or potential for e-commerce: historical name account. Newegg’s current About page does not provide a detailed official etymology, so that explanation should be treated as attributed background rather than definitive proof.

The most defensible conclusion is narrower and clearer: no reliable evidence shows that “Newegg” was intended to mean “the new Egghead,” and contemporaneous Newegg customer service denied a corporate connection.
Bottom line
Your memory is understandable because the names, customers and 2001 dates overlap. But Newegg was not a renamed Egghead Software and was not Egghead’s successor. Egghead moved from stores to Egghead.com, entered bankruptcy, and had its domain sold to Amazon. Newegg was founded independently in 2001 as an online computer-component retailer.
