Ferguson sent warning letters to 14 technology companies, arguing that they could violate Section 5 of the FTC Act if they weaken promised security or censor Americans to satisfy—or anticipate—foreign government demands. The letters were warnings, not a ban, fine, lawsuit, or finding that any recipient had already broken U.S. law.
The practical dispute is whether companies will localize European and British requirements or apply one global policy. That choice affects Americans’ encryption, privacy, speech, and the security commitments attached to the services they use.
What the FTC told the companies
Ferguson’s letters identified two related risks. First, a provider that advertises encrypted or secure communications could face deception scrutiny if it later weakens those protections for U.S. users because of foreign pressure. Second, a platform could face scrutiny if it removes or restricts Americans’ lawful speech to comply with, or avoid the expected consequences of, foreign regulation—especially when that conflicts with its consumer-facing promises or users’ reasonable expectations. The FTC described the concern as applying to more than a dozen prominent technology companies, not just social networks.
The agency relied on Section 5 of the FTC Act, which prohibits unfair or deceptive acts or practices in or affecting commerce. The FTC’s press release says it has brought dozens of data-security cases over two decades involving alleged failures to maintain reasonable safeguards or keep security promises. The listed recipients cover infrastructure, cloud, messaging, social media, domain services, and workplace communications:

The foreign laws behind the warning
European Union Digital Services Act
The Digital Services Act (DSA) imposes obligations on intermediary services offered to recipients in the European Union, regardless of where the provider is established. Its formal objectives include illegal-content procedures, platform accountability, and systemic-risk management. The territorial rule is described in EUR-Lex material on the DSA.

Ferguson’s letter argued that DSA obligations could create incentives for a company to use one worldwide moderation system rather than maintain separate EU and U.S. rules. That is the FTC chairman’s prediction about commercial and operational behavior—not a statement that the DSA categorically orders censorship of Americans. A provider may instead geofence restrictions, limit a feature in the EU, or choose a global policy voluntarily for cost, engineering, or risk-management reasons.
United Kingdom Online Safety Act
The Online Safety Act is directed at online safety and illegal-content risks for services serving UK users. Ferguson warned that detection and removal duties could be generalized to users elsewhere if a platform decides that a single policy is simpler. UK regulators would describe the framework as safety and accountability regulation; the political dispute is whether its practical effects produce excessive restrictions on lawful speech outside the UK. United Kingdom Investigatory Powers Act
The Investigatory Powers framework provides legal mechanisms for targeted interception, communications-data acquisition, and targeted equipment interference, subject to statutory conditions and authorization safeguards. Relevant powers can involve warrants and judicial oversight, including a “double-lock” process in some circumstances, as summarized in EUR-Lex material on the UK framework.

The FTC objected to the possibility that a demand under this framework could cause a provider to alter security architecture or weaken end-to-end encryption in a way that affects Americans. The law does not automatically require every messaging service to install a universal backdoor. A targeted legal-access demand, a change affecting one account or product, and a systemic weakening that broadens access are technically and legally different events.
Why encryption is central
With end-to-end encryption, the communicating endpoints—not the service provider in ordinary operation—hold the keys needed to read message contents. A provider can still possess account information, metadata, backups, or other data, and a lawful request may seek those categories without changing message encryption.
- Targeted access: A demand directed at specified data, users, or equipment under the relevant legal process.
- Product- or region-specific change: A security feature is altered for one service, account class, or jurisdiction.
- Systemic weakening: An architectural or operational change that makes protected communications more broadly accessible.
Ferguson identified foreign surveillance, identity theft, and fraud as potential consumer harms if security promises are weakened. Whether those risks materialize depends on the product, implementation, scope, and safeguards; the letter did not establish that any named company had already made such a change.

How Section 5 could apply
Deception theory
A future case could allege that a company made a security representation—such as a promise of end-to-end encryption—and then materially reduced that protection without clear disclosure. The FTC would need to examine the exact wording, what users reasonably understood, the technical change, causation, and evidence of consumer injury. A general statement that a service is “encrypted” does not necessarily promise that no lawful-access mechanism will ever exist.
Unfairness and speech-related conduct
The letters also raise a possible unfairness or deception theory when foreign-pressure-driven moderation conflicts with a company’s stated commitments or reasonable user expectations. That theory is unsettled. Content removal may reflect the company’s own terms, a valid foreign order, automated systems, or overlapping laws rather than a single government instruction. The letters do not resolve First Amendment, jurisdictional, preemption, or international-comity questions.

The agency sent chairman or staff communications reminding recipients of potential obligations and inviting discussions. The FTC staff-letter listing identifies the August 21, 2025 model letter: FTC staff-letter page. Contemporary reporting said companies were asked to schedule meetings by August 28, 2025. Computerworld reported on that deadline.

- The FTC did not prohibit companies from complying with valid foreign law.
- The letters did not create a universal rule requiring identical U.S. and foreign policies.
- A foreign request is not automatically unlawful, and every content-removal decision is not automatically an FTC violation.
The operational choice companies face

The answer can differ by company. A messaging provider’s encryption design is not interchangeable with a cloud host’s access controls, a domain registrar’s suspension process, or a social network’s moderation system. A platform might also use a global automated model simply because separate models are impractical, without receiving a direct foreign order.
Why the legal theory remains contested
A congressional document criticized Ferguson’s letter as offering limited legal analysis and described its extraterritoriality theory as vague. Read the congressional document. A test case would have to connect a specific representation and technical or policy change to deception or unfairness under Section 5 while addressing constitutional, jurisdictional, and international-law objections.
The FTC’s technology materials continued to list the August letters as a policy matter, but the available official material does not establish a later enforcement case against a named recipient over this issue. FTC technology matters.
