Meta Platforms, Inc. owns WhatsApp. Meta is the company formerly known as Facebook. WhatsApp remains a separate app and brand, but it is a Meta subsidiary—not an independently owned company and not the personal property of Mark Zuckerberg.
WhatsApp’s current owner
Meta’s latest annual report lists WhatsApp among its “Family” of products, alongside Facebook, Instagram and Messenger. In practical terms, the ownership chain is:
- Meta Platforms, Inc.
- Facebook, Instagram, Messenger and WhatsApp
“Facebook owns WhatsApp” is historically accurate because Facebook announced and completed the purchase. “Meta owns WhatsApp” is the current corporate answer. WhatsApp is not owned by Google, Apple, Microsoft, a mobile carrier or its founders.
Mark Zuckerberg leads Meta as founder, chairman and chief executive. That executive role and his significant voting influence are not the same as personally owning WhatsApp; the legal owner is Meta Platforms, Inc., whose ownership is distributed among shareholders.

When did Facebook buy WhatsApp?
Facebook announced the proposed acquisition on February 19, 2014. The transaction closed in October 2014, after which Facebook’s filing described WhatsApp as a wholly owned subsidiary.
The acquisition announcement said WhatsApp would keep its name, headquarters and standalone application. Those promises described how the service would operate, not ownership outside Facebook. The app could remain operationally distinct while being fully owned by its parent.
Facebook’s acquisition announcement and its 2014 Form 10-K filed with the SEC document these points.

How much did Facebook pay?
Different figures refer to different stages and valuation conventions for the same transaction:
| Figure | What it represents |
|---|---|
| Approximately $16 billion | The announced transaction consideration: about $4 billion in cash and $12 billion in Facebook stock. |
| Approximately $3 billion in restricted stock units | Additional awards for WhatsApp founders and employees, taking the announced headline package to roughly $19 billion. |
| Approximately $22 billion | A later commonly reported value reflecting the rise in Facebook’s share price before the deal closed. |
| About $4.59 billion cash, 178 million Facebook shares and 46 million employee RSUs | The consideration details reported in Facebook’s 2014 accounting, rather than the original announcement estimate. |
These are not competing purchases. The $16 billion announcement, the additional employee awards and the later stock-price-adjusted estimate describe the deal using different dates and components. See the announcement and SEC filing for the underlying figures; contemporary coverage also reported the approximately $22 billion valuation in Time.
Who founded WhatsApp?
Jan Koum and Brian Acton founded WhatsApp. Koum was the company’s co-founder and chief executive when the acquisition was announced, and the announcement said he would join Facebook’s board.
Rank #3
Founding a company does not mean retaining ownership after a sale. Once the October 2014 acquisition closed, WhatsApp was Facebook’s wholly owned subsidiary, so Koum and Acton were no longer its independent controlling owners.
Is WhatsApp independent from Meta?
That depends on what “independent” means:
- Operationally distinct: WhatsApp has its own app, brand and user experience.
- Corporately independent: No. Meta owns the subsidiary and ultimately controls major corporate decisions.
The clearest description is: WhatsApp is a distinct app and brand inside Meta, not a separately owned company outside Meta.

Does Meta own or read WhatsApp messages?
Ownership and message access are separate questions. Meta says personal WhatsApp messages and calls remain end-to-end encrypted, so the company cannot ordinarily read the content of those encrypted communications in transit. That claim does not mean WhatsApp collects no information or that every form of data is encrypted in the same way.

Message content versus other information
Account details, device and usage information, contacts, transactions and other categories are governed by WhatsApp’s applicable privacy terms. The exact disclosures can vary by region and change over time; consult the current Meta Privacy Policy and WhatsApp’s in-app privacy information for your jurisdiction.
Ads and the Updates tab
Meta says personal chats, calls and groups are not used to determine advertising in WhatsApp’s Updates-tab advertising system. Meta has announced ads in Status, promoted channels and channel subscriptions in that tab, while keeping those discovery features separate from personal conversations. If a user adds WhatsApp to Accounts Center, Meta says information and ad preferences from other Meta accounts may be used for relevant advertising experiences.
Accounts Center and Meta Account
WhatsApp can remain separate from a Meta Account unless the user chooses to connect it (or had previously connected it through Accounts Center). Corporate ownership therefore does not automatically merge every WhatsApp login with Facebook or Instagram. Meta’s Meta Account announcement describes that optional connection.

End-to-end encryption also does not eliminate risks from backups, compromised devices, screenshots, recipients or business systems. It is a specific protection for message and call content, not a promise that no information ever leaves a phone.

Ordinary personal messaging and calling do not require a mandatory monthly subscription. Meta’s commercial strategy instead centers on business communication and discovery features:
- WhatsApp Business app: A separate app for small businesses, with business profiles and customer-chat tools.
- WhatsApp Business Platform: An API and infrastructure for larger businesses, automation, integrations and support. Meta offers a cloud-hosted version that businesses can access directly or through business solution providers.
- Business messaging: Companies may pay for tools and message categories that support customer service, notifications and marketing.
- Updates-tab monetization: Meta has announced ads in Status, promoted channels and channel subscriptions.
- Paid broadcasts and business tools: Meta has introduced commercial controls and other paid features, with availability and pricing varying by market.
- AI and business agents: Meta is developing AI services intended to help businesses communicate with customers through WhatsApp.
Meta’s 2020 business announcement explained plans to charge businesses for some services while keeping consumer messaging and calls free. Its Business Platform announcement covers the cloud API. Features, fees, advertising rollouts and regulatory requirements can differ by country and date.
WhatsApp Messenger, WhatsApp Business and the Business Platform
“WhatsApp pricing” is ambiguous because it may refer to three different layers:
Recommended Free Tools
| Product | Primary user | Purpose |
|---|---|---|
| WhatsApp Messenger | Individuals | Personal messaging, voice calls, video calls and groups. |
| WhatsApp Business app | Small businesses | Business profiles and direct customer conversations. |
| WhatsApp Business Platform | Medium and large businesses | API-based messaging, automation, integrations and customer support. |
Businesses using the platform must follow Meta’s messaging policies. Meta says initiated messages require approved templates, and policy violations can lead to enforcement or messaging restrictions. Details are outlined in its business-chat management announcement.
What Meta ownership means for users
- Corporate control: Meta can set strategy, appoint leadership and decide how WhatsApp fits within its product family.
- Privacy choices: Encryption protects personal message and call content, while broader data practices are set out in privacy terms and regional disclosures.
- Product integration: Optional Accounts Center or Meta Account connections can link some experiences without requiring every WhatsApp account to use a Facebook or Instagram login.
- Monetization: Commercial activity is expanding around businesses, channels, Status and the Updates tab rather than a required fee for ordinary personal chats.
- Regional variation: Payments, advertising, business verification, feature availability and legal requirements may differ by country.
Meta could theoretically reorganize, sell or spin off a subsidiary, but no such transaction is established here. The current documented position is that WhatsApp remains part of Meta Platforms, Inc.’s product family.
