Klarna’s IPO filing promised profitable fintech growth. Its later results told a more complicated story

Klarna’s IPO became reality in September 2025, but its profitability story changed: a $21 million 2024 net profit was followed by a $273 million 2025 loss despite strong GMV and revenue growth.

Klarna filed for a New York Stock Exchange IPO on March 14, 2025, after reporting a $21 million GAAP net profit for 2024. The offering later priced at $40 a share and began trading on September 10, 2025. Klarna’s 2025 annual results then showed a $273 million net loss, despite $3.5 billion of revenue, $127.9 billion in gross merchandise volume (GMV) and $65 million of adjusted operating profit. The accurate conclusion is not simply “profitable Klarna,” but a fast-growing payments company whose bottom-line earnings remained volatile.

What Klarna actually filed in March 2025

Klarna submitted a Form F-1 registration statement to the U.S. Securities and Exchange Commission on March 14, 2025, proposing a listing on the New York Stock Exchange under the symbol KLAR. Goldman Sachs, JPMorgan and Morgan Stanley were named among the lead underwriters. The filing did not initially specify the number of shares or an offering price, and it was not immediately effective; a registration statement is not itself an offer to sell securities.

At filing, Klarna reported approximately 93 million active consumers, more than 675,000 merchants and $105 billion of 2024 GMV. The company described a business extending beyond buy now, pay later (BNPL) into payments, shopping, advertising, cards, digital banking and an AI shopping assistant.

Was Klarna profitable?

Only with a date and accounting definition attached. Klarna reported a small $21 million GAAP net profit for 2024. Its subsequent 2025 annual report recorded a $273 million GAAP net loss. Klarna also reported $65 million of adjusted operating profit for 2025, but that non-GAAP measure is not equivalent to net income.

A company can show adjusted operating profit while reporting a net loss because interest expense, credit provisions, share-based compensation, taxes, foreign-exchange movements and other items affect the bottom line. Klarna’s 2025 results therefore demonstrate why “profitable” should not be used without specifying the period and measure.

Why investors viewed the IPO as potentially blockbuster

Scale in consumers and merchants

Klarna’s network reached approximately 111 million active consumers and approximately 790,000 merchants by June 30, 2025. By the end of 2025, the company reported 118 million active consumers and 966,000 merchants. Those figures indicated rapid expansion from the March filing.

Large transaction volume

GMV is the value of transactions facilitated through Klarna, not the company’s revenue. It rose to $127.9 billion in 2025, while revenue was $3.5 billion. Investors must therefore examine the take rate—how much revenue Klarna retains from each dollar of GMV—as well as credit losses and funding costs.

A broader commerce platform

Klarna earns merchant fees for facilitating purchases, consumer-related income from payment and financing products, interest and fee income on lending products, and advertising or other commerce-service revenue. The economics differ among pay-now transactions, pay-later and installment products, cards, banking services and merchant marketing. Its U.S. expansion increased the addressable market but also raised questions about acquisition costs, regulation, funding and borrower performance.

An earlier private-market valuation of roughly $45.6 billion is historical context only. It is not the IPO valuation or a current market value.

How the offering was structured

Terms announced at launch

On September 2, 2025, Klarna launched the IPO with an indicative price range of $35 to $37 per share. The proposed offering comprised 34,311,274 shares:

Klarna would not receive proceeds from shares sold by existing shareholders. Consequently, most shares in the launch structure represented liquidity for current holders rather than new capital for Klarna’s operations. Details are in the IPO launch announcement.

Final pricing and listing

On September 9, 2025, Klarna priced the IPO at $40 per share. The final 34,311,274-share structure included 5 million shares sold by Klarna and 29,311,274 sold by existing shareholders. Trading on the NYSE under KLAR began on September 10, 2025. The final terms are reported in Klarna’s pricing announcement.

What Klarna’s business model means for shareholders

BNPL and related products combine payments processing with consumer credit. Merchant fees can compensate Klarna for bringing customers and facilitating sales. Consumer financing can generate interest and fee income, while advertising and shopping services may add revenue that does not come directly from lending.

That mix creates an important analytical question: is growth coming from attractive payment and advertising economics, or from expanding a credit book that requires more capital and produces more losses? Rising GMV alone cannot answer it.

Risks that matter more than the headline

Credit-cycle exposure

Klarna extends or facilitates consumer credit. Unemployment, inflation, higher interest rates or weaker household finances can increase delinquencies, defaults and provisions. Consumers who remain active during an economic downturn may carry greater repayment risk.

Funding and liquidity

A lending platform needs dependable funding and must manage maturities, interest-rate exposure and liquidity. Higher funding costs can compress margins even when transaction volume continues to grow.

U.S. expansion economics

The United States was a major growth opportunity, but rapid expansion can require heavy marketing spend, produce higher customer-acquisition costs and expose the company to different licensing and consumer-protection rules.

Regulation and competition

BNPL providers face changing requirements involving consumer disclosures, credit reporting, licensing, data privacy and banking supervision. Klarna also competes with card networks, banks, PayPal, Apple, retailer financing programs, Affirm, Block’s Afterpay, Sezzle and other payment providers.

Profitability volatility

The change from a $21 million 2024 net profit to a $273 million 2025 net loss shows that scale and positive adjusted operating income do not guarantee stable GAAP earnings.

Secondary selling

Because existing shareholders sold most shares in the launch structure, investors should distinguish money raised by Klarna from proceeds received by those selling holders. That distinction affects how much fresh capital was available for growth.

What the 2025 record says about the IPO story

Klarna delivered substantial growth after filing: 2025 GMV increased 22% year over year to $127.9 billion, revenue rose 25% to $3.5 billion, and the company reached 118 million active consumers and 966,000 merchants. Yet adjusted operating margin was only 1.9%, adjusted operating profit was $65 million, and GAAP basic and diluted earnings per share were negative $0.79.

These results support a nuanced assessment. Klarna had the scale, brand recognition and growth profile to make its listing a major fintech event. They do not establish durable bottom-line profitability, attractive returns on capital or a justified valuation. Investors still need to track credit provisions, transaction margins, funding costs, dilution, regulatory changes and the economics of newer advertising, banking and AI products.

How to assess KLAR as a public company

  1. Start with GAAP earnings: separate net income from adjusted operating measures.
  2. Compare growth with risk: examine revenue and GMV alongside credit losses, delinquencies and provisions.
  3. Check the take rate: GMV is not revenue; determine how much revenue Klarna earns per dollar facilitated.
  4. Evaluate U.S. unit economics: consider acquisition costs, funding needs and regulatory obligations.
  5. Review capital structure: account for primary proceeds, secondary sales and future dilution.
  6. Use dated valuations: distinguish private-market marks, IPO pricing, opening capitalization and later market value.
  7. Read primary filings: Klarna’s reports and SEC filings provide more reliable evidence than a strong opening-day move or promotional headline.

The Bottom Line

Klarna’s March 2025 IPO filing followed a $21 million 2024 GAAP profit, but the company later reported a $273 million 2025 net loss. The $40 IPO price and strong operating growth made KLAR a significant fintech listing; they did not make profitability durable or prove that its valuation was justified.
