What happened to Pat Gelsinger at Intel?
Gelsinger resigned as Intel’s chief executive officer and director effective December 1, 2024. He also resigned from Mobileye’s board. Intel described the departure as a retirement and appointed David Zinsner and Michelle Johnston Holthaus as interim co-CEOs. Intel later appointed Lip-Bu Tan as CEO effective March 2025.
Intel’s formal filings describe a resignation and a “Retirement and Separation Agreement.” Contemporary reports characterized the exit as board-driven after directors lost confidence in the turnaround’s progress. That reported context should not be confused with Intel’s formal legal description.

How Intel calculated the severance
The core cash package followed the formula in Gelsinger’s employment terms: 18 months of base salary plus 1.5 times his target annual cash bonus. The separation agreement added a prorated 2024 bonus based on actual company performance.

Salary portion
Intel used an annual base salary of $1.25 million. Eighteen months equals 1.5 years, producing $1.875 million. This component was scheduled through regular payroll over the 18-month period rather than described as an immediate lump-sum payment.
Target-bonus portion
Gelsinger’s target annual cash bonus was 275% of base salary: $1.25 million × 275% = $3.4375 million. The agreement paid 150% of that target, or $5.15625 million.

Performance-based 2024 bonus
The agreement covered 11 of the 12 months of 2024 and made the additional bonus contingent on Intel’s actual performance. Intel’s proxy reported a payout equal to 26.1% of the prorated annual cash-bonus target, producing $822,200. The agreement is filed as Exhibit 10.20.

A December 3, 2024 report estimated that the 2024 performance bonus could be about $3.15 million. Adding that assumption to the $7.03125 million salary-and-target-bonus package yielded an estimated maximum of roughly $10.18 million. That was a projection, not a final payment.
Once Intel calculated the bonus using actual results, the amount was $822,200 rather than approximately $3.15 million. The later proxy therefore reported total severance of $7,853,450. The original estimate and the final disclosure can both be understood without treating the estimate as the final figure. The early coverage is at TechCrunch.

Why “net $10 million” is misleading
“Net” normally means money left after taxes and deductions. Intel’s filings disclose gross compensation subject to ordinary payroll withholding; they do not establish Gelsinger’s after-tax proceeds. The accurate descriptions are “$7.853 million in gross severance” or “an initial estimate of up to approximately $10.18 million that later became $7.853 million.”
The principal salary and target-bonus payments were also scheduled over 18 months. That timing, plus withholding, means the headline should not be read as an immediate $10 million cash transfer.
What Gelsinger gave up
Intel said Gelsinger forfeited all outstanding unvested equity awards, including his new-hire awards. That is a material part of the economics: the cash severance cannot be evaluated as though he received it in addition to retaining every remaining Intel award.

Payment also depended on contractual conditions, including:
- Signing the separation agreement and not revoking it;
- Providing Intel with a release of claims;
- Continuing confidentiality and intellectual-property obligations; and
- Cooperating with litigation-related requests.
The 2025 proxy’s final accounting and equity treatment are reported in Intel’s proxy statement and the related SEC filing.

The principal formula was already in Gelsinger’s 2021 offer-letter disclosure: 18 months of base salary plus 1.5 times target bonus if Intel terminated him without cause or he resigned for good reason, provided he signed a release. The December 2024 agreement used that basic structure and added the prorated 2024 bonus for his 11 months of service.

That does not make the payment small, nor does it resolve the reported disagreement between Gelsinger and the board over the turnaround. It does mean the core cash terms were broadly consistent with preexisting employment provisions rather than an entirely discretionary reward created at departure. The original offer terms are disclosed in Intel’s 2021 filing.
The precise bottom line
The headline’s $10 million figure came from an upper-end estimate made before Intel knew the final 2024 bonus payout. Intel later reported $7,853,450 in gross severance, paid under contractual conditions and primarily over 18 months. Gelsinger did not have a documented $10 million after-tax windfall, and he forfeited all outstanding unvested Intel equity awards.
