That was the proposed transaction—not the final outcome. The sale was substantially completed operationally on February 8, 2021, became the subject of a termination dispute, and was finally completed under new agreements on February 25, 2025, for aggregate consideration of approximately $2.1 billion.
What Baidu agreed to buy in 2020
The transaction covered JOYY’s domestic video-based entertainment live-streaming business in mainland China, known as YY Live. The reported assets included the YY mobile app, YY.com and the PC YY service, along with related domestic live-streaming operations. Baidu’s announcement described an all-cash purchase price of approximately $3.6 billion, subject to adjustments, with an expected closing in the first half of 2021.
This was not a takeover of JOYY Inc. as a whole. The original deal did not center on JOYY’s international businesses such as Bigo Live and Likee, nor on every video or social product associated with the parent company. Baidu’s and JOYY’s original announcements provide the transaction scope and terms: Baidu announcement and JOYY announcement.
Why Baidu wanted YY Live
Baidu presented the acquisition as a way to diversify beyond search and advertising and expand its mobile ecosystem. YY Live offered a large-scale live-streaming operation, creator and broadcaster relationships, and experience running video-based social products. Baidu also pointed to potential connections with its traffic, content, membership and other non-advertising businesses.

Those were strategic objectives stated at announcement, not evidence that every expected synergy was achieved. The deal also arrived during intense competition among Chinese platforms combining short-form video, live streaming, virtual gifting, social engagement and other monetization models. Contemporary coverage from TechCrunch reported approximately 40 million YY live-streaming monthly active users in the third quarter of 2020, while Douyin and Kuaishou had much larger daily-active-user scales at that time. Those figures are historical, not current market statistics.
Why JOYY sold the Chinese business
For JOYY, the sale fit a portfolio strategy. It monetized a mature or less central domestic operation while allowing the company to emphasize international growth assets, including Bigo Live and Likee. The available public record supports that strategic explanation; it does not establish that JOYY sold YY Live solely because the business was failing.

What happened on February 8, 2021
JOYY later reported that the sale was substantially completed on February 8, 2021. From that date, it stopped consolidating YY Live and treated the business as discontinued operations. A February 2021 filing also said customary matters remained outstanding. See JOYY’s 2021 SEC filing and February 2021 Form 6-K.
“Substantially completed” describes the operational and accounting separation. It is not the same as saying the original purchase agreement had reached an uncontested, final legal closing. The definitive closing under later agreements occurred in 2025.

Why the transaction stayed unresolved
JOYY’s later disclosures said necessary regulatory approvals and other closing matters remained unresolved. The parties extended the agreement’s long-stop date indefinitely in April 2022. On January 1, 2024, Baidu sent notice purporting to terminate the original share-purchase agreement. JOYY said the sale had already been substantially completed and disputed Baidu’s position. The company’s 2024 Form 20-F and January 2024 announcement describe the public record without reducing the delay to a single proven cause.
How the final 2025 closing changed the economics
On February 25, 2025, Baidu and JOYY entered new agreements and completed the acquisition. JOYY said aggregate consideration was approximately $2.1 billion, made up of payments at two different stages:

The final amount should not be described casually as a simple price cut from $3.6 billion. The figures reflect money received in 2021, a later payment under revised agreements and the escrow arrangements. The final announcements are available from Baidu, JOYY and Baidu’s SEC exhibit.

What the headline gets right—and wrong
- Accurate: Baidu really did announce an agreement to acquire JOYY’s Chinese YY Live business on November 16, 2020, with an original headline value of approximately $3.6 billion.
- Misleading without a date qualifier: saying Baidu bought YY Live for $3.6 billion in 2020 implies that the transaction closed then and that the original consideration remained the final economics.
- More precise current wording: Baidu agreed to acquire YY Live for approximately $3.6 billion in 2020, substantially separated the business in February 2021, and completed a revised transaction for approximately $2.1 billion on February 25, 2025.
The Bottom Line
Baidu’s November 2020 announcement was a proposed $3.6 billion purchase of JOYY’s mainland-China YY Live business—not an acquisition of all JOYY. After substantial operational completion in February 2021, unresolved conditions and a termination dispute persisted until revised agreements closed the transaction on February 25, 2025, for approximately $2.1 billion in aggregate consideration.
