China’s State Administration for Market Regulation (SAMR) opened an investigation on October 10, 2025, into Qualcomm’s acquisition of Israeli vehicle-to-everything (V2X) chipmaker Autotalks. The acquisition was completed on June 5, 2025. SAMR says Qualcomm had been instructed to file the transaction for review and wait for approval, but completed it without filing. The public case, therefore, centers on alleged failure to notify and unlawful implementation—not a final finding that the deal itself harmed competition.
Update — August 18, 2026: SAMR’s October 2025 announcement and explanation are verified. The sources reviewed for this article do not establish a later final decision, fine, remedy, or closure.
What happened, and when?
Qualcomm announced plans to buy Autotalks in May 2023. SAMR says it later received a report about the transaction and assessed whether it could affect competition in China.

What SAMR says Qualcomm did wrong
SAMR’s stated legal theory is procedural. The regulator says the transaction did not meet China’s ordinary mandatory filing threshold, but its review found that the deal had, or might have, effects capable of excluding or restricting competition. On that basis, SAMR says it exercised its authority to require a filing.

According to SAMR’s October 12 explanation, Qualcomm was told on March 12, 2024, not to implement the deal before filing or approval. Qualcomm then said it was abandoning the transaction, yet announced completion in June 2025 without filing or further communication with SAMR. The regulator says Qualcomm acknowledged the relevant facts after the investigation began. That wording establishes an acknowledgment of the factual sequence; it does not, by itself, prove that Qualcomm admitted every legal conclusion or accepted liability.
Below the threshold did not mean exempt
Merger-control systems commonly use revenue or other thresholds to identify transactions that must be notified automatically. SAMR’s position is that a transaction below those thresholds can still be called in when potential competitive effects warrant review. “Below the filing threshold” and “immune from review” are therefore different propositions in this case.
Investigation is not a final infringement finding
SAMR has announced an investigation, not a final decision that the acquisition created a monopoly. The reviewed sources do not show a fine, clearance, behavioral condition, divestiture order, or unwinding of the transaction.

Why China can examine a deal between foreign companies
Qualcomm is based in the United States and Autotalks in Israel, but merger-control jurisdiction generally turns on potential effects in the regulator’s market, not solely on the companies’ countries of incorporation. SAMR says it examined possible effects on competition and commercial activity in China. That is the regulator’s jurisdictional position; the public materials do not resolve every possible legal challenge to it.

What Autotalks makes
Autotalks develops direct V2X communications chips and systems. V2X allows vehicles to exchange information with other vehicles, road infrastructure and nearby road users. Its products support both dedicated short-range communications (DSRC) and cellular V2X (C‑V2X), with applications in vehicle and two-wheeler safety, connected transport and assisted-driving systems.
V2X is a communications and safety technology, not a synonym for autonomous driving. Qualcomm said the acquisition would bring Autotalks’ production-ready DSRC and C‑V2X products into its Snapdragon Digital Chassis portfolio and help expand V2X deployments. The central contradiction: completed deal, later investigation
Qualcomm publicly completed the acquisition before SAMR announced its case. The investigation therefore was not a newly opened review of an uncompleted transaction. It concerns SAMR’s allegation that Qualcomm implemented a transaction after being told to file and wait for approval.
The available sources do not establish that SAMR automatically unwound the acquisition, suspended Qualcomm’s integration of Autotalks or ordered the companies to separate.

The timing gave the matter geopolitical weight. Contemporary reporting linked the announcement to heightened U.S.–China semiconductor tensions and expected talks between U.S. President Donald Trump and Chinese President Xi Jinping. CTech’s October 10, 2025 report provides that context.

That timing is not proof of political retaliation. SAMR described the matter as routine antitrust enforcement in its detailed explanation. The strongest supported conclusion is that the investigation has geopolitical significance, while the publicly stated legal case remains the alleged failure to notify and obtain approval.

Qualcomm previously faced a major Chinese antitrust case over patent-licensing practices and paid a penalty in 2015. That history helps explain why a new SAMR action attracts attention, but it is legally distinct from the Autotalks merger-notification investigation and does not establish wrongdoing here.
China also reviewed Qualcomm’s proposed acquisition of NXP, a much larger transaction. That episode is context rather than a direct precedent: the Autotalks matter involves a completed deal and an alleged filing violation, not the same transaction or legal facts.

What could happen next?
Until SAMR issues a final decision, several outcomes remain possible:
- The case could close without a penalty.
- SAMR could impose a fine for failure to notify or unlawful implementation.
- The regulator could require a retrospective filing, behavioral commitments or other conditions.
- In a more serious scenario, it could seek structural relief, including unwinding or divestiture, although no such remedy is established in the reviewed sources.
- The investigation could continue without a publicly announced resolution.
None of these possibilities should be reported as the result. In particular, the available evidence does not support saying that China blocked the acquisition, that Qualcomm was found guilty, or that a fine has been imposed.
