Short answer: T-Mobile did not buy the entire UScellular company for exactly $4 billion. It completed the purchase of substantially all of UScellular’s wireless operations and selected spectrum on August 1, 2025. The final consideration was approximately $4.3 billion after adjustments, including about $2.6 billion in cash and $1.7 billion of UScellular debt exchanged for T-Mobile notes. T-Satellite is a separate, Starlink-powered service that extends limited connectivity beyond tower coverage; the public transaction record does not show that the UScellular deal was specifically undertaken to enable it.

What T-Mobile bought
The transaction covered substantially all of UScellular’s wireless business rather than the entire legal company. Included were:
- Wireless customers, including business accounts
- Wireless network assets and operating activities
- Retail stores, sales channels and customer-care operations
- Selected AWS, PCS, 600 MHz, 700 MHz and other spectrum licenses
- Wireless operations in markets across the United States
The FCC described the assets as covering 198 of the nation’s 734 cellular market areas. It estimated that T-Mobile acquired roughly 30% of UScellular’s spectrum portfolio, including the company’s identified 600 MHz, 2.5 GHz and 24 GHz holdings and much of its 700 MHz A Block spectrum. Why those assets matter
More spectrum can add capacity and improve coverage after T-Mobile installs compatible radios, connects sites to backhaul and completes engineering work. Acquiring customers and stores also gives T-Mobile a larger presence in rural and regional markets. T-Mobile said more than four million UScellular customers would gain access to its network and that hundreds of thousands of households in the former UScellular footprint could become eligible for T-Mobile home broadband. Those are T-Mobile’s stated expected benefits, not an independent measurement of results in every market.
What T-Mobile did not buy
UScellular’s towers were excluded from the wireless-operations sale. The retained infrastructure business continued separately and became associated with Array Digital Infrastructure. T-Mobile instead obtained long-term access under a master license arrangement.

Why headlines say $4 billion, $4.3 billion or $4.4 billion

The agreement was signed May 24, 2024 and announced May 28, 2024. The FCC approved it July 11, 2025. T-Mobile completed the operating-asset purchase August 1, 2025 and completed the debt exchange August 5, 2025. Calling it a “$4 billion” deal is therefore a rough rounding of an announced value, not the precise closing figure.

What happened to UScellular customers
T-Mobile said the UScellular brand would transition in phases. Customers were not necessarily required to change plans, devices or billing arrangements immediately. The practical experience can differ by market, handset, account type, billing platform and network-integration schedule.
What former customers should verify
- Whether the account now appears in T-Mobile billing or remains in a transition system
- Whether the exact phone model supports T-Mobile’s bands and network technologies
- Whether a grandfathered plan has migration terms
- Coverage at the customer’s home, workplace and regular travel routes
- Eligibility for T-Mobile 5G Home Internet at the service address
- Whether T-Satellite is included in the plan or requires a separate service arrangement
Customers should follow the account-specific notices and instructions supplied by T-Mobile rather than assume an automatic plan conversion.
What T-Satellite is
T-Satellite is T-Mobile’s commercial direct-to-cell service using SpaceX’s Starlink satellites. Commercial availability began July 23, 2025. A compatible phone first seeks a terrestrial signal; when one is unavailable and conditions permit, it can connect to a satellite, which relays supported messages or data to the wider network.
T-Mobile described launch coverage as more than 500,000 square miles of U.S. territory beyond traditional tower coverage. Its January 2026 report said more than 150,000 Americans were using the service daily. A May 2026 update reported more than 250,000 users and over 1.5 million messages during Winter Storm Fern. These figures are company-reported.

Supported functions
- SMS and emergency texting
- MMS and picture messaging
- Short audio clips on supported devices
- Selected data-enabled applications, including WhatsApp, AllTrails, AccuWeather, Google Maps, T-Life and X, subject to current terms
It is not ordinary high-speed mobile broadband. Throughput is limited, delivery can be delayed and unrestricted web browsing, streaming and every app are not guaranteed. See T-Mobile’s current eligibility and service information and its technical overview.
Important limitations
- A compatible phone, software and eligible plan or service arrangement may be required
- A usable view of the sky is important; mountains, buildings, dense forest and severe conditions can obstruct service
- Geographic availability and supported features vary
- Satellite use can consume additional battery and may require positioning the phone toward open sky
- Emergency connectivity is not guaranteed; users should communicate location and circumstances clearly and retain an appropriate emergency device for serious backcountry travel
- International availability may differ from U.S. terms
Is the UScellular acquisition connected to T-Satellite?
The two moves fit T-Mobile’s broader effort to improve connectivity in rural and hard-to-serve areas, but they perform different jobs. The acquisition announcements emphasize customers, spectrum, network capacity, stores, rural coverage and fixed wireless broadband. T-Satellite announcements describe a Starlink direct-to-cell service.
Public documents do not establish that T-Mobile bought UScellular specifically to enable T-Satellite. They also do not show that UScellular towers are required for Starlink connectivity, that acquired spectrum is dedicated to satellites or that the purchase changed Starlink’s constellation or launch schedule. The defensible description is that T-Mobile expanded its terrestrial network through one transaction and added a separate non-terrestrial coverage layer through another.

Potential terrestrial benefits
- More capacity in markets where acquired spectrum is deployed
- Additional network density along some rural routes
- A larger customer and retail footprint
- Possible expansion of T-Mobile 5G and fixed wireless access
Ownership alone does not create usable service. Permits, tower access, radios, backhaul, construction schedules and handset compatibility determine when customers experience an improvement, and results can vary by address.

Satellite’s different trade-off
T-Satellite can provide occasional messaging where no tower signal exists, without a dedicated satellite handset for supported smartphones. Its trade-off is lower speed, narrower functionality and dependence on sky visibility. It should not be treated as a replacement for terrestrial service, a satellite phone or a personal locator beacon when reliable emergency communications are essential.
Practical choices for customers
- Check your current carrier, billing status and any migration notice.
- Enter your exact phone model in T-Mobile’s device and coverage tools; do not rely on brand-level compatibility.
- Compare coverage at the places you actually use service, not only a national map.
- Confirm whether your plan includes T-Satellite and review current terms before adding service. T-Mobile’s July 2025 launch announcement said it was included with Experience Beyond and offered to other T-Mobile, AT&T and Verizon customers for $10 monthly at launch; that price is not necessarily current.
- Check your address for 5G Home Internet separately. T-Satellite is not a home broadband substitute.
- If you travel in remote areas, compare the phone service with a dedicated messenger, satellite phone or personal locator beacon based on SOS needs, tracking, battery life, coverage and subscription cost.
How this differs from other options
AT&T, Verizon, regional carriers and MVNOs may be better choices in particular locations or price ranges. MVNO access, however, can differ from the parent network’s priority and feature eligibility. For planned off-grid travel, dedicated products such as Garmin inReach provide a separate hardware-and-subscription alternative with deliberate messaging and SOS functions.
Bottom line
T-Mobile completed an approximately $4.3 billion purchase of UScellular’s wireless operations and selected spectrum on August 1, 2025; it did not absorb the entire UScellular company or all of its towers and spectrum. T-Satellite, launched separately with Starlink, extends limited messaging and supported data beyond tower coverage. Together they represent complementary rural-connectivity strategies, not a single satellite-driven acquisition.
