The U.S. Bankruptcy Court for the Southern District of Texas confirmed its restructuring plan on March 22, 2023, and Avaya emerged on May 1, 2023. The plan reduced the company’s debt burden while canceling the old equity, so the case had very different consequences for customers, creditors and shareholders.
1. Avaya filed on February 14, 2023—not in 2026
Avaya Holdings Corp. and certain direct and indirect subsidiaries filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the Southern District of Texas on February 14, 2023. The cases were described as prepackaged, meaning Avaya had negotiated the central restructuring framework with key creditor groups before filing.
Chapter 11 is a reorganization process. Unlike Chapter 7 liquidation, it is designed to let an eligible company keep operating while it restructures debt, contracts and ownership under court supervision. Avaya’s case is now historical: the plan was confirmed on March 22, 2023, and the company completed its emergence on May 1, 2023.
2. The immediate problem was a heavily leveraged balance sheet
Avaya said it entered the case with approximately $3.4 billion of debt and proposed reducing total debt to approximately $800 million—more than a 75% reduction. The announcement also described approximately $780 million in committed financing and support from more than 90% of its secured lenders.

Those figures describe Avaya’s announced restructuring proposal, not a claim that every creditor was paid in full or that debt simply disappeared. Chapter 11 reallocates value through a court-approved plan, including treatment of claims, new financing and new ownership. Avaya linked the restructuring to strengthening liquidity and accelerating its transition toward cloud communications and customer-experience products; the available filings do not establish one single cause such as cloud competition alone.

3. The filing was not a shutdown
Avaya continued operating as a debtor-in-possession. In its first-day filings, it sought authority to use cash collateral, pay employees, continue customer agreements and pay post-petition vendors in the ordinary course. Avaya also said it expected to continue serving customers during the case.

That did not guarantee that every product, job, contract, price or partner arrangement would remain unchanged. A bankruptcy filing preserves an operating business while the company makes strategic and financial changes; it is not a promise of permanent service or product continuity.

Customers and partners should check the legal entity named in their agreement, renewal and termination provisions, service levels, escrow terms, billing arrangements, roadmap commitments and any cloud-migration obligations. Contract rights can differ by affiliate, geography, product and signing date. Ordinary-course authority for post-petition vendors was not a blanket guarantee for every prepetition claim.

4. Existing shareholders lost the old equity
The confirmed plan canceled Avaya’s pre-restructuring common stock and Series A preferred stock. Those holders were not entitled to a recovery under the plan. The New York Stock Exchange suspended trading and began delisting proceedings after the filing, and the old securities were canceled at emergence.
This distinction matters: a bankruptcy filing by itself does not automatically determine a stock’s final value. In Avaya’s case, the court-confirmed plan did. The reorganized company authorized 80 million shares of new common stock and issued 36 million shares on the emergence date, but those were new securities—not a continuation of the old public shares.

5. Avaya emerged with a new capital structure—and the RingCentral deal was not an acquisition
On May 1, 2023, Avaya announced that it had completed its restructuring, with approximately $650 million in liquidity and net leverage below 1x. The former debt facilities were canceled, and debtor-in-possession loans converted into exit financing. In plain English, Avaya left Chapter 11 with different lenders, financing and ownership arrangements.
The restructuring also extended and expanded Avaya’s strategic relationship with RingCentral around Avaya Cloud Office by RingCentral. The filings describe an amended contractual framework under which Avaya remained the exclusive sales agent for that offering, with provisions covering sales, compensation, seat purchases and a multiyear term subject to termination provisions. RingCentral did not buy Avaya as a whole.

What the outcome means for each stakeholder
Customers
- The filing was not an immediate service termination.
- Financial restructuring does not guarantee unchanged products, support levels or long-term investment.
- Before renewing or migrating, review the contracting entity, support terms, roadmap, integrations, data handling and termination rights.
Partners and suppliers
- Determine whether commissions, rebates or other obligations arose before or after February 14, 2023.
- Check which Avaya affiliate signed the agreement and whether a claim was filed against the bankruptcy estate.
- Assess whether the RingCentral arrangement affects the specific channel relationship.
Shareholders
Existing common and Series A preferred holders received no recovery under the confirmed plan, and their securities were canceled. The reorganized company’s new shares represented a new ownership structure.
Creditors
More than 90% of secured lenders supported Avaya’s restructuring agreement, according to Avaya. Individual recoveries still depended on claim priority, collateral, classification, voting and court approval; the headline debt reduction does not establish what any particular creditor received.
Bottom line for readers today
Avaya’s February 2023 bankruptcy filing was a negotiated financial reorganization, not a liquidation. It preserved the operating company, cut the targeted debt burden and led to emergence on May 1, 2023. The trade-off was severe for the old equity: existing common and preferred shares were canceled without a recovery. Anyone evaluating Avaya now should assess the post-emergence company, current support and products, contract terms and cloud strategy—not rely on language that still describes Avaya as being in bankruptcy.
