The U.S. Justice Department’s challenge did not stop HPE from acquiring Juniper Networks. HPE completed the deal on July 2, 2025, after agreeing to divest its Instant On campus and branch Wi-Fi business and license Juniper Mist AI Ops source code to approved competitors. The outcome turned partners’ 2025 fear of a derailed Cisco alternative into a different question: whether those remedies can preserve competition while HPE combines the two networking businesses.
Why partners saw HPE and Juniper as a Cisco alternative
HPE announced its planned acquisition of Juniper in January 2024. Public announcements described the transaction as approximately $14 billion. The strategic case was broader than adding routers and switches: HPE would combine Aruba’s enterprise networking presence with Juniper’s routing, switching and service-provider businesses, as well as Mist’s AI-based network operations capabilities. HPE presented the combination as a way to expand in enterprise networking, AI data centers, cloud and service-provider markets. The HPE settlement announcement describes the company’s rationale.
For channel partners, the prospect was a larger vendor that could offer customers more of the network stack and a stronger alternative to Cisco. Partners told CRN in January 2025 that the combination could put pressure on Cisco and give customers a more unified AI-networking option. That was a partner expectation, not proof that the merged portfolio would outperform Cisco or win customers.
The strategic tension was that a stronger rival to Cisco could still mean less competition in a specific market. The Justice Department focused heavily on enterprise wireless LAN (WLAN), where Aruba and Juniper competed directly—not on every category that buyers might group under “networking.”

What partners had at stake
Some partners had already begun preparing for the acquisition. Patrick Shelley of PKA Technologies told CRN his company had trained engineers and invested in Juniper readiness. Other partners anticipated cross-selling between Aruba and Juniper, joint customer road maps and new sales opportunities. Rob Schaeffer of e360 described a multi-vendor approach that left room for Cisco, HPE-Juniper, Arista and other suppliers. These accounts illustrate particular partners’ exposure; they do not establish that the entire channel made the same investments.
The uncertainty could affect customers before a court reached any final decision. Partners reported that customers were asking for updates and that some were freezing or postponing purchases after the lawsuit. In practical terms, a buyer might wait for answers about product overlap, support ownership, licensing, hardware life cycles and the future of the Aruba and Juniper management platforms. Partners, in turn, could hesitate to hire, certify staff or commit inventory until they understood the combined company’s plans. CRN reported those partner observations in its coverage of HPE and Juniper’s response; they are not market-wide purchasing figures.
Why the DOJ sued
On January 30, 2025, the DOJ filed suit under Section 7 of the Clayton Act in the U.S. District Court for the Northern District of California. Its complaint argued that HPE and Juniper were important enterprise WLAN competitors and that combining them would remove head-to-head rivalry. The DOJ said Juniper had become one of the largest enterprise-grade WLAN suppliers and that its growth put competitive and pricing pressure on HPE Aruba. It also cited internal HPE concerns about Juniper’s growth and alleged that HPE had trained employees to compete against Juniper; those are allegations in the government’s case, not findings after a trial.

The DOJ argued that the merger would increase concentration, potentially raising prices, reducing innovation and limiting customer choice, including for hospitals and small businesses. It said the combined HPE-Juniper business and Cisco would control more than 70% of the relevant market. That figure describes the DOJ’s market analysis, not all networking products or a judicial finding. The government’s January 30 complaint announcement sets out its theory.

They argued that the DOJ’s WLAN market was too narrow, that at least eight alternatives competed in the category, and that Cisco remained a dominant incumbent. They and some partners said the merged company would be better positioned to compete with Cisco amid changes in cloud management, AI operations, security and buying practices. Their response, including the claim about the number of alternatives, is the companies’ position—not a court’s conclusion. The companies’ arguments were reported by CRN.
Both arguments can be true in different senses: a combined HPE-Juniper might have more scale to challenge Cisco across a broad portfolio, while the merger could still eliminate competition between Aruba and Juniper in WLAN. The dispute was not simply whether Cisco was large; it was how to define the market in which the merging companies competed and what their combination would mean for buyers in it.

How the settlement changed the deal
On June 28, 2025, HPE, Juniper and the DOJ reached a settlement that allowed the acquisition to proceed subject to remedies. The deal was not unwound, and Juniper did not remain independent. Instead, the settlement sought to preserve selected competitive assets while HPE acquired the company. The DOJ’s settlement announcement describes the requirements.
HPE’s Instant On WLAN business must be divested
HPE agreed to divest its global Instant On campus and branch WLAN business, including relevant assets, intellectual property, research and development personnel, and customer relationships. The DOJ said the business had to go to a DOJ-approved buyer within 180 days. This requirement applies to Instant On’s specified WLAN business; it is not a sale of all HPE networking operations.

Juniper Mist AI Ops source code must be licensed
The settlement also required a process to license Juniper Mist AI Ops source code to one or more DOJ-approved competitors. The license is perpetual and non-exclusive; transitional support and personnel transfers may also be available. The remedy treated Mist technology as relevant to preserving a competitive path in WLAN. It did not make the source code freely available to the public or automatically hand it to every competitor. These remedies were targeted rather than a guarantee that all overlap would disappear. Nor do they, by themselves, establish that a divested business or a licensee will become an effective rival. Their competitive effect depends on the assets’ continued operation and the ability of buyers and licensees to compete.
Timeline: from proposed acquisition to closing
- January 9, 2024: HPE and Juniper announced the proposed acquisition.
- January 28, 2025: CRN reported partners’ concern that a DOJ challenge could derail the anticipated Cisco alternative.
- January 30, 2025: The DOJ sued to block the deal.
- June 28, 2025: The parties and DOJ announced their settlement and proposed remedies.
- June 30, 2025: HPE’s later SEC filing says the court signed the stipulation allowing the merger to proceed.
- July 2, 2025: HPE completed the acquisition. Juniper became part of HPE.
HPE’s closing announcement filed with the SEC reports the completion date. The headline transaction value was commonly described as approximately $14 billion; HPE’s SEC disclosure reports $40 per Juniper share and approximately $13.4 billion in cash consideration. Those figures refer to different descriptions of the transaction, not a contradiction about whether it closed.

The merger gives buyers a broader combined supplier to evaluate, but a portfolio announcement is not a substitute for confirming what a particular deployment will receive. Before a purchase, renewal or migration, ask the vendor or reseller for written, product-specific answers:

- Product and ownership: Which company or business unit owns the product, and is it affected by the Instant On divestiture?
- Support and contracts: Who handles warranties, renewals, escalations and support after the transaction? Confirm whether existing terms or contacts change.
- Road map and life cycle: Ask for end-of-sale and end-of-support dates, planned replacements, and whether promised integrations are available or only planned.
- Management and operations: Compare the management platform, AI-assisted assurance and troubleshooting, deployment model, and required subscriptions against the needs of the actual network.
- Interoperability and skills: Test the design with existing switches, access points, security and identity systems; verify that local engineers and partners can support it.
- Commercial and channel terms: Compare hardware, subscriptions, support and services in a like-for-like quote. Confirm partner registration, discounts and renewal ownership rather than assuming the merger leaves them unchanged.
Keep alternatives in a competitive bid where concentration risk, negotiating leverage or independence from a newly integrated supplier matters. Cisco may suit organizations already standardized on its broad portfolio and partner ecosystem; Arista and other vendors may fit particular campus or data-center needs. No supplier is automatically cheaper or a better technical fit, and a multi-vendor design can add integration and support work.
The remaining legal caveat and the competitive test
The acquisition closed, but that does not mean every issue around the DOJ settlement disappeared. State attorneys general later sought to participate in court review of the settlement; California’s attorney general announced a court decision allowing states to participate. That development concerns scrutiny of the settlement, separate from the completed transfer of Juniper to HPE. See the California Attorney General’s announcement.
The central question is now whether the combined company can challenge Cisco without the loss of Aruba-Juniper WLAN rivalry the DOJ identified—and whether the divested Instant On business and licensed Mist technology can support credible independent competition. The transaction created a larger competitor; the settlement attempted to preserve alternatives in the market the government considered most at risk. Buyers should judge the result through available products, support, competition and contract terms, not the merger’s original promise alone.
