Yes—Zscaler acquired SPLXAI Inc., the company known as SPLX. Zscaler’s accounting records say the transaction closed on October 31, 2025; the public announcement followed on November 3, 2025. Zscaler reported $40.6 million in cash consideration plus $16.6 million of restricted-stock awards subject to future employee service. SPLX technology is being integrated into Zscaler’s AI-security and Zero Trust Exchange strategy rather than sold as an unrelated standalone category.
What happened in the SPLX acquisition?
SPLXAI Inc. is the legal entity Zscaler acquired. SPLX’s website now describes the company as part of Zscaler, so this is a completed acquisition, not a proposal or an ongoing independent-vendor relationship.
| Item | Verified detail |
|---|---|
| Buyer | Zscaler, Inc. (NASDAQ: ZS) |
| Acquired company | SPLXAI Inc., marketed as SPLX |
| Closing date | October 31, 2025, according to Zscaler’s accounting disclosure |

AI discovery and asset management
SPLX identified AI assets and associated risks, including models, workflows, applications and data paths. Zscaler said the combined scope would include code repositories, retrieval-augmented-generation (RAG) systems, Model Context Protocol (MCP) servers, and public and private deployments.
Automated red teaming
Zscaler said SPLX brought more than 5,000 purpose-built and domain-specific attack simulations. That number is a company claim from the acquisition announcement, not an independently published efficacy benchmark. Red-team results can reveal weaknesses, but they do not by themselves prove that a model is safe or compliant.
Runtime protection and prompt hardening
The platform was designed to detect malicious prompts and help reduce prompt-injection and jailbreak risks while protecting sensitive information in AI interactions. Zscaler’s existing AI Guard materials describe runtime guardrails and inspection capabilities.
Governance and remediation
SPLX also emphasized governance, compliance support and dynamic remediation. Those functions can help an organization manage risk and produce evidence for internal controls, but they should not be read as universal compliance certification under every law or framework.

How much did Zscaler pay?
The transaction economics are more nuanced than a headline quoting only $40.6 million.
| Component | Amount or value | Qualification |
|---|---|---|
| Cash consideration | $40.6 million | Cash purchase consideration reported by Zscaler |
| Restricted-stock awards | $16.6 million grant-date fair value | Awards for certain employees who joined Zscaler and remained subject to future-service conditions |
| Developed-technology value | $3.3 million | Revised preliminary purchase-price allocation |
| Technology useful life | Four years | Revised preliminary accounting estimate |
Accordingly, “Zscaler paid $40.6 million” is accurate only when it refers to the cash portion. Adding $40.6 million and $16.6 million produces $57.2 million, but that arithmetic combines cash with service-conditioned equity awards; it is not a simple all-cash purchase price. The valuation and useful-life figures come from Zscaler’s February 2026 Form 10-Q and the SEC filing.
Why Zscaler wanted SPLX
Zscaler already sold controls for shadow-AI discovery, application access, prompt and response inspection, data-loss prevention and runtime guardrails. SPLX adds more emphasis on the earlier stages of the lifecycle: finding AI assets, testing them before release, and connecting those findings to production enforcement.
The strategic thesis is that enterprises are moving from occasional use of public chatbots to a much wider estate of models, agents, RAG pipelines, developer tools and automated workflows. Those systems create attack surfaces involving prompts, tool calls, data stores, model behavior and the infrastructure connecting them.

Zscaler’s AI Security and unified-platform positioning is to apply one cloud-delivered, policy-based control plane across users, applications, data, workloads and AI. Acquiring SPLX therefore supports a platform-consolidation strategy rather than creating a wholly separate Zscaler business.
What “shift-left” AI security means
“Shift-left” means performing security work earlier in development instead of waiting until an AI application is operating in production.
- Before deployment: discover models, agents and workflows; test prompts and data flows; run attack simulations; and assess risk.
- During deployment: apply policies and runtime guardrails to approved users, applications, models and data.
- After deployment: monitor activity, detect attacks, reassess risk and remediate changed or compromised assets.
This development-to-production framing appears in Zscaler’s acquisition announcement and its AI-security brief.
What the deal could mean for customers
Potential advantages
- Less separation between AI discovery, testing, runtime controls and data-protection telemetry.
- Better visibility into shadow AI and internally built systems, including RAG and agentic applications.
- A shared policy layer for security, development, compliance and data-protection teams.
- More direct paths from a red-team finding to a runtime block, engineering ticket or remediation action.
Limits customers should keep in mind
- Existing Zscaler customers may need additional modules, add-ons or a higher platform tier.
- Every SPLX feature is not necessarily available under the SPLX name or in every Zscaler package.
- Automated testing finds issues; it does not guarantee prevention of prompt injection, jailbreaks, data leakage or unsafe model behavior.
- Specialist tools may still be needed for model supply-chain security, cloud configuration, identity, software security, data governance or highly developer-native workflows.
- Coverage depends on supported environments, traffic architecture, integrations and configuration.
Questions investors and buyers should ask
For investors, the acquisition is strategically relevant because it broadens Zscaler’s addressable AI-security opportunity and reinforces its platform-consolidation narrative. The disclosed cash amount is modest relative to the strategic message, but future value depends on adoption, integration and monetization rather than the purchase price alone.

For a customer evaluating the technology, ask Zscaler for written answers to these questions:
- Which SPLX capabilities are generally available today, and under which Zscaler product or module names?
- Which models, agent frameworks, RAG architectures, code repositories and MCP deployments are supported?
- Are the claimed 5,000-plus simulations customizable, and can results be exported to CI/CD, ticketing, SIEM, SOAR or GRC systems?
- Can policies inspect prompts, responses, tool calls, agent-to-agent traffic and data access, and what latency limits apply?
- Which actions are automatic—blocking, prompt modification, quarantine or ticket creation—and which require human approval?
- What data is retained, where is it processed, how is it encrypted, and is customer content used for product improvement?
- Which licenses, asset limits, transaction limits and implementation services apply to the customer’s existing Zscaler contract?
Pricing and competitive fit
Zscaler does not publish a simple standalone SPLX price. Its pricing and plans page presents platform bundles, products and add-ons through an enterprise quote or demo process. Buyers should confirm exactly which AI-security functions are included in their edition.
The most relevant comparison is not necessarily another acquisition price. It is whether a broad platform is preferable to a specialist tool:
| Evaluation category | Example | Typical reason to consider it |
|---|---|---|
| Broad platform | Zscaler AI Security | Combines AI controls with zero trust, inline inspection, data security and enterprise access policies. |
| Security ecosystem | Microsoft Security | May fit organizations standardized on Microsoft 365, Azure, Defender and Purview. |
| Cloud and application security ecosystem | Palo Alto Networks Prisma Cloud | Relevant for customers already using Palo Alto cloud and application-security products. |
| Focused AI guardrails | Lakera | Specialist positioning for generative-AI application and interaction protection. |
| Model and ML security | HiddenLayer or Protect AI | Potentially stronger fit where model integrity, repositories, pipelines or ML supply-chain risks dominate. |
These are evaluation categories, not feature-for-feature equivalents. Availability, packaging, deployment requirements and pricing must be confirmed with each vendor.

- The organization needs only a lightweight API guardrail and has no use for a broader security platform.
- Highly specialized model-security or ML-supply-chain controls are the primary requirement.
- Relevant AI traffic cannot be routed through the required inspection or enforcement architecture.
- Transparent self-service pricing is mandatory.
- The organization has little existing Zscaler footprint and cannot justify platform, deployment or change-management costs.
- Most AI workloads are on-premises or embedded in developer workflows outside the selected Zscaler deployment.
Bottom line for investors and enterprise buyers
The SPLX acquisition is real and complete: Zscaler closed it on October 31, 2025 and announced it on November 3. The reported consideration was $40.6 million in cash plus $16.6 million in service-conditioned restricted stock. Strategically, SPLX gives Zscaler deeper development-time discovery, red teaming and AI-risk assessment to complement its existing runtime, access and data controls. The practical payoff will depend on integration quality, product packaging, supported environments and demonstrable customer outcomes—not on the acquisition announcement alone.
