SolarWinds described the transaction as an all-cash deal in its announcement. Enterprise value can include debt and other claims as well as equity value, so it should not be read as $4.4 billion paid directly to shareholders.
What shareholders received
The merger consideration was $18.50 per share in cash. The announced 35% premium was measured against a specific 90-trading-day volume-weighted average, not against every investor’s purchase price and not against a current public-market quote.
Thoma Bravo and Silver Lake collectively controlled approximately 65% of SolarWinds’ outstanding voting securities. They approved the transaction by written consent, so a separate shareholder meeting and vote were not required. The SolarWinds board unanimously approved the deal.

The acquisition closed in April 2025
At announcement, the parties expected to close in the second quarter of 2025, subject to regulatory clearances and customary conditions. The closing occurred on April 16, 2025, as reported in SolarWinds’ SEC filing and related 8-K.
SolarWinds continued operating under its existing name from its Austin, Texas headquarters. The change was ownership and public-company status, not a shutdown. Ordinary investors no longer have NYSE liquidity or the same level of public financial reporting.
Legal structure
The merger used Turn/River-affiliated Starlight Parent, LLC and Starlight Merger Sub, Inc. Merger Sub merged into SolarWinds, with SolarWinds surviving as a wholly owned subsidiary of Starlight Parent.

Why Turn/River bought SolarWinds
Turn/River and SolarWinds said the combination was intended to support innovation, customer success, growth and operational resilience. Turn/River presents itself as a hands-on software investor that helps portfolio companies with areas such as marketing, sales and customer-success operations.
Those statements describe the parties’ announced rationale, not independently demonstrated post-closing results. The transaction also gave Turn/River private ownership of a large software portfolio spanning observability, IT management, monitoring, service desk and database-management products.
What the deal means for customers
The announcement confirmed continued use of the SolarWinds name and ongoing focus on its product categories. It did not establish whether pricing, licensing, support or product strategy would change.

Customer due-diligence checklist
- Review renewal quotes, contract entities and any revised subscription or perpetual-license terms.
- Ask account teams for documented product-road-map and end-of-support commitments.
- Confirm whether support contacts, service levels and escalation paths remain the same.
- Recheck hosting locations, data-handling terms, security documentation and subprocessor lists.
- Assess whether product consolidation could affect integrations, agents, collectors or reporting workflows.
- Update procurement and vendor-risk records to reflect private ownership and reduced public disclosure.
Higher prices, layoffs, product cuts, improved security or better support are possible scenarios, not consequences established by the transaction announcement.

Employees
The public materials do not provide a detailed workforce plan. Employees may reasonably watch for leadership changes, restructuring, altered sales and customer-success priorities, product-investment decisions and changes to compensation or employment arrangements, but none of those outcomes is confirmed by the merger documents.
Resellers and service providers
Partners should verify whether discount schedules, renewal ownership, certifications, partner-program rules, billing entities or account coverage have changed. They should also test how any product packaging or consolidation affects managed-service offerings and customer contracts.

SolarWinds’ cybersecurity context
The 2020 Orion supply-chain compromise remains relevant to customers evaluating software-supply-chain and vendor risk. Contemporary coverage described impacts on government agencies, technology companies and private organizations, including federal directions to isolate affected Orion products while systems were investigated and remediated; see CRN’s transaction coverage.
The acquisition announcement did not say the Orion incident caused or primarily motivated the deal. Private ownership does not, by itself, prove stronger security. Current buyers should request up-to-date security, software-development, incident-response and compliance evidence directly from SolarWinds.
Financial reporting and transaction advisers
SolarWinds canceled a previously scheduled conference call for fourth-quarter and full-year 2024 results because of the pending transaction and said it planned to report those results by February 14, 2025. It remained subject to public-company reporting requirements until the April closing and delisting.

For customers and partners, the practical question is no longer whether the acquisition will happen. It is how Turn/River ownership affects contracts, products, support, security documentation and channel operations over time.
