Why TIM and Claro Pressed Anatel to Approve the Oi Móvel Sale

TIM and Claro pressed Anatel to complete its review of the Oi Móvel sale. The agency approved it with conditions in January 2022, and the transaction closed that April.

TIM and Claro wanted Brazil’s telecom regulator, Anatel, to finish reviewing the sale of Oi Móvel promptly so the buyers could move ahead with the transfer and integration of Oi’s mobile business. The request was for a timely decision, not an exemption from regulatory conditions. Anatel gave unanimous prior consent on January 31, 2022, and the transaction closed on April 20, 2022; it is a completed deal, not a pending sale.

What TIM and Claro wanted Anatel to do

TIM, Claro and Telefônica Brasil, which operates as Vivo, had agreed to acquire Oi’s mobile assets and business. TIM and Claro pressed Anatel to complete its telecom-regulatory review so the transfer could proceed and the assets could be integrated. The official approval notice identifies the three buyers and describes Anatel’s decision as prior consent: Anatel’s approval notice.

The deal was not a purchase of the whole Oi group. It concerned its mobile operation, while Oi’s other businesses remained outside this transaction. Contemporary reporting put the transaction value at about R$16.5 billion; that figure is reported rather than presented prominently in Anatel’s approval notice. The mobile-unit sale was a major element of Oi’s judicial-reorganization and debt-reduction plan, according to Reuters coverage carried by UOL.

Why timing mattered

Proceeds from the mobile-business sale were important to Oi’s recovery effort. A prolonged wait for a regulatory decision could prolong uncertainty for the company and its creditors about when the planned transaction could be completed.

Customers, staff and operations

Until the ownership transition was clear, customers, employees and suppliers faced uncertainty about the future of the mobile operation. The buyers also needed clarity on how customers, network assets, spectrum, numbering resources and wholesale obligations would be transferred. That urgency did not settle whether the transaction was good for competition; it made the timing of the regulatory decision consequential.

Why Anatel’s review was delayed—and what it covered

Anatel had scheduled to consider the case on January 28, 2022. A board member requested more time to examine it, postponing the decision; the agency then scheduled an extraordinary meeting for January 31. Reuters reported the delay and rescheduling in its accounts of the request for additional review time and the planned return to the agenda.

Anatel’s remit was the telecom-regulatory side: licenses, spectrum and the transfer of control of entities holding mobile assets and service authorizations. Cade, Brazil’s competition authority, separately examined the transaction’s effects on competition under antitrust law. Anatel’s prior consent therefore was not a substitute for Cade’s review.

Why the three-carrier deal drew competition objections

Oi was Brazil’s fourth-largest mobile business, and its assets were being divided among three major incumbent operators. Critics worried that moving from four independent mobile operators to three could weaken competitive pressure, give the buyers customers and network resources from the same seller, and make it harder for smaller or newer providers to grow. Wholesale access also mattered: competitors could become more dependent on the three national operators for access to mobile networks.

The Federal Public Prosecutor’s Office recommended that Cade block the transaction on competition grounds, as reported by Reuters. That was an objection in the separate competition process, not Anatel’s decision.

The buyers argued that the arrangement could be made compatible with competition rules through commitments and that it offered operational and investment efficiencies. TIM said the deal complied with Anatel’s regulatory limits and rejected claims that the purchasing arrangement was a cartel; that was TIM’s position, not an independent legal finding. Claro argued that the division strengthened TIM, then the third-largest operator, rather than simply reinforcing the market leader. Contemporary accounts of those arguments appear in TIM’s response and Claro’s account of proposed remedies. The policy tension was between enabling Oi’s restructuring and preserving effective competition; neither objective automatically answered the other.

What Anatel approved and required

On January 31, 2022, Anatel unanimously granted prior consent for the transaction, with conditions. The decision was a regulatory gate, not a finding that customers would retain every existing plan or that competition concerns had disappeared. Reported conditions addressed practical continuity and market access, including:

  • Transfer of customer numbers and numbering resources.
  • Maintenance of voice, data and messaging services across available technologies, including machine-to-machine and Internet of Things services.
  • Customer communication channels to explain migration and handle questions.
  • Tax and regulatory compliance obligations.
  • Measures concerning wholesale access and competition.

Coverage of the conditions is available from TeleTime’s account of Anatel’s requirements. An additional obligation covered telecom service to the Comandante Ferraz Antarctic station under Brazil’s Antarctic Program. The buyers had to negotiate with Oi to maintain the existing cooperation arrangement through its expected end date, January 21, 2024, according to TeleTime’s report on the approval.

How approval became a completed transaction

  1. January 31, 2022: Anatel granted unanimous prior consent, subject to conditions.
  2. February 2022: Anatel authorized TIM, Claro and Vivo to use frequencies associated with Oi Móvel, including arrangements involving network sharing or secondary use. TeleTime reported on the spectrum authorizations.
  3. Before closing: The buyers submitted reference wholesale offers intended to support competitor access and meet transaction requirements.
  4. April 20, 2022: The sale closed. The offers and closing were reported together by TeleTime.

What the sale meant for Oi mobile customers

Customers were not simply left without mobile service: customer accounts and network operations were transferred or migrated within a framework that included continuity obligations. But continuity of service is different from a guarantee that every customer would keep the same commercial plan, price, benefits, network arrangement or experience indefinitely. Outcomes could vary by plan, location and migration schedule.

Likewise, transferring a customer account does not necessarily mean the same underlying network remains in use. Anatel’s conditions governed obligations attached to the transition; they did not freeze all later commercial terms. The transaction covered Oi’s mobile business, not all of Oi’s remaining fixed-line, infrastructure and other operations.
