Integrated Silicon Solution, Inc. (ISSI), a fabless semiconductor company, was acquired by Uphill Investment Co., an investor-backed consortium vehicle—not by Cypress Semiconductor. Uphill’s final offer was $23.00 per share in cash. Cypress made a competing bid, but ISSI’s board concluded that its final proposal, including a potential fee tied to regulatory delays, was worth less than Uphill’s offer.
What ISSI did—and who was bidding for it
ISSI designed and marketed integrated circuits, including high-speed, low-power SRAM and DRAM, NOR flash, and analog/mixed-signal products. Its markets included automotive, communications, industrial, and digital consumer applications, according to the company’s 2015 definitive proxy statement.
The two bidders were different kinds of buyers. Cypress Semiconductor was an operating semiconductor company; Uphill Investment Co. was the acquisition vehicle for an investor consortium. That distinction matters: this was not a contest between two semiconductor manufacturers. It was a contest between a strategic industry buyer and a consortium-backed purchaser.
How the offers changed
Uphill’s March 12, 2015 merger agreement set an initial cash price of $19.25 per share. ISSI’s proxy said that represented about a 16.2% premium to the company’s March 11 closing price; that percentage refers to that particular comparison date, not to every possible reference price.

Thus, the ticking fee did not make Cypress’s bid the higher one in the board’s assessment. The fee was conditional on additional time for regulatory approval and capped at $0.20 per share; it was not an unconditional addition to Cypress’s $22.60 cash price.
Why Cypress was interested—and what was only speculation
In Gary Hilson’s July 8, 2015 EE Times report, Jim Handy, principal analyst at Objective Analysis, characterized the contest as an auction: “It was definitely an auction.” Handy also called it “a tempest in a teapot,” while observing that the bidding had improved the price for ISSI shareholders.

Handy offered a possible explanation for Cypress’s interest: ISSI’s patents might have appealed to a company that had expressed interest in expanding its patent portfolio and returning to growth. That was Handy’s speculation, not a confirmed account of Cypress’s motive; he said he had not reviewed ISSI’s patent portfolio.

The 2015 coverage discussed regulatory review and possible customer sensitivity to a change in ownership as concerns at the time. They help explain why the offers included attention to regulatory timing, but they do not establish how customers ultimately reacted or whether any feared disruption occurred. Likewise, the July 8 article discussed a possible third-quarter closing while the transaction was still framed prospectively; that expectation should not be mistaken for evidence of the actual closing date.
