On November 15, 2013, MBDA and MBDA Incorporated announced that Scott Webster would succeed retiring Jerry Agee as chairman of the board, chief executive officer and managing director of MBDA Incorporated, the company’s U.S. subsidiary. The planned handover was expected to occur in November 2013. Later records show that Webster initially served as chairman and interim CEO, while John Pranzatelli became permanent CEO on November 1, 2014.
What the November 2013 announcement said
The boards of MBDA and MBDA Incorporated approved Webster’s appointment. The announcement, issued from Arlington, Virginia, said he would take over “this month,” meaning November 2013, from Agee, who was retiring after leading MBDA Incorporated since 2009. The published offices were specific: chairman of the board, chief executive officer and managing director of MBDA Incorporated.
The announcement also said Agee and Webster had worked closely for several weeks to support a smooth transition. The original announcement was subsequently corroborated by Aviation Week on December 9, 2013.
Who was Scott Webster?
Webster brought a long record in the U.S. space and defense industry. The announcement identified him as:

A contemporaneous government-contracting report also described Webster as an Orbital Sciences co-founder and former chairman and CEO of its satellite-services subsidiary. That background was relevant industry experience, although the announcement did not state that it was the formal reason for his selection. See Executive Mosaic’s report.
Jerry Agee’s role and retirement
Agee had led MBDA Incorporated since 2009 and was retiring when Webster was appointed. MBDA CEO Antoine Bouvier credited Agee’s commitment, energy and dedication, and said he had helped expand the U.S. business in Washington, D.C., and Huntsville, Alabama.

Executive Mosaic reported that Agee had spent more than two decades in leadership positions at Northrop Grumman, including corporate vice president and president of the company’s mission systems sector. The available announcement describes his U.S. expansion and restructuring work but does not provide independent performance measures, so claims about a broader “transformation” go beyond the documented record.
MBDA Incorporated versus the MBDA Group
The appointment concerned MBDA Incorporated, not the leadership of the entire MBDA Group. MBDA Incorporated was organized as the U.S. business’s stand-alone national company, headquartered in Arlington, Virginia, with its own board and reporting relationship to the MBDA Group. It existed alongside MBDA France, MBDA UK, MBDA Italy and MBDA Germany within the wider multinational missile and missile-systems business.

“Stand-alone” described the U.S. company’s operating and reporting structure; it did not mean that MBDA Incorporated was independent of the MBDA Group. MBDA’s corporate explanation of that structure is available at MBDA’s reorganization announcement.
The later leadership timeline
The 2013 announcement presents Webster as Agee’s successor in all three offices. A later U.S. Department of Labor litigation record supplies the fuller sequence:

The legal record is at the U.S. Department of Labor. Thus, “Webster replaced Agee as CEO” is accurate for the announced and initial transition, but it should not be read as saying Webster remained the permanent CEO indefinitely.

The change came as MBDA was positioning its U.S. business for greater national-company responsibility and growth. The stand-alone structure was intended to help MBDA Incorporated compete for U.S. missile and missile-defense business, develop partnerships and pursue additional opportunities in the American market.

Agee’s tenure covered that restructuring and U.S. expansion effort. Webster then brought senior space-and-defense management experience to the transition. The record supports viewing the appointment as both a retirement succession and an effort to maintain strategic continuity; it does not establish that Webster personally initiated the stand-alone reorganization.
How to state the result accurately
- Correct: Webster was appointed in November 2013 to succeed Agee as chairman, CEO and managing director of MBDA Incorporated.
- More precise: He initially served as chairman and interim CEO before Pranzatelli became permanent CEO on November 1, 2014.
- Avoid: Saying Webster became CEO of the global MBDA Group or remained MBDA Incorporated’s permanent CEO after 2014.
The Bottom Line
The November 2013 announcement was a genuine succession at MBDA’s U.S. subsidiary: Scott Webster took over the announced chairman and CEO roles from retiring Jerry Agee, with the transition occurring that month. The longer-term arrangement changed when John Pranzatelli became permanent CEO on November 1, 2014, while Webster remained chairman.
