OpenAI’s board unanimously rejected an unsolicited buyout proposal led by Elon Musk on February 14, 2025. The consortium offered $97.375 billion in cash for the assets of OpenAI, Inc., the nonprofit entity at the center of OpenAI’s unusual corporate structure. OpenAI said the nonprofit was “not for sale.” This is a February 2025 event, not a new August 2026 development.
The rejection was a formal board action, distinct from earlier public remarks by Sam Altman and other OpenAI representatives. It also did not end Musk’s separate lawsuit or decide OpenAI’s future restructuring by itself.
What happened on February 14, 2025?
Musk’s legal counsel delivered the proposal to OpenAI’s board on February 10, 2025. Four days later, the board unanimously rejected it. OpenAI board chair Bret Taylor said: “OpenAI is not for sale, and the board has unanimously rejected Mr. Musk’s latest attempt to disrupt his competition.” OpenAI framed that description as its own position in the dispute, not as a court finding about Musk’s motives. The proposal was unsolicited and was disclosed while Musk was litigating against OpenAI and challenging its planned restructuring. There was no merger vote or court-supervised sale after the board’s decision.

The amount was an offered purchase price, not an independently verified valuation of the entire OpenAI enterprise. The cited court filing identified participants including xAI, Baron Capital Group, Valor Management, Atreides Management, Vy Fund III, Emanuel Capital Management and Eight Partners VC; it also said additional participants had not been identified at that point. Why the nonprofit distinction matters
Headlines often described the proposal as an attempt to “buy OpenAI.” The legal description was narrower and more complicated: an offer to purchase the assets of OpenAI, Inc., the nonprofit parent involved in OpenAI’s governance. OpenAI also had for-profit operating arrangements, so acquiring specified nonprofit assets was not necessarily the same as buying every subsidiary, product, employee relationship or technology right under a conventional corporate takeover.

That structure made the bid a question of mission and control as well as price. OpenAI said any reorganization should strengthen the nonprofit and preserve its mission of ensuring that artificial general intelligence benefits humanity. OpenAI said the nonprofit was not for sale and that the proposal was not in the best interests of its mission. This was the board’s stated rationale; the available material does not establish that the offer was rejected because its price was too low.

Conditions attached to the proposal
OpenAI’s lawyers argued that the proposal contained numerous conditions and that later court filings added more. On that basis, counsel characterized it as “not a bid.” That is OpenAI’s litigation position, not an independently adjudicated conclusion about the offer. (Thurrott contemporaneous coverage)
The surrounding restructuring dispute
OpenAI was working to change the relationship between its nonprofit parent and for-profit operations. Musk’s offer arrived while he was seeking to block or slow that process through litigation. OpenAI later argued in court that the proposal was another tactic connected to the dispute and could interfere with its business and restructuring. Those assertions should be understood as OpenAI’s allegations.

How the offer relates to Musk’s lawsuit
Musk had already sued OpenAI and its leaders. The acquisition proposal and the lawsuit were related in timing and subject matter, but they were not the same proceeding. On March 4, 2025, a federal court rejected Musk’s request for a preliminary injunction. What the rejection did—and did not—mean
- It did mean: OpenAI’s board had formally ended consideration of this unsolicited proposal before its reported May 10 deadline.
- It did not mean: the court had blocked a purchase, because the board—not the court—rejected the offer.
- It did not resolve: Musk’s lawsuit, the parties’ broader dispute, or every question about OpenAI’s planned corporate restructuring.
- It did not prove: that $97.375 billion was OpenAI’s fair-market value or that the consortium would have acquired every OpenAI entity and asset.
Why the formal board action was significant
Earlier jokes or dismissive comments from Altman and others were public reactions, not a documented board decision. The February 14 action supplied the formal corporate answer: the directors unanimously declined the proposal. For readers tracking companies, governance and potential transactions, that distinction matters because an unsolicited expression of interest does not automatically create a duty to negotiate or a binding sale process.
