The UK Competition and Markets Authority (CMA) cleared Microsoft’s hiring of almost all of Inflection AI’s team and related arrangements on September 4, 2024—but first found that the deal qualified as a “relevant merger situation” under UK law. Those conclusions are not contradictory: the first meant the CMA had authority to review the arrangement; the second meant it found no realistic prospect of a substantial lessening of competition that justified a deeper investigation.
What Microsoft obtained from Inflection
On March 19, 2024, Microsoft announced that it had hired several former Inflection employees. The CMA later described the hires as almost all of Inflection’s team, including co-founders Mustafa Suleyman, Inflection’s former CEO, and Karén Simonyan. Microsoft also entered into associated arrangements with Inflection, including a non-exclusive licence involving Inflection intellectual property.
This was not a purchase of Inflection as a corporate entity. The CMA examined the transfer of people, know-how, intellectual property access and other assets and activities. Inflection shifted its focus toward its enterprise-oriented AI-studio business rather than continuing in the same form as before the arrangement. The CMA’s full Phase 1 decision sets out the transaction it reviewed.
Why the CMA called it a merger
UK merger control asks first whether the regulator has jurisdiction over a transaction, and separately whether that transaction is likely to harm competition. For a “relevant merger situation,” the CMA must establish, among other things, that two or more enterprises have ceased to be distinct and that a UK jurisdictional test is met. An enterprise need not be a separately incorporated company: it can be activities, or part of the activities, of a business.

The CMA concluded that Microsoft had acquired enough of Inflection’s pre-transaction business activity for the two enterprises to cease to be distinct. It also found the UK share-of-supply test was met: the parties’ combined share for the relevant chatbot activity exceeded 25%, with an increment of approximately 0–5%. Those figures were based on SimilarWeb data for UK chatbot web visits in February 2024. They describe the CMA’s selected chatbot overlap and measure—not Microsoft’s share of the entire AI market.
Why a team and its know-how can matter
In the CMA’s view, Inflection’s core development team embodied the expertise behind its foundation-model and chatbot activities. Foundation models and chatbot technology can become obsolete quickly without continued development, making specialized staff central to sustaining those activities. Hiring the vast majority of that team transferred collective know-how; the associated IP arrangements strengthened the connection between Inflection’s former activities and Microsoft’s resulting AI work.

The CMA said a team with relevant know-how can potentially amount to an enterprise for merger-control purposes even without additional assets. That does not make every group hire a merger. The question is whether the people and any related assets allow a recognizable business activity to continue, and whether the statutory jurisdictional conditions are satisfied. The scale and expertise of the Inflection team, the accompanying arrangements and the parties’ overlapping activities informed this particular decision.
Why the CMA cleared the arrangement
After establishing jurisdiction, the CMA assessed whether the deal created a realistic prospect of a substantial lessening of competition (SLC) in the areas it examined: foundation models and consumer chatbots. A foundation model is a general-purpose AI system trained on large datasets to perform multiple tasks; a consumer chatbot is an application that uses such models to respond to prompts, including in text, speech, images or code.

The CMA concluded that Inflection was not a sufficiently strong competitive constraint on Microsoft’s relevant consumer-chatbot products to warrant a Phase 2 investigation. Its assessment also considered Microsoft’s existing AI capabilities, including Copilot and its relationship with OpenAI, alongside competition in foundation models and chatbots. The result was Phase 1 clearance: the CMA found no realistic prospect of an SLC on the theory it assessed, not that the deal raised no conceivable competition question.
For parts of its analysis, the CMA treated OpenAI products such as ChatGPT as within Microsoft’s activities because it considered Microsoft able to materially influence OpenAI policy. That was specific to this assessment, not a finding that Microsoft owns or controls OpenAI. The decision expressly left the separate Microsoft–OpenAI investigation unresolved and did not determine that partnership’s merger-control jurisdiction or competitive effects.

The decision shows that merger control can examine a transfer of business capability even when the buyer does not purchase the target company’s shares. A package involving founders and technical staff, intellectual-property rights and other arrangements may attract scrutiny if it moves the people and know-how needed to continue the target’s activities.

It does not create a formal legal category called a “quasi-merger,” nor does it establish that all acqui-hires are mergers. The CMA’s April 2024 statement said it was monitoring a complex network of more than 90 partnerships and investments involving major firms, warning that such arrangements could reinforce incumbent positions. Whether a future deal is reviewable will depend on its facts and the applicable jurisdictional tests; reviewability itself does not mean a deal will be blocked.
There is a separate German comparison. In November 2024, Germany’s Bundeskartellamt said that taking over almost all Inflection employees, together with financing and IP arrangements, could in principle fall under merger control. It did not review the deal because Inflection lacked substantial domestic activity in Germany. That was a separate jurisdictional assessment, not part of the CMA’s decision.
