Apple Reportedly Picked Phil Schiller for an OpenAI Board-Observer Role. What Happened Next?

The 2024 report was genuine, but “board seat” is shorthand that obscures the important detail. Bloomberg reported on July 2, 2024, that Apple would receive a nonvoting observer position at OpenAI and had selected Apple Fellow Phil Schiller as its representative. The expected role was tied to Apple’s ChatGPT partnership, not a confirmed voting directorship. OpenAI’s current official governance page, updated after its 2025 recapitalization, does not list Schiller among its directors or identify him as a current board member.

What Bloomberg reported

Bloomberg’s July 2, 2024 report said Apple had been offered an observer position at OpenAI and that Schiller would represent Apple, with the arrangement expected to begin later that year. Contemporaneous accounts described the role as nonvoting and said Apple and OpenAI had not publicly confirmed the appointment at the time. Thurrott’s summary of the Bloomberg report and Observer’s contemporaneous account both made the observer distinction.

That produces three different levels of certainty:

  • Confirmed: Apple and OpenAI announced a ChatGPT partnership in June 2024.
  • Reported: Bloomberg said Apple would receive observer access and Schiller had been selected.
  • Not established by the current official record: that Schiller became, or remains, a formal OpenAI director.

Observer versus director: why the wording matters

Role Typical authority What it does not establish
Board director Votes on board matters and generally owes formal fiduciary duties to the corporation. It does not necessarily mean the director controls day-to-day operations.
Board observer May attend meetings and receive some board materials under the governing agreement. No vote, no automatic veto, and no equivalent fiduciary authority.

Observer rights are contractual. Access can be limited by competitive conflicts, attorney-client privilege, confidential negotiations, security issues or required recusal. An observer may gain meaningful strategic visibility without being able to direct OpenAI’s strategy or block a decision.

Who is Phil Schiller?

Schiller remains an active Apple executive rather than a former employee. Apple identifies him as an Apple Fellow; its current leadership page lists him within the company’s senior leadership, and Apple’s investor-relations profile says he is responsible for the App Store and Apple Events. He previously served as Apple’s senior vice president of Worldwide Marketing and became an Apple Fellow after stepping down from that post in 2020. His continuing connection to the App Store, developers and Apple product launches made him a logical company representative for a strategic AI partnership.

Why Apple was offered observer access

The reported role followed Apple’s June 2024 agreement to integrate ChatGPT into Apple Intelligence. Apple said ChatGPT would be available for selected requests in Siri and Writing Tools across supported iPhone, iPad and Mac software, with user permission. The announcement is documented in Apple’s Newsroom release.

  • Apple needed an established chatbot partner while developing its own on-device and private-cloud models.
  • OpenAI needed distribution to Apple’s enormous installed base and a path to new users and potential paid subscriptions.
  • Apple gained visibility into a crucial supplier without taking a voting position.

Contemporaneous reporting said Apple was not paying a conventional licensing fee for the integration. The apparent exchange was Apple distribution and exposure for OpenAI capabilities and observer access for Apple. The complete commercial agreement was not public, so it is more accurate to describe this as the reported structure than as a legally complete “free” deal.

Apple was not handing its entire AI strategy to OpenAI

Apple Intelligence included Apple-developed models, on-device processing and private-cloud processing. ChatGPT was an optional service for certain tasks, not the sole system powering Apple’s AI features. The partnership gave Apple an external capability while preserving its own model and privacy architecture.

Where Microsoft fits—and why the timeline changed

Microsoft had received an OpenAI board-observer position after the November 2023 crisis surrounding Sam Altman’s temporary removal. In July 2024, Microsoft said it was giving up that seat because OpenAI had made progress and the access was no longer necessary. Axios reported the departure on July 9–10, 2024.

Early stories therefore portrayed Apple and Microsoft as potentially having observer access at the same time. That was a short-lived expectation, not an enduring arrangement. Microsoft’s seat was relinquished almost immediately after the Apple report, and the two companies had very different relationships with OpenAI: Microsoft supplied major cloud infrastructure and had invested heavily, while Apple supplied consumer-device distribution.

What the current official record shows

OpenAI’s current structure and board page, published after the October 28, 2025 recapitalization, lists the OpenAI Foundation’s directors and explains the relationship with OpenAI Group. Schiller is not listed. OpenAI’s later governance announcements, including Adebayo Ogunlesi’s January 2025 appointment and the 2025 structure update, likewise do not establish Schiller as a current director.

The omission means Schiller is not a listed current director. It does not, by itself, prove that he never attended a meeting under a contractual observer arrangement; formal governance pages may list directors without listing every observer. No available official source confirms that he became a current OpenAI director, and the evidence does not justify claiming that the reported observer role was definitively canceled.

Why the reported role mattered

Strategic information without control

Observer access could have exposed Apple to discussions about OpenAI’s product roadmap, safety priorities, infrastructure needs, commercial plans and distribution strategy. It would not have given Apple voting control, a veto or authority to run the company.

Competitive tension

Apple, Microsoft and OpenAI occupied overlapping but different positions. Microsoft combined investment and cloud capacity; Apple controlled a massive consumer platform; OpenAI depended on both infrastructure and distribution. Those incentives made information-sharing and conflicts of interest important governance questions.

Antitrust and confidentiality questions

A major platform company receiving privileged access to a key supplier can raise questions about confidential information, App Store treatment of competing AI applications and regulatory scrutiny. The reported observer role alone does not establish an antitrust violation. Any access would also have been subject to confidentiality, privilege and recusal limits.

How to describe the story accurately

  • Use “Apple was reportedly set to receive a nonvoting observer role,” not “Apple received a voting board seat.”
  • Describe Schiller as Apple’s reported representative, not as an independent OpenAI executive.
  • Use “expected” or “reported” for the 2024 appointment; do not present completion as verified.
  • Do not say Apple and Microsoft controlled OpenAI or had equal influence.
  • Keep Schiller’s Apple role current: Apple still identifies him as an Apple Fellow responsible for the App Store and Apple Events.

The Bottom Line

The precise account is that Apple was reportedly set to receive a nonvoting OpenAI board-observer role represented by Phil Schiller in 2024, as part of the ChatGPT partnership. OpenAI’s current official governance information does not establish Schiller as a formal or current OpenAI director.
