Mitsubishi Electric Completes $883 Million Nozomi Networks Acquisition

Mitsubishi Electric completed its acquisition of Nozomi Networks—not for $1 billion in cash, but for $883 million covering the remaining 93% stake.

Mitsubishi Electric did acquire Nozomi Networks—but the transaction is no longer pending. Mitsubishi Electric announced the deal on September 9, 2025, agreeing to pay $883 million in cash for the 93% of Nozomi it did not already own. The acquisition closed on January 28, 2026, making Nozomi a wholly owned subsidiary.

The often-repeated “nearly $1 billion” description refers to the implied value of the entire company. The exact disclosed cash consideration was $883 million for the remaining stake, not $1 billion in cash.

The transaction was completed through a reverse triangular merger involving Mitsubishi Electric subsidiary Nirvana Merger Sub, Inc. Existing Mitsubishi Electric-held Nozomi shares did not receive merger consideration because they were already owned by the buyer. The companies described the deal as subject to customary closing conditions when it was announced.

Why the price was described as “nearly $1 billion”

The $883 million figure is the official disclosed acquisition price for the remaining 93% of Nozomi. Because Mitsubishi Electric already held 7%, reports rounded the implied value of the entire company to roughly $1 billion.

Using the same per-share valuation for the existing 7% stake produces an implied full-equity value of approximately $949 million. That is a calculation, not a separately disclosed transaction value. The most precise description is therefore: Mitsubishi Electric paid $883 million to acquire the remaining 93% of Nozomi Networks, implying a total equity value of about $949 million.

That distinction matters for investors and business readers. It would be inaccurate to say Mitsubishi Electric paid $1 billion in cash or bought 100% of Nozomi from a standing start.

How the relationship began

The acquisition followed an earlier strategic relationship. On March 14, 2024, Mitsubishi Electric and Nozomi announced a collaboration involving marketing, technical development, and OT-security solutions. Mitsubishi Electric also acquired its initial 7% equity stake at that time.

The 2025 agreement expanded that minority investment into full ownership. The progression reflects a common corporate-acquisition pattern: establish a commercial and technical relationship, evaluate the fit, then acquire the remaining company when the technology becomes strategically important.

What Nozomi Networks does

Nozomi is an industrial cybersecurity company focused on operational technology (OT), industrial control systems (ICS), the Internet of Things, and cyber-physical systems. Its products are intended for environments where computers and networks directly influence physical operations—such as factories, power facilities, rail systems, utilities, and other infrastructure.

That is different from protecting employee laptops, email accounts, or ordinary office applications. Nozomi’s platform is designed to help organizations:

  • Discover and inventory OT and IoT assets.
  • Map network activity and industrial communications.
  • Assess vulnerabilities and operational risk.
  • Detect unusual behavior and potential threats.
  • Monitor endpoints through Nozomi Arc.
  • Use network sensors in the Guardian product family.
  • Manage centralized monitoring through the cloud-based Vantage platform.
  • Send information to security operations, threat-intelligence, and incident-response tools.

Nozomi describes Vantage as a SaaS platform for centrally monitoring OT, IoT, and IT networks. Nozomi Arc provides endpoint security and lightweight network sensing, while the company’s technical specifications describe the broader sensor and platform capabilities.

These products are generally used to improve visibility and detection rather than to replace plant engineers, network segmentation, patch governance, backups, or incident-response planning.

Why Mitsubishi Electric wanted Nozomi

Mitsubishi Electric manufactures industrial equipment and automation systems and serves sectors including factory automation, infrastructure, power, and transportation. Its stated rationale is to combine that industrial expertise with Nozomi’s OT-security technology and customer base.

The strategic logic is straightforward:

  • Factories and infrastructure are becoming more connected, increasing their exposure to cyberattacks.
  • Industrial customers need security tools that understand control systems and physical processes.
  • Mitsubishi Electric can add OT-native visibility and threat detection to its broader industrial portfolio.
  • Security software and managed services can extend the company beyond equipment and automation sales.
  • Nozomi’s capabilities may support Mitsubishi Electric’s Serendie digital platform and related services.
  • A combined offering could give customers a single supplier for portions of their OT-security program.

Mitsubishi Electric presented these points in its acquisition release and transaction presentation. The expected benefits are strategic goals, not yet proof of realized synergies or financial results.

In the acquisition announcement, Mitsubishi Electric also attributed a 33% compound annual growth rate and gross margins above 70% to Nozomi. Those are company-provided figures and should not be treated as independently audited transaction analysis.

Why OT cybersecurity is different from ordinary IT security

In office IT, applying a security patch or isolating a compromised computer may be inconvenient. In an industrial environment, the same action can interrupt production, damage equipment, affect product quality, or create safety concerns.

OT-security teams therefore have to balance confidentiality and security against availability, safety, and process integrity. Common constraints include:

  • Old or proprietary controllers that are difficult to replace.
  • Fragmented asset inventories across plants and regions.
  • Air-gapped, intermittently connected, or geographically remote facilities.
  • Industrial protocols and devices unfamiliar to conventional IT-security tools.

Active scanning, automated blocking, or endpoint enforcement can be risky on fragile or safety-critical systems. Passive monitoring is often preferred as a starting point because it can reveal assets and suspicious behavior without directly changing production traffic. Even passive monitoring, however, depends on correct sensor placement and adequate access to network traffic.

The central customer question: can Nozomi remain vendor-neutral?

Nozomi’s value proposition depends heavily on its ability to monitor heterogeneous industrial environments. A plant may contain equipment from Mitsubishi Electric, Siemens, Rockwell Automation, Schneider Electric, Honeywell, ABB, and other manufacturers.

“Vendor-agnostic” can mean several different things:

  • Vendor-neutral visibility: the platform can discover and monitor equipment regardless of manufacturer.
  • Vendor-neutral detection: it can identify suspicious behavior without requiring a Mitsubishi Electric control system.
  • Technical interoperability: it supports relevant protocols, integrations, and deployment models across a mixed environment.
  • Commercial independence: customers using competitors’ equipment can still buy, deploy, and receive support for the platform on comparable terms.

The acquisition creates an obvious tension. Mitsubishi Electric has a reason to deepen its own industrial ecosystem, while Nozomi’s credibility depends on serving customers with mixed-vendor environments. Mitsubishi Electric and Nozomi have said Nozomi will retain its brand, technology roadmap, customer and partner relationships, dedicated go-to-market organization, and research-and-development capabilities.

Mitsubishi Electric also published commitments concerning openness, autonomy, and cultural integrity in its customer-interest statement. Those commitments are important, but they are not a guarantee that ownership will never affect pricing, support, partnerships, or product priorities. Customers should evaluate how the stated model works in practice over time.

What changed after closing?

Nozomi now operates as a wholly owned Mitsubishi Electric subsidiary. The companies’ announced operating model is continued independent operation under the Nozomi Networks brand.

Dividing the $883 million consideration by 2025 revenue gives roughly 8.7 times revenue. That is only a rough reference point: the purchase price covered 93% of equity, while revenue represents the whole company, and the figures do not constitute a formal valuation analysis.

The available announcements do not establish broad post-closing price changes, customer losses, product cancellations, or material integration problems. Future effects on licensing, channel policy, partner status, roadmap priorities, and support should not be assumed either positively or negatively without evidence.

What the deal could mean for the OT-security market

The acquisition signals that OT cybersecurity is becoming a strategic software category for industrial companies rather than a niche add-on.

Potential consequences include:

  • More automation and infrastructure companies acquiring or building OT-security capabilities.
  • Greater customer demand for integrated automation-and-security offerings.
  • More investment and global distribution for established OT-security products.
  • Additional acquisition interest in independent OT-security vendors.
  • More competition between integrated platforms and specialist security companies.

The trade-off is concentration. Customers may benefit from a deeper industrial relationship and more resources, but they may also worry about dependence on a major equipment vendor, reduced neutrality, pricing leverage, or fewer independent choices.

Potential alternatives include Claroty, Dragos, Armis, Tenable OT Security, Microsoft Defender for IoT, and TXOne Networks. They should be compared on asset discovery, OT protocol coverage, threat detection, endpoint and network visibility, vulnerability prioritization, cloud and on-premises deployment, incident-response services, integrations, pricing, and disconnected-site support—not on an unsupported universal ranking.

Nozomi’s website lists several of these companies in vendor-published market positioning. That is useful context, but it should not be treated as an independent market-share comparison.

  1. Will non-Mitsubishi equipment remain equally supported? Test representative Siemens, Rockwell, Schneider, Honeywell, ABB, and legacy assets where relevant to the plant.
  2. What is the deployment model? Confirm whether the environment needs on-premises sensors, cloud monitoring, offline workflows, or specialized collectors for air-gapped and remote facilities.
  3. What traffic can the sensors actually see? Validate SPAN ports, network taps, segmentation, east-west traffic, wireless systems, and plant-to-plant connectivity.
  4. What is passive and what is active? Establish whether assessment, blocking, endpoint response, or other intervention could affect production or safety.
  5. How will alerts reach the SOC? Review SIEM, SOAR, EDR/XDR, network-access-control, ticketing, and incident-response integrations.
  6. How is licensing calculated? Clarify whether charges depend on assets, sites, sensors, throughput, users, cloud usage, service tiers, support, hardware, or professional services.
  7. What changed contractually? Review renewal terms, support contacts, escalation procedures, data handling, hosting locations, partner arrangements, and procurement policies.
  8. Who acts on the findings? Define responsibility among the SOC, plant engineers, asset owners, network teams, and safety personnel before deployment.

A proof of concept should use representative production conditions and measure practical outcomes: asset coverage, protocol recognition, alert quality, investigation time, integration effort, data residency, and the operational burden on plant staff.

Where the platform may not fit

Nozomi may be excessive for a small, uncomplicated facility with few connected industrial assets and no dedicated OT-security program. It may also be a poor fit if the buyer cannot safely provide network visibility, install sensors, connect remote plants, or staff alert investigation.

Microsoft Defender for IoT may be attractive to organizations already standardized on Microsoft 365, Defender XDR, and Sentinel. Microsoft publishes OT site-based pricing in some regions; its Canadian pricing page, for example, listed monthly OT site tiers from CAD $95 for XS through CAD $2,035.20 for XL, with annual commitment and device limits. Those are Canadian prices, not U.S. prices, and should not be compared directly with an undisclosed Nozomi quote.

Nozomi’s public buying path generally directs prospects to request a demonstration or contact sales rather than displaying standard list pricing. Enterprise buyers should obtain a quote tailored to assets, sites, deployment, support, and services.

What remains unanswered

The closing establishes ownership, but not every consequence of ownership. Important questions include how deeply Mitsubishi Electric will integrate Nozomi with Serendie, whether pricing or packaging will change, how partner policies will evolve, and whether Nozomi will continue to serve competitors’ installed bases on equal commercial and technical terms.

Those are execution questions, not facts that can be resolved from the acquisition announcement alone. For now, the clearest conclusion is that Mitsubishi Electric has completed a major strategic investment in OT cybersecurity while publicly promising to preserve Nozomi’s independent operating identity and vendor-neutral position.
