Zetwerk’s manufacturing order book reached ₹12,370.01 crore at March 31, 2026, up from ₹8,628.98 crore a year earlier and ₹6,169.75 crore two years earlier. That scale is real, but it is not the same as profit: FY26 revenue from operations was about ₹15,913 crore, adjusted EBITDA was ₹421 crore (roughly a 2.6% margin), and the restated loss was ₹1,606 crore. The IPO would repair part of the balance sheet, yet most fresh capital is earmarked for debt repayment rather than expansion.
How large is Zetwerk’s order book?

The March 2026 backlog was about 1.3 times FY26 manufacturing revenue of ₹9,374.676 crore. That ratio indicates substantial future work relative to the segment’s latest annual sales, but it is a coverage measure, not a promise that all ₹12,370.01 crore will become revenue. Orders can be delayed, renegotiated or cancelled, and delivery depends on production capacity, suppliers and customer schedules.

New manufacturing orders in FY26 were ₹15,393.351 crore, compared with ₹8,994.143 crore in FY24—an increase of about 71%. The increase in incoming orders and the backlog shows that customers are using the platform at growing scale. The relevant test for investors is conversion: how much of that pipeline ships on time, at what gross margin, and with how much cash tied up in inventory and receivables.

Backlog is also not the same as booked profit. A large project can carry procurement, warranty, logistics and subcontracting costs that leave little contribution after execution. A cancellation or delay can reduce the pace of revenue recognition while costs already incurred remain on the balance sheet.

Adjusted EBITDA excludes financing, taxes, depreciation and specified exceptional items; it therefore cannot be treated as net profit or free cash flow. The FY26 statutory loss included major exceptional effects, including a stake-dilution adjustment and an impairment related to the discontinued civil-infrastructure business. Those items explain much of the numerical difference between ₹421 crore of adjusted EBITDA and the ₹1,606 crore restated loss, but they do not change the underlying issue: an adjusted EBITDA margin of only a few percent leaves limited room for cost overruns, claims, interest expense or weaker volumes.

Value Research Online’s October 15, 2026 analysis of the red-herring prospectus summarized the tension this way: “The platform is real and its order book is doubling. But Zetwerk has never made a profit, margins are wafer-thin, and most of the fresh IPO money is headed somewhere other than growth.” The quotation is an assessment of the company’s reported history, not a forecast of future results.

What business produces the revenue?
Zetwerk runs a technology-led, asset-light manufacturing platform. It accepts industrial and energy-product orders, coordinates production through a broad third-party supplier network, and supplements that network with owned facilities. Its economic role is coordination, procurement, quality control and delivery rather than owning every factory involved in production.
The company also operates an ecosystem business under the Terra91 brand that aggregates and resells raw materials. Manufacturing’s share of total revenue rose from roughly 49% in FY24 to roughly 59% in FY26, while the ecosystem business remained a significant contributor. That distinction matters when interpreting growth: commodity-sourcing turnover can move with metal prices and trading volumes and may carry lower margins than higher-value manufacturing coordination.

Using the fresh issue mainly to repay debt can reduce interest burden and refinancing risk. It is balance-sheet repair, not direct funding for factories, acquisitions or working-capital expansion. Investors should therefore separate any improvement in leverage from evidence that the operating model has become sustainably profitable.

The latest lead-manager page identifies a red-herring prospectus dated October 11, 2026. The securities regulator’s filing index also records an earlier updated draft red-herring prospectus listing dated August 14, 2026. Offer terms, risk factors and proceeds allocation should be checked against the final documents available at the time of subscription.
What could prevent the order book from becoming profit?
- Execution: Delays, quality failures, rework and penalties can consume the thin margin on a contract.
- Supplier dependence: The asset-light model relies on third-party manufacturers for capacity, quality and delivery. Disruptions can affect Zetwerk even when customer demand is intact.
- Working capital: Large orders may require inventory purchases and supplier payments before customers pay, increasing borrowing needs.
- Customer concentration: Losing or delaying a major customer program can create a sharp gap between headline backlog and actual shipments.
- Order changes: A pipeline is exposed to cancellation, postponement, scope changes and commodity-price movements.
- Margin pressure: Revenue can continue to grow without enough spread between selling prices and procurement, logistics, subcontracting and financing costs.
- Business-mix volatility: A larger share of raw-material aggregation can lift reported turnover without delivering manufacturing-like margins.
How should investors judge Zetwerk’s valuation?
The useful comparison is not order-book value alone. Investors should examine five linked measures:
- Backlog conversion: Compare each year’s opening order book and new orders with manufacturing revenue actually delivered.
- Margin quality: Track adjusted EBITDA margin alongside gross margin and statutory net margin; a small EBITDA margin can disappear after interest, depreciation or one-off charges.
- Exceptional items: Distinguish recurring operating costs from dilution adjustments, impairments and discontinued-business effects.
- Cash conversion: Check operating cash flow, receivables, inventory and supplier-credit movements rather than assuming EBITDA becomes cash.
- Balance-sheet risk: Assess debt after the fresh issue, customer and supplier concentration, and the funding required to execute the backlog.
A valuation supported by a ₹12,370.01 crore backlog would still depend on the contribution earned when those orders are delivered. The backlog provides visibility; it does not establish a return on capital, a net-profit track record or assured cash generation.
Bottom line
Zetwerk has achieved genuine scale: its manufacturing order book is roughly twice the March 2024 level, and FY26 new orders and manufacturing revenue were substantial. The unresolved question is economics. With adjusted EBITDA at about 2.6% of FY26 revenue and a ₹1,606 crore restated loss, the IPO case rests on successful execution, better margins, stronger cash conversion and lower financial strain—not on the order-book headline by itself.
