Both companies remain in federal conservatorship, Treasury holds senior preferred stock and warrants for 79.9% of each company’s common stock on a diluted basis, and the reviewed documents do not promise a release date or a particular recovery for privately held preferred shares. Before buying, identify the exact series, read its governing documents, and model how different recapitalization or restructuring outcomes would affect that series.
Start with the legal structure
Both companies remain in conservatorship
Fannie Mae and Freddie Mac were placed into conservatorship by the Federal Housing Finance Agency (FHFA) in September 2008 after deterioration in the housing markets left them unable to fulfill their missions without government intervention. FHFA says the companies continue to operate as business corporations, but FHFA has ultimate authority over their operations. Its stated conservatorship role includes preserving and conserving assets and property and restoring each company to a sound and solvent condition.

That status is central to the investment case. Conservatorship is not the same as a normal period of government ownership with a published exit date. The documents described by FHFA do not establish when conservatorship will end, what transaction will end it, or what privately held preferred shares will be worth afterward.

Treasury’s support came with senior rights
The Treasury support agreements, executed on September 7, 2008 and amended over time, provide Treasury with quarterly dividend obligations, a liquidation preference and warrants to purchase common stock. Treasury’s security is senior to privately held junior preferred shares and common equity. That priority means company earnings or a future transaction cannot be analyzed by looking only at a preferred share’s stated coupon.
FHFA records changes to the senior preferred stock certificates and the agreements. A certificate amendment can materially change the cash-flow or ranking assumptions that investors might otherwise make from an older prospectus. Always use the latest certificate and issuer filing for the series you are considering.
The warrant is common-stock exposure, not a preferred-share term
FHFA describes Treasury’s warrants as equal to 79.9% of each Enterprise’s common stock on a diluted basis. The warrant is important context for any company-wide recapitalization because it affects the common-equity capitalization. It does not, by itself, specify what a particular private preferred series receives, whether that series converts, or how its liquidation preference is treated.

FHFA says the 2019 agreements allow capital reserves of $25 billion for Fannie Mae and $20 billion for Freddie Mac. These are reserve allowances under the agreements. They are not proof that either company is ready to leave conservatorship, that Treasury’s claims will be discharged, or that private preferred holders will receive a fixed value.
Why “Fannie preferred” and “Freddie preferred” are not single investments
Each issuer has had multiple preferred series with their own certificates and offering documents. Two securities that both appear to be preferred stock can differ in ranking, dividend mechanics, arrears, redemption rights, conversion provisions and trading liquidity. The ticker alone is not enough for a purchase decision.

Do not assume that a term found in one Fannie Mae series applies to another Fannie Mae series, or that a Fannie term applies to a Freddie Mac series. The current status of every privately held series is not established by the cited FHFA and Fannie Mae materials.
Do these preferred shares pay dividends?
There is no single answer for every series. FHFA’s description of the Treasury agreements establishes dividend obligations to Treasury; it does not establish that privately held preferred dividends are currently being paid. A market data page may display a coupon or an annualized yield even when no cash dividend is being declared to private holders.

How to check the current dividend status
- Find the exact series certificate. Match the legal name and ticker to the issuer’s investor-relations filings and the certificate of designation or offering document.
- Identify the dividend type. Record whether the series is cumulative or non-cumulative and how the certificate treats skipped payments.
- Read the latest issuer filing. Look for a board declaration, suspension, arrears disclosure or other statement covering that series.
- Separate contractual rate from cash received. Calculate the stated rate on the liquidation preference, then confirm whether a declared payment was actually payable on the relevant record and payment dates.
- Check senior obligations first. Treasury’s senior preferred arrangements and any later amendments affect the amount of capital available before private preferred claims.
If you cannot verify a current declaration and the treatment of arrears, treat the investment as having uncertain cash income rather than as a bond substitute.
What would ending conservatorship involve?
Fannie Mae’s January 2, 2025 Form 8-K describes a letter agreement that amended the senior preferred stock purchase agreement, the senior preferred stock certificate and the warrant. It states that termination of conservatorship requires Treasury’s prior written consent in all cases other than mandatory receivership.
The documented process
The related side letter calls for a public request for information, public input, a market-impact assessment and a specific proposal before FHFA requests Treasury’s consent. Those are procedural requirements. They are not a scheduled termination date, a commitment to a particular recapitalization, or an assurance that any private preferred series will be made whole.

Possible outcomes are scenarios, not promises
| Scenario | What it could mean for a private preferred series | What is not established |
|---|---|---|
| Conservatorship continues | The security remains exposed to ongoing policy decisions, Treasury terms, issuer disclosures and market liquidity. | A timetable for release or a guaranteed dividend restart. |
| Negotiated recapitalization | The transaction could involve new capital, exchanges, conversions, amendments or changes in ranking. | Whether any particular series would participate on favorable terms. |
| Termination after the documented process | Private preferred value would depend on the final capital structure and the rights preserved in each certificate. | A fixed recovery, conversion ratio or market price. |
| Mandatory receivership or another adverse restructuring | Claims could be valued under a process different from a negotiated release, with priority and available assets determining outcomes. | The result for any series without a transaction-specific document. |
Investors should resist turning a procedural announcement into a forecast. A process can be delayed, modified or produce terms that differ sharply from market theories.
How the capital structure affects your risk
Priority comes before upside
A simplified priority analysis places Treasury’s senior preferred claim ahead of privately held junior preferred shares, with common equity below preferred claims. The exact legal outcome depends on the governing agreements, certificates, applicable law and the structure of any transaction, but the ordering explains why an apparently attractive preferred discount does not automatically represent a bargain.
- Treasury senior preferred stock: carries the senior position, quarterly dividend obligations, a liquidation preference and other rights under the support agreements.
- Privately held preferred stock: has series-specific rights and ranks according to its certificate; it is junior to Treasury’s senior preferred position described by FHFA.
- Common equity: sits behind preferred claims in the simplified hierarchy and is also affected by Treasury’s warrant for 79.9% of diluted common stock.
This is a framework, not a distribution waterfall for a transaction that has not yet been announced. Do not calculate a recovery from the warrant percentage or reserve allowances alone.
Why earnings do not automatically flow to private holders
Even if an Enterprise reports earnings, the allocation of capital depends on the Treasury agreements, capital requirements, dividend decisions and any amendments. A profitable quarter is not the same as a declaration on a private preferred series. Likewise, retained capital does not establish that Treasury’s liquidation preference has been satisfied or that private holders are entitled to a specified amount.
How to compare Fannie Mae and Freddie Mac preferred shares
Both issuers share the major policy exposure: continuing conservatorship, Treasury’s senior preferred position, the common-stock warrant and an unresolved exit framework. That common exposure does not make their securities interchangeable.

Current prices, bid-ask spreads, trading volume and venues were not established in the cited materials. Many securities associated with the Enterprises trade outside the most liquid listed-stock markets, so an investor must verify the venue and the quality of the quote before placing an order.
- Use a current quote: confirm the timestamp, bid, ask and last trade rather than relying on an old screen price.
- Measure the spread: a wide spread can consume a material part of the expected return at entry and exit.
- Check volume: low volume can make a market order expensive or leave you unable to sell quickly.
- Use limit orders: a limit price can control execution cost in a thin market, although it does not guarantee a fill.
- Plan the holding period: an event-dependent security may remain illiquid while policy discussions take years or produce no favorable transaction.
Never publish or rely on a current quote without checking live market data for the exact series. A quote for one preferred issue is not evidence about another.
A due-diligence process before placing an order
- Write down the exact security. Record issuer, series name, ticker, exchange or over-the-counter venue and the legal class.
- Download the governing documents. Read the certificate of designation, offering document and every relevant amendment available from the issuer.
- Map the ranking. Identify whether the issue is junior preferred and how it ranks against Treasury’s senior preferred stock and other classes.
- Record dividend mechanics. Note the rate, payment dates, cumulative status, arrears treatment and any conditions that restrict payment.
- Identify optionality. Check call dates, redemption prices, conversion rights, voting rights and provisions triggered by a change in control or restructuring.
- Read current filings. Look for conservatorship disclosures, Treasury agreement amendments, capital levels, dividend declarations and statements about the selected series.
- Verify the market. Check a live bid and ask, recent volume, venue, settlement details and the size of your intended order.
- Build outcome cases. Estimate what you could receive if conservatorship continues, if a recapitalization exchanges or converts the issue, and if an adverse process leaves the claim impaired. Label every case as an assumption, not a prediction.
- Set a loss and liquidity limit. Decide how much capital can remain tied up indefinitely and what price or event would make you exit.
- Recheck before execution. Confirm that no new filing, amendment, dividend notice or market disruption has changed the terms since your initial review.
Common mistakes to avoid
Treating the coupon as a guaranteed yield
The stated rate may be calculated on a liquidation preference, while the purchase price can be far above or below that amount. More importantly, the rate does not prove a current cash declaration. Confirm payment status and arrears in the latest documents.

Assuming conservatorship must end soon
The January 2025 Fannie Mae filing describes a consent and public-process requirement. It does not set a release date. A thesis that depends on a near-term exit should be treated as a timing speculation, not as an established fact.

Applying one series’ terms to every preferred issue
“Fannie preferred” and “Freddie preferred” are shorthand labels, not complete security descriptions. Ranking, cumulative status, liquidation preference and conversion terms can differ by series.
Counting Treasury’s warrant as a direct claim on your preferred shares
The warrant concerns common stock. It matters for dilution and the overall recapitalization, but it does not define the contractual recovery of a private preferred series.
Using reserve allowances as a solvency guarantee
The $25 billion and $20 billion figures are permitted capital reserves under the 2019 agreements. They do not prove that the companies are ready for release or that private holders will receive those amounts.
Ignoring the trading venue
An attractive theoretical recovery can be overwhelmed by a wide spread, little volume or an inability to sell when policy news changes the price. Execution is part of the investment thesis.
Questions to answer in your own investment memo
- What exact series am I buying, and which certificate governs it?
- Where does it rank relative to Treasury’s senior preferred stock?
- Are dividends cumulative, and what does the certificate say about unpaid amounts?
- Has the issuer declared a dividend for this series, and when would cash be payable?
- What are the liquidation preference, call terms and conversion provisions?
- What happens to my assumed value if conservatorship continues for several more years?
- Which assumptions depend on a future Treasury consent or recapitalization decision?
- Can I exit at a reasonable price if the market becomes illiquid?
Bottom line
Buy Fannie Mae or Freddie Mac preferred shares only after treating them as contract-specific claims exposed to government policy and capital-structure decisions. Conservatorship remains in place; Treasury’s senior preferred position and 79.9% common-stock warrant shape the capitalization; and no reviewed document guarantees a release date, dividend restart or recovery for private preferred holders. The responsible purchase decision starts with the exact series certificate and current filing, then tests the price against several possible outcomes rather than assuming a favorable recapitalization.
