What Does a Fundraise Mean for a Company’s Existing Shareholders?

A fundraise can mean either borrowing or issuing new equity. Borrowing leaves the ownership structure unchanged but creates interest and repayment obligations; issuing shares brings in cash while giving new investors a claim on future profits and, unless existing holders participate proportionally, reducing their percentage ownership and potentially their voting influence.

A lower percentage stake is not automatically a lower-value investment. The result depends on the issue price, the company’s value after the financing, the rights attached to the new securities, the use of proceeds and the law and documents governing the offer.

What a company fundraise actually is

“Fundraise” is a broad term for obtaining capital. The two basic routes are debt and equity, and they affect existing shareholders in different ways.

Funding route What the company receives Immediate effect on existing ownership Main obligation or risk
Debt borrowing Cash from a lender No new shares are issued, so the percentage ownership of existing shares is not directly diluted. Principal must ultimately be repaid, usually with interest; covenants, security and default consequences may also apply.
New equity issue Cash in exchange for shares or other equity securities The total number of shares rises. A holder who does not acquire a proportional allocation owns a smaller percentage of the company. Future profits, votes and other rights are spread across more securities, and the new class or instrument may have special terms.

A company can also use a hybrid instrument, such as a convertible security or shares with warrants. Those terms may not create ordinary-share dilution immediately, but the documents can specify circumstances in which additional shares will be issued. Treat the stated and potential, or “fully diluted,” share counts separately when reading the offer.

How an equity raise changes your percentage stake

Dilution is a percentage calculation

Dilution occurs when the denominator—the company’s total outstanding shares—increases faster than your holding. Suppose a company has 10 million shares and you own 100,000. Your holding is 1%. If the company issues 5 million new shares and you buy none, your 100,000 shares become 100,000 out of 15 million, or about 0.67%.

If the terms let you buy 1% of the new issue, you could purchase 50,000 shares. You would then hold 150,000 of 15 million shares, preserving a 1% percentage stake. That arithmetic is illustrative; the actual allocation, deadlines and eligibility come from the offer documents.

Control dilution and value dilution are different

Percentage ownership is a measure of control or economic participation, not a guaranteed measure of wealth. An SEC-filed offering document explains that an investor’s ownership percentage can decline even while the company’s overall value rises. Voting power can fall because your votes represent a smaller share of the total, while the value of each share depends on the business, the financing terms and the market’s assessment after the raise.

For example, in a purely hypothetical transaction, a company valued at £20 million before a £10 million equity investment might be valued at £30 million immediately afterward. A shareholder who owned 1% before the deal had an interest notionally worth £200,000; if that holder remained at 0.67% after the issue, the interest would be notionally worth about £200,000 at the same post-money valuation. Real transactions can differ sharply because the issue may be priced at a discount or premium, the business may perform differently, and investors may assign a different valuation once the news is known.

Can existing shareholders invest in the new round?

Rights issues offer an opportunity, not an automatic protection

In a rights issue, new shares are offered to existing holders in proportion to their current holdings. HM Revenue & Customs states in its Stamp Taxes on Shares Manual, section STSM072020: “This ‘rights issue’ gives shareholders the right, but no obligation, to subscribe for further shares.” The same manual describes the shares as normally offered at a discount to the current market price.

To keep your percentage, you generally must elect to subscribe, pay the subscription price and comply with the offer’s terms. A right that is ignored, rejected or allowed to expire does not preserve your stake. Depending on the structure, rights may be transferable, partially exercisable or subject to a minimum application; those details must be confirmed in the notice or prospectus.

Pre-emption rights depend on jurisdiction and company documents

Do not assume that every cash issue carries the same entitlement. The HMRC material is a UK government tax manual, first published on 7 March 2016 and updated on 2 September 2026. It describes the UK rights-issue approach, but it is not a universal rule for every country, entity type, share class or transaction.

A company-specific SEC-hosted proxy statement dated 2 January 2026 illustrates a different framework under Irish law: statutory pre-emption rights can apply to certain cash share issues, while shareholders may authorize those rights to be disapplied or opted out of. That example demonstrates why the company’s articles, shareholder resolutions, offer notice and applicable law matter more than a generic description of “pre-emption.”

Number of securities and resulting share count

Identify the existing issued shares, the number of new securities and the post-transaction total. Then check whether the document also presents a fully diluted count that includes options, warrants, conversion rights or other instruments. Dilution calculated from only the immediate issue can understate the potential effect.

Issue price and discount

Compare the subscription price with the quoted market price, if the company is listed, and with any stated valuation. A discounted price may make participation attractive, but it can also transfer economic value between existing and incoming holders if the discount is large or the company is distressed. An unlisted company may provide a valuation rather than a continuously quoted price.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Class and rights of the new securities

Check whether the issue creates ordinary shares, preference shares, convertible securities, warrants or a new voting class. Look for dividend preferences, liquidation preferences, conversion ratios, anti-dilution adjustments, redemption rights and voting provisions. Two issues with the same share count can have very different effects when their rights differ.

Participation mechanics

Find your entitlement, the opening and closing dates, payment method, minimum or maximum applications, treatment of fractional entitlements and what happens to unexercised rights. Confirm whether rights can be sold or transferred and whether an excess application is possible. Missing a deadline can have the same practical result as choosing not to participate.

Use of proceeds and conditions

The company may say it will fund operations, expansion, acquisitions, research, debt repayment or working capital. Those purposes affect the investment case, but a stated plan is not a guarantee of performance. Also note whether the raise depends on shareholder approval, regulatory clearance, a minimum subscription or other conditions, and whether directors have authority to issue shares or disapply pre-emption rights.

How to assess debt versus equity from an existing holder’s perspective

The following comparison frames the trade-off without assuming that one route is always better.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Question Debt financing Equity financing
Does the share count change? Not directly. Usually yes, immediately or potentially on conversion.
What must the company give up? Interest and repayment, plus any lender protections. A share of future profits, votes and sometimes priority rights.
Can an existing holder maintain ownership? There is no new equity allocation to maintain. Only if the offer and applicable law provide participation and the holder exercises it proportionally.
What should you inspect? Interest rate, maturity, covenants, security and refinancing risk. Price, class rights, allocation, fully diluted count, use of proceeds and approvals.

Debt can avoid immediate dilution but increase fixed obligations and financial risk. Equity can reduce repayment pressure while spreading ownership across more securities. The company’s condition, terms and intended use of capital determine which risk is more significant in a particular case.

A practical process for an existing shareholder

  1. Obtain the primary documents. Read the offer notice or prospectus, the latest capitalization table, the company’s articles and any shareholder circular. For a private company, request the updated register or cap table if it is not supplied.
  2. Write down your current position. Record the number and class of shares you own, your current percentage and any voting differences between classes.
  3. Calculate the basic post-issue percentage. Divide your current shares by the proposed post-issue shares if you do not participate. Perform a second calculation using the fully diluted count where conversion or warrants are possible.
  4. Calculate the subscription needed to maintain your percentage. Apply your current percentage to the number of new securities, then verify that the offer’s entitlement formula and rounding rules produce that amount.
  5. Review the economics. Compare the subscription price with the stated valuation or market price, and examine preferences, conversion terms and any discount. Do not treat a lower percentage as proof of a loss in value.
  6. Assess the purpose and financing risk. Determine whether proceeds address a near-term cash need, retire debt, or fund a credible growth plan. Check whether the company could require another raise if the stated plan falls short.
  7. Confirm your legal and practical deadline. Eligibility, pre-emption, transferability and approval requirements vary by jurisdiction and transaction. Follow the company’s instructions rather than relying on a general online explanation.
  8. Keep evidence of your election and payment. Save the completed form, payment confirmation and allocation notice. If the company or intermediary reports an unexpected allocation, raise the discrepancy before the offer closes.

Common mistakes to avoid

  • Assuming every fundraise is an equity raise. Ask first whether the company is borrowing, issuing shares or using a convertible or warrant-linked instrument.
  • Equating dilution with an automatic fall in value. A smaller percentage can accompany a larger company; value depends on price, terms and performance.
  • Assuming a rights issue preserves your stake automatically. Rights are generally optional and require timely payment and compliance with the offer.
  • Using the wrong jurisdiction’s rule. UK guidance and an Irish-law example show that pre-emption rights and disapplication procedures can differ.
  • Counting only ordinary shares issued on day one. Include conversion, warrant and option features when the documents make them relevant.
  • Ignoring share class rights. Voting, dividend and liquidation preferences can change the practical effect even when the numerical dilution looks modest.
  • Judging the transaction only by the headline amount raised. The number of new securities, price, conditions and use of proceeds are equally important.

When the specific answer cannot yet be determined

No one can state the exact effect on a particular shareholder without the company, jurisdiction, share class, current and post-raise capitalization, offer price, instrument terms and transaction documents. Those inputs determine whether you face dilution, whether you have a participation right, how many securities you may buy and what voting or economic rights attach afterward.

For a company-specific analysis, assemble those documents and ask the company, registrar or qualified adviser to clarify any missing entitlement, deadline or conversion term. This article explains general mechanics; it is not individualized legal, tax or investment advice.
