Binance.US is seeking up to $100 million in a private financing round that would value the U.S. crypto exchange at approximately $1 billion, according to contemporaneous Bloomberg reporting. The financing is still in progress, so the amount raised, valuation and investor roster could change before any closing.
World Liberty Financial was informed about the effort but is not currently participating, a person familiar with the matter said. Representatives for both organizations declined to comment.

What Binance.US is proposing
The proposed financing is intended to fund expansion of Binance.US’s U.S. business as the exchange competes for digital-asset customers. No public term sheet, signed closing date or final investor list has been disclosed, so the reported figures describe a fundraising target rather than a completed transaction.

World Liberty Financial is aware of the effort but is not investing
World Liberty Financial (WLF) was notified about Binance.US’s fundraising plans. The separate source cited in the reporting said WLF is not currently participating. That distinction matters: being informed about a financing is not the same as signing a commitment, buying shares or joining the investor group.
Why Binance.US is seeking capital now
Expansion amid U.S. competition
The stated objective is growth in the U.S. market, where exchanges are competing for trading activity and customers. Fresh capital could give Binance.US more flexibility to invest in products, licensing work and market development, although the company has not published a final spending plan for this round.

State-level licensing and dollar-service constraints
Binance.US’s help guidance says some states currently operate on a crypto-only basis while the company works to restore U.S. dollar services. The company also said its referral program returned on September 10, 2025. Those updates show that customer access and fiat functionality can differ by state while the exchange addresses operational requirements.
Potential products and liquidity arrangements
Reported expansion work includes restoring money-transmitter licenses in some states, exploring prediction markets and considering external trading liquidity, potentially from global Binance. None of those options was described as finalized. Any agreement involving outside liquidity would also need to be distinguished from Binance.US’s own operating and regulatory status.

How the proposed valuation compares with Binance.US’s 2022 financing
Binance.US announced in 2022 that it had raised more than $200 million at a $4.5 billion pre-money valuation. The current target is therefore materially below that earlier reference point, but the figures come from different financing contexts and the new round has not closed.

In the 2022 funding announcement, then-chief executive Brian Shroder said: “This funding and valuation validate the strength of Binance.US’s business today, as well as our long-term growth prospects.” That statement applied to the earlier financing and should not be read as a confirmation of the current target.

Binance.US’s corporate relationship with global Binance
Binance.US launched in 2019 and operates independently from the global Binance trading platform. Changpeng Zhao is a major shareholder of both entities, creating an ownership tie even though the platforms are separate operations. Reports that Binance.US could obtain external trading liquidity from global Binance therefore concern a potential commercial arrangement, not a merger or proof that the companies have identical regulatory standing.
What is still unknown
- Whether the round will reach the full amount sought.
- Whether the final valuation will be close to the approximately $1 billion target.
- Which investors, if any, will sign commitments.
- When a closing might occur.
- Whether license restorations, prediction-market plans or external-liquidity discussions will become operating products or agreements.
Until those points are disclosed, the most concrete takeaway is limited to the fundraising target and WLF’s current non-participation. The company’s state-by-state dollar-service guidance and licensing work remain important indicators of how quickly any expansion strategy can be implemented.
