Neynar acquired Farcaster—not Balaji’s Network School: what the “social smart contract” means

No—Balaji Srinivasan’s Network School did not acquire Farcaster. Neynar acquired Farcaster from Merkle on January 21, 2026. The “social smart contract” is a separate Network State governance idea associated with Balaji, and no cited announcement or product specification shows that Farcaster added such a feature.

Who acquired Farcaster?

Neynar, a Farcaster infrastructure company, announced on January 21, 2026, that it had acquired Farcaster from Merkle. Neynar said it would maintain the Farcaster protocol, run the Farcaster client and operate Clanker, the project associated with Farcaster’s creator economy.

Contemporaneous reporting by The Block said the transfer covered Farcaster’s protocol contracts, code repositories, application and Clanker. Farcaster co-founders Dan Romero and Varun Srinivasan stepped back from day-to-day operations. The same report said Merkle had raised $180 million and planned to return that money to investors; that is a transaction-related figure reported at the time, not a new Farcaster user fee or subscription.

Is Farcaster shutting down?

No. Romero told The Block: “Farcaster is not shutting down. The protocol works and will continue to work.” The change is an operator and leadership transition, not an announced termination of the network.

Romero also said Farcaster had about 250,000 monthly active users in December and more than 100,000 funded wallets. Those figures are Romero’s estimates as reported by The Block in 2026; they were not presented as an independent audit. They provide scale for the transition but do not guarantee future activity or usage.

What does Neynar plan to do?

Neynar described a builder-first strategy focused on helping developers turn ideas into recurring revenue. Its immediate responsibilities are operational: keeping the protocol running, operating the main client and managing Clanker. The announcement does not promise a particular token, fee schedule, new consumer feature or change to account ownership.

For users, the practical expectation is continuity while the new operator takes over. For developers, the meaningful change is who controls the repositories, protocol contracts and operating infrastructure. Any future API, moderation, monetization or client changes would need to be announced separately rather than inferred from the acquisition itself.

What is Balaji’s “social smart contract”?

Balaji Srinivasan uses “social smart contract” in his Network State framework. In that model, a network state is a digitally coordinated community with a recognized founder, collective capacity, an integrated cryptocurrency and consensual government constrained by an agreed social smart contract.

The phrase describes governance rules for people who choose to join a digital or physical jurisdiction. It is broader than software code: the contract represents the community’s rules, participation conditions and mechanisms for consent, coordination and exit. Balaji summarized his answer to the governance problem in an interview transcript as: “So the answer in my view is the social smart contract and exit.”

Later discussions, including an Unchained conversation, used the term in the context of blockchain governance. One example was the possibility of a chain reversing state after a cryptographic break. That argument concerns how a community might govern a network; it is not documentation for a Farcaster account, wallet or moderation feature.

Did Farcaster introduce a social smart contract?

There is no cited Farcaster or Neynar specification showing that it did. The acquisition announcement discusses ownership and operations, not a new user-facing governance contract. Treating the two stories as one event would incorrectly imply that Farcaster users have been enrolled in a Network State, asked to accept new constitutional rules or given a new voting mechanism.

Unless Neynar or Farcaster later publishes a formal proposal, users should distinguish an operating-platform change from Balaji’s separately promoted governance theory. Existing Farcaster behavior should not be assumed to change because the phrase appeared in coverage of Network School.

How the two developments differ

Question Farcaster transition Network School social-contract idea
Operator or sponsor Neynar acquired Farcaster from Merkle. Balaji Srinivasan’s Network School project advances the concept.
Primary function Protocol, client and Clanker operations. Governance rules for an opt-in network state.
Evidence Neynar’s January 21, 2026 announcement and contemporaneous acquisition reporting. Network State descriptions, interviews and blockchain-governance discussions.
Immediate user effect Farcaster continues operating under a new operator. A proposed framework, with no cited evidence that it shipped inside Farcaster.

What users and developers should watch next

  • Official operating announcements: Look for notices from Neynar or Farcaster about client changes, protocol upgrades, data policies, moderation or monetization.
  • Developer documentation: A genuine new social contract would require a public specification explaining participation, voting or consent, enforcement, identity and exit.
  • Wallet and token disclosures: Do not treat the reported funded-wallet count or the Network State’s cryptocurrency concept as evidence of a new Farcaster financial obligation.
  • Metric definitions: Monthly-active-user figures can vary by measurement method. Romero’s reported estimates should not be read as audited financial or product performance.

Where to learn the underlying theory

The most direct background is Balaji Srinivasan’s The Network State, including the 2022 Kindle edition identified in bibliographic records. It explains the network-state model and the role of a social smart contract. That background can clarify Balaji’s terminology, but it does not establish that Farcaster adopted the model.

Bottom line: Neynar—not Balaji’s Network School—now operates Farcaster after acquiring it from Merkle. Farcaster was not announced as shutting down, and the “social smart contract” remains a separate Network State governance concept rather than a documented new Farcaster feature.
