JPMorgan and Goldman Underwrite $1.3B of Volta’s $5B AI Loan Package

JPMorgan and Goldman Sachs reportedly committed to underwrite only the $1.3 billion lease-related portion of a roughly $5 billion loan package for Volta Infrastructure Holdings, leaving the larger GPU loan marketed without their underwriting. The package was still being marketed in the latest cited coverage, and its yield figures were pricing talk—not final terms or evidence that the financing closed.

What Volta’s reported loan package contains

PitchBook News reported on Oct. 9, 2026, that Volta launched a six-year financing totaling $5.012 billion. Bloomberg had described the package as roughly $5 billion on Oct. 5. These figures come from market reporting and people familiar with the transaction; the available coverage did not include a public offering memorandum or borrower filing.

Reported tranche Amount and purpose Reported underwriting status
First-lien term loan C $1.3 billion, intended to cash-collateralize a letter of credit supporting Volta’s data-center lease, identified in reporting as a Bitdeer facility. PitchBook News, Oct. 9, 2026; Bloomberg, 2026. JPMorgan and Goldman Sachs reportedly underwrote this portion, according to Bloomberg’s Oct. 12 summary.
GPU term loan $3.712 billion, intended to fund approximately 36,000 Nvidia GPUs. PitchBook News, Oct. 9, 2026, and Bloomberg, 2026. Reportedly marketed without the banks underwriting it, according to Bloomberg’s Oct. 12 summary.

Bloomberg’s Oct. 12 summary also said Anthropic had a six-year compute agreement at the Norwegian site. That detail is attributed to reporting; the cited coverage did not include a public statement from Anthropic or Volta confirming it.

Why underwriting only $1.3 billion matters

Underwriting means a bank commits to take on specified financing risk as a loan is placed with investors. In this reported structure, JPMorgan and Goldman were said to have underwritten the smaller, lease-related tranche while marketing the much larger GPU loan without underwriting it. That limits the amount of the package they committed to carry; it does not show that they withdrew from marketing or arranging the larger tranche, or that investors had already bought it.

The split also reflects the package’s two distinct financing needs: support for a data-center lease and capital for a large GPU purchase. The available reporting does not establish why the banks chose this particular allocation of underwriting risk, so it would be speculation to assign a specific motive.

What the reported yield and price talk mean

Bloomberg reported on Oct. 5, 2026, that the package was being pitched at a spread of 6.25–6.5 percentage points over the benchmark, with a price of 97–98 cents per dollar. Bloomberg described the yield as about 11% at then-current benchmark levels. PitchBook News reported launch-stage yield-to-maturity talk of 11.21%–11.75% on Oct. 9. Those are dated marketing figures, not final pricing; the later, more precise yield range should not be treated as a confirmed rate paid by Volta.

A yield-to-maturity estimate reflects both the interest terms and the loan’s quoted price, alongside assumptions about repayment. It is not interchangeable with the spread over a benchmark. The cited reports do not provide enough information to independently break down the yield or compare it rigorously with other loans after accounting for benchmark, rating, structure, term and repayment profile.

What the unrated status could mean for demand

Bloomberg’s Oct. 12 summary described the package as unrated and said that this typically limits eligibility for collateralized loan obligations (CLOs), major buyers of leveraged loans. That can narrow a potential investor pool, but the cited coverage did not report final demand, allocations or how much of either tranche investors committed to buy. Unrated status alone does not establish that the loans could not be placed.

Has the Volta financing closed?

The cited coverage does not establish a closing. PitchBook News reported that commitments were due Oct. 14, 2026, at 5 p.m. Eastern Time. Bloomberg’s Oct. 12 summary still described the package in the context of its marketing and underwriting. A deadline for commitments is not proof that commitments were received, that terms became final or that funds were delivered.
