Intel Board Chair Shakeup Explained: Omar Ishrak, Frank Yeary and Craig Barratt

The headline refers to a real event, but it is not current. Omar Ishrak stepped down as Intel’s independent board chair on January 23, 2023, and Frank D. Yeary succeeded him. Ishrak remained an Intel director until retiring from the board in 2025. Yeary later retired after Intel’s May 13, 2026 annual meeting, when Dr. Craig H. Barratt became independent chair.

The short answer

Intel’s board leadership changed in three stages:

As an Amazon Associate I earn from qualifying purchases.

  1. Omar Ishrak was chair until January 23, 2023.
  2. Frank D. Yeary became independent chair on that date and held the role until after the May 13, 2026 annual meeting.
  3. Craig H. Barratt became Intel’s independent chair after that 2026 meeting.

Accordingly, “Omar Ishrak out, Frank Yeary in” accurately describes Intel’s 2023 chair transition—not the company’s current board leadership.

Intel’s 2023 announcement described Ishrak as stepping down as chair while remaining an independent director. It did not announce a full board purge or establish that he had been forcibly removed.

What happened on January 23, 2023?

Ishrak gave up the chair role and Yeary was appointed Intel’s new independent chair. Ishrak continued serving on the board, including on Intel’s Audit and Finance Committee and Corporate Governance and Nominating Committee.

That distinction matters. Ishrak was “out” as chair in 2023, but he was not immediately out of Intel. He retired from the board and did not stand for reelection at Intel’s 2025 annual meeting, according to the company’s 2025 proxy statement.

Who were Ishrak and Yeary?

Ishrak was Intel’s outgoing independent chair and a healthcare-technology executive who had also led Medtronic. The official Intel materials establish his board timeline and later retirement, while the significance of his background was broader than semiconductor operations: he brought experience from a large, highly regulated technology and healthcare business.

Yeary joined Intel’s board in March 2009. He became independent chair in January 2023 and remained in that position through a particularly difficult period for Intel, including manufacturing and process-technology challenges, cost pressure, strategic changes and executive turnover.

The chair does not run Intel’s day-to-day operations. That is the CEO’s responsibility. The independent chair leads the board, helps set the board’s agenda and oversees management on behalf of shareholders. Intel’s proxy says the company generally separates the chair and CEO roles so the board can provide independent oversight while the CEO focuses on running the business.

Was it really a “shakeup”?

“Board leadership change” or “chair transition” is more precise than “ousted.” Intel’s 2023 announcement said Ishrak stepped down and stayed on the board. The reviewed official sources do not establish that the board forced him out or that it had lost confidence in him.

The later change was also presented as a planned succession. Yeary announced that he would retire after roughly 17 years on Intel’s board, including three years as chair. Intel announced Barratt as his successor before the 2026 annual meeting, rather than describing the change as a sudden dismissal.

Yeary’s role during Intel’s CEO transition

Yeary’s chairmanship became especially important during Intel’s leadership disruption. Following Pat Gelsinger’s departure in December 2024, Yeary temporarily became interim executive chair while Intel operated with interim co-CEOs.

That was different from his normal position as independent chair:

  • Independent chair: leads and oversees the board while remaining separate from management.
  • Executive chair: takes on a more active role in the company’s leadership and management oversight.
  • CEO: runs the company’s operations and executes its strategy.

When Lip-Bu Tan became CEO in March 2025, Yeary returned to the independent-chair role. Intel’s 2026 proxy confirms that the executive-chair period was temporary, running from the late-2024 leadership transition through Tan’s appointment.

Why the chair matters for Intel

Intel has been attempting a substantial turnaround while managing several competing priorities:

  • Improving manufacturing and process-technology execution.
  • Repositioning Intel Products and Intel Foundry.
  • Reducing costs and managing capital spending.
  • Restoring customer and investor confidence.
  • Managing government support and CHIPS Act-related financing.
  • Allocating capital while pursuing strategic transactions and partnerships.

Intel’s 2026 proxy says the board oversaw product and process roadmaps, capital spending, cost reductions, fundraising and actions involving Altera, Mobileye, NVIDIA, SoftBank and the U.S. government. Those are Intel’s descriptions of the board’s work; they should not be read as proof that the chair alone caused any particular business result.

Yeary’s tenure coincided with the selection of Tan, sharper financial discipline and efforts to strengthen Intel’s manufacturing roadmap. Intel’s announcement credited Yeary with helping recruit Tan and supporting the company during the transition. That is management’s assessment, not independent evidence that the chairmanship itself improved Intel’s share price, manufacturing performance, financial results or foundry adoption.

Why did Yeary retire?

Yeary’s retirement was announced in February 2026 and took effect after Intel’s annual meeting on May 13, 2026. The official explanation emphasized his long board service and the timing of a planned succession after a new CEO was in place.

This separates two events that are sometimes conflated:

Who is Craig Barratt?

Barratt became an Intel director in November 2025 and succeeded Yeary as independent chair after the 2026 annual meeting. Intel’s proxy describes his experience across the semiconductor and technology industries, including leadership at Atheros Communications and senior roles at Qualcomm, Intel and Google.

His appointment represents continuity in Intel’s preference for an independent chair, but it also places a new board leader at the center of the next phase of the turnaround. Barratt’s background gives him relevant technology and semiconductor experience, although the appointment alone does not prove that Intel has adopted a specific new strategy or that its challenges have been resolved.

What investors should take from the changes

For investors, the leadership sequence is most useful as a governance timeline rather than as a standalone buy-or-sell signal. A chair change can affect board oversight, CEO succession and accountability, but it does not by itself demonstrate stronger earnings, better manufacturing execution or improved shareholder returns.

The key questions are whether Intel’s board can hold management accountable for measurable progress, whether the company can execute its process and foundry plans, and whether capital spending and cost reductions are producing sustainable results. Those outcomes depend on the board and management collectively, not on the chair alone.
